QuickMagic User Agreement ​

Operating Entity: QuickMagic LLC

Welcome to QuickMagic. This User Agreement is entered into between you and QuickMagic LLC (“QuickMagic,” “we,” “us,” or “our”) and governs your access to and use of the QuickMagic website, applications, AI features, APIs, and related services. By creating an account, purchasing a plan, submitting a task, or using the Services, you confirm that you have read, understood, and agreed to this Agreement. If you do not agree, you must stop using QuickMagic.

1. Services ​

QuickMagic provides AI motion capture, text-to-motion, Avatar and AI video generation, 3D character and motion processing, APIs, and other related services.

Specific features, models, plan prices, Monthly Credits, video duration limits, concurrency, export formats, asset retention periods, and other benefits are governed by the pricing page, product pages, and account pages displayed when you purchase or use the Services. Those pages form part of this Agreement.

We may update, adjust, test, or discontinue parts of the Services for technical, business, security, or legal reasons.

2. Eligibility and Accounts ​

You must be old enough to enter into a legally binding contract in your jurisdiction. If you are not, you may use the Services only with the consent and supervision of a parent or legal guardian.

You must provide accurate account information and keep your password, login credentials, and API Keys secure.

Actions taken through your account or API Key will generally be treated as actions taken by you or by a person you authorized. Contact us promptly if you believe your account has been compromised.

You may not sell, rent, or transfer an account, or use account sharing, bulk registrations, or similar methods to bypass plan, credit, concurrency, or seat limits.

3. User Content ​

“User Content” includes any videos, images, photos, audio, voice recordings, text, 3D models, character files, motion files, and other materials that you upload or submit.

You retain the rights you lawfully hold in your User Content.

To provide the Services, you grant QuickMagic permission to store, copy, analyze, transform, and process User Content as reasonably necessary to generate, save, preview, and deliver results to you, including to:

• provide and maintain the Services;
• complete generation or processing tasks you submit;
• provide customer support;
• detect fraud, abuse, and security risks; and
• comply with applicable law.

You are responsible for ensuring that you have all rights and permissions required for the content you upload, including copyright, image and likeness rights, voice rights, privacy rights, and rights to any underlying materials. You may not upload or process another person’s private video, face, voice, character assets, or other protected content without authorization.

4. AI-Generated Content ​

QuickMagic generates or processes motion, animation, video, images, Avatars, 3D data, and other outputs based on your inputs.

You may use generated content to the extent permitted by applicable law and the plan terms in effect when the content was generated. Whether commercial use is permitted depends on the applicable plan.

Because AI systems are probabilistic and may produce unexpected results, we do not guarantee that generated content will:

• be completely accurate or error-free;
• be unique;
• meet your expectations;
• be suitable for a particular software application, platform, or commercial project; or
• qualify for copyright or other exclusive rights.

You should review and, where appropriate, edit generated content before publishing, commercial use, or deployment. Unless you separately and expressly authorize us to do so, we will not use your private uploaded content to train general-purpose AI models made available to other users.

5. Subscriptions, Credits, and Payments ​

QuickMagic may offer free plans, individual subscriptions, team plans, API packages, and enterprise services.

Paid individual subscriptions may renew automatically on a monthly or annual basis until canceled. A monthly equivalent shown for an annual plan is for comparison only; the amount charged is the amount shown at checkout.

Monthly Credits:

• are issued according to your current plan and subscription cycle;
• may be used only for designated QuickMagic services;
• are not money, stored value, or a financial asset;
• may not be sold, transferred, withdrawn, or redeemed for cash; and
• expire in accordance with the rules shown on the pricing page.

Upgrades, cancellations, renewals, credit refreshes, and post-expiration treatment are governed by the pricing and checkout pages. After canceling automatic renewal, you will generally retain access through the end of the paid billing period, after which your account will be handled under the rules then in effect.

6. Refund Policy ​

Except in the circumstances below, subscription fees, API package fees, and other service fees are generally non-refundable:

• a refund is required by applicable law;
• you were charged more than once or the charge was unauthorized;
• QuickMagic is unable to deliver a material part of the service you purchased; or
• the purchase page expressly states that a refund is available.

The following circumstances generally do not qualify for a refund:

• you did not use or fully consume your plan credits;
• you forgot to cancel automatic renewal;
• you are dissatisfied with an AI-generated result;
• your uploaded materials have quality or compatibility issues;
• the issue is caused by your device, network, or third-party software;
• your account is restricted because you violated this Agreement; or
• credits have expired or otherwise become invalid.

Nothing in this section limits any mandatory consumer rights available to you under applicable law.

7. Prohibited Uses ​

You may not use QuickMagic to:

• engage in unlawful activity, fraud, scams, extortion, or impersonation;
• infringe copyright, trademark, image and likeness rights, voice rights, privacy rights, or other legal rights;
• create misleading face swaps, false personations, or synthetic voice content without authorization;
• create non-consensual intimate content, child sexual exploitation material, or other seriously unlawful content;
• distribute malware, attack the platform, or bypass security measures;
• scrape, copy, reverse engineer, or extract QuickMagic models, code, or technology;
• resell accounts, share API Keys, or bypass plan restrictions; or
• use unverified robotic motion or generated data to control physical systems in a way that may endanger people, equipment, or public safety.

8. Service Restrictions and Account Actions ​

We may temporarily interrupt the Services because of maintenance, security risks, upgrades, third-party service failures, or events beyond our reasonable control.

If a user violates this Agreement, infringes third-party rights, engages in payment fraud, creates a security risk, or violates applicable law, we may issue a warning, restrict features, remove content, suspend the account, or terminate the Services.

Where an account is terminated for a serious violation, unused credits and remaining benefits may be canceled unless applicable law requires otherwise.

9. Intellectual Property ​

The QuickMagic name, trademarks, logo, website, interface, software, code, algorithms, models, documentation, and other platform materials are owned by QuickMagic LLC or the applicable rights holders.

You may not copy, modify, sell, rent, reverse engineer, or use them to develop a competing product without written authorization.

10. Disclaimers and Limitation of Liability ​

The Services are provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we do not guarantee that:

• the Services will always be available, error-free, or uninterrupted;
• AI outputs will be fully accurate, unique, or fit for a particular purpose;
• output files will be compatible with every third-party application; or
• User Content or generated content will be stored permanently.

You are responsible for backing up important files and generated results. To the maximum extent permitted by law, QuickMagic’s total liability arising from or relating to the Services will not exceed the amount you paid for the relevant Services during the 12 months preceding the event giving rise to the claim. This limitation does not apply where liability cannot lawfully be limited.

11. Changes to this Agreement ​

We may update this Agreement to reflect changes to our products, pricing structure, technology, or legal requirements.

If we make material changes, we will notify you through a website notice, email, account notification, or another reasonable method.

Your continued use of the Services after the updated Agreement takes effect means that you accept it. If you do not agree, you should stop using the Services and cancel automatic renewal.

12. Governing Law and Dispute Resolution ​

This Agreement is governed by the laws of the Hong Kong Special Administrative Region, without excluding any mandatory consumer protection laws that apply in your jurisdiction.

The parties should first attempt to resolve any dispute arising from this Agreement or the QuickMagic Services through good-faith discussions. If the dispute cannot be resolved, it will be submitted to the courts of competent jurisdiction in the Hong Kong Special Administrative Region.
