Terms of Service

Effective and last updated: September 18, 2026

These Terms of Service ("Terms") govern your access to and use of loopcat at loopcat.ai and related services (the "Services") provided by FlowGPT Co. ("loopcat," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms and our Privacy Policy.

Arbitration notice and class action waiver: except for certain types of disputes described in the "Governing law and dispute resolution" section below, you agree that disputes between you and us will be resolved by binding, individual arbitration and you waive your right to participate in a class action lawsuit or class-wide arbitration.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use loopcat. By using the Services, you represent that you meet these requirements. If applicable law prohibits you from using the Services, you may not use them.

2. Accounts and sign-in

  • You must provide accurate information and keep your account information current.
  • You are responsible for activity under your account and for keeping your sign-in methods secure.
  • If you sign in with Google or another third party, your use of that service is also governed by its terms and privacy policy.
  • You may not transfer, sell, share, or impersonate another person's account.
  • Notify us promptly if you believe your account has been compromised.

3. AI-generated experiences

loopcat creates fictional, interactive experiences using artificial intelligence. Characters are not real people unless clearly stated otherwise. Generated text, images, audio, and video may be inaccurate, unexpected, incomplete, or offensive and may not be unique. You should not rely on generated content as professional, medical, legal, financial, or other factual advice.

Some experiences may contain mature themes. You control whether to submit a prompt or continue a story, but we cannot guarantee that every generated result will match your expectations. Report prohibited or unsafe content to us at the contact address below.

3A. Content policy

loopcat tells mature interactive stories: violence, romance, and intense themes may appear. loopcat does not generate sexual content or nudity, and you may not attempt to direct a story toward them. Scenes that would cross this line are not generated, and no Bells are charged for them.

All characters are fictional adults. You must be 18 or older to use loopcat (see 1. Eligibility).

4. Your content

"User Content" means prompts, choices, character or persona information, images, recordings, feedback, and other material you submit. You retain any ownership rights you have in User Content.

You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, and display User Content only as reasonably necessary to operate, secure, maintain, and improve the Services, including generating the content you request and using service providers acting on our behalf. This license ends when the content is deleted from our active systems, except where continued retention is permitted by our Privacy Policy or required by law.

You represent that you have the rights and permissions needed to submit User Content and that our use of it as described in these Terms will not violate law or another person's rights. Do not submit confidential or highly sensitive information that is not necessary for your use of the Services.

5. Acceptable use

You may not use the Services to:

  • break the law, facilitate wrongdoing, or violate another person's rights;
  • create, upload, request, or share child sexual abuse material or any sexual, exploitative, or harmful content involving a person under 18, whether real or fictional;
  • harass, threaten, defame, stalk, exploit, or deceive another person;
  • create deceptive impersonations or non-consensual intimate content, or use a real person's image or identity without the rights and consent required by law;
  • infringe intellectual-property, privacy, publicity, or other rights;
  • distribute malware, spam, scams, or content designed to compromise accounts or systems;
  • bypass access controls or safety measures, probe vulnerabilities, interfere with the Services, or impose an unreasonable load on them;
  • scrape, crawl, automate access to, reverse engineer, or extract models, source code, data, or content except where applicable law expressly allows it; or
  • use generated content to mislead others about its origin or authenticity in a harmful or unlawful way.

We may investigate suspected violations and remove content, restrict features, suspend or terminate accounts, preserve evidence, and report conduct to authorities where appropriate.

6. Our Services and intellectual property

The Services, including their software, design, branding, and application-provided content, are owned by us or our licensors and protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for lawful, non-commercial purposes. These Terms do not grant you ownership of the Services or third-party content.

If you send feedback, you grant us permission to use it without restriction or compensation, provided we do not identify you publicly without permission.

7. Third-party services

The Services may depend on or link to third-party services, including sign-in, hosting, storage, delivery, email, and AI providers. We do not control third-party services and are not responsible for their content, availability, or practices. Your use of them may be subject to separate terms.

8. Changes, suspension, and termination

We may add, change, limit, suspend, or discontinue all or part of the Services. We may suspend or terminate access if you violate these Terms, create risk or legal exposure, or if necessary to protect the Services or others. You may stop using loopcat at any time and may request account deletion by contacting us at loopcat@flowgpt.com.

9. Bells, VIP, and payments

(a) Bells. Bells are a virtual currency for use inside loopcat only. They have no cash value, cannot be transferred between accounts, and are not refundable once purchased, except where required by law.

Bells do not expire. Bells are a limited license to use features of the Services, not property. We may change the price of scenes, packs, or features that Bells unlock; changes do not affect Bells you already hold. Promotional Bells, including the starter grant for new accounts and one-time first-purchase bonuses, have no purchase value; we may withhold them when we detect abuse, such as multiple new accounts created from one network or device in a day.

(b) Prices. Each scene shows its price in Bells before you confirm it. The price depends on the tier you choose and how much story memory the scene uses. A price you have confirmed is not changed afterwards.

(c) Failed generations. If a scene fails to generate, the Bells reserved for it are returned to your balance automatically. You are never charged for a scene you did not receive.

Scenes that our content policy does not allow are not generated, and no Bells are charged for them.

(d) loopcat VIP. loopcat VIP renews monthly. You can cancel at any time; your VIP benefits continue until the end of the current billing month, and you will not be charged again. Payments already made for the current month are not refunded.

To cancel, use Cancel VIP in your Bells center or email loopcat@flowgpt.com. Each renewal adds your monthly Bells grant; unused monthly Bells roll over and remain usable after you cancel.

(e) Payment processing. Payments are processed by a third-party payment processor. Your card details go to the processor, not to us; we do not store your full card number. By providing a payment method you authorize us and our processor to charge it for the purchases and renewals you select, plus applicable taxes, and you agree to keep your billing information current and accurate. Your payment method is also subject to the processor's and your card issuer's terms.

(f) Taxes and currency. Prices are in US dollars unless stated otherwise. Where required, sales tax, VAT, or similar taxes are added at checkout or included in the displayed price.

(g) Billing disputes. If you think a charge is wrong, contact loopcat@flowgpt.com first so we can fix it. If a charge is reversed or disputed with your bank, we may suspend your account and remove the Bells or VIP benefits tied to that payment while the dispute is resolved.

(h) Statutory rights. Nothing in this section limits refund or cancellation rights you have under applicable law.

10. Disclaimers

To the fullest extent permitted by law, the Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage. We do not warrant that the Services or generated content will be accurate, available, secure, uninterrupted, or error-free.

11. Limitation of liability

To the fullest extent permitted by law, FlowGPT Co. and its affiliates, officers, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, goodwill, or use, arising from or related to the Services, even if advised of the possibility. Our aggregate liability for all claims relating to the Services will not exceed the greater of US $100 or the amount you paid us for the Services during the 12 months before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so these limitations may not apply to you.

12. Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless FlowGPT Co. and its affiliates, officers, employees, and agents from claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your violation of these Terms or another person's rights.

13. Governing law and dispute resolution

Choice of law. These Terms are governed by and will be construed under the Federal Arbitration Act, applicable federal law, and the laws of the State of California, without regard to its conflict-of-laws provisions.

Arbitration agreement. Please read this section carefully because it requires you to arbitrate certain disputes with loopcat and limits the manner in which you can seek relief from us. For purposes of any dispute arising out of or relating to these Terms or the Services, our officers, directors, employees, and independent contractors ("Personnel") are third-party beneficiaries of these Terms and may enforce them against you.

(a) Informal resolution first. Before starting arbitration, you and loopcat agree to try in good faith for 30 days to resolve the dispute informally by contacting loopcat@flowgpt.com. This is a precondition to arbitration.

(b) Arbitration rules. If the dispute is not resolved, it will be finally settled by binding arbitration in San Francisco County, California, or, if the JAMS Consumer Arbitration Minimum Standards apply, in or near the county where you live. The arbitration will be conducted in English under the JAMS Streamlined Arbitration Rules and Procedures then in effect, by one commercial arbitrator with substantial experience in intellectual-property and commercial-contract disputes, selected from the appropriate JAMS list. Judgment on the award may be entered in any court of competent jurisdiction. The JAMS Optional Arbitration Appeal Procedures apply to claims of US $250,000 or more.

(c) Costs. The JAMS rules govern payment of arbitration fees. loopcat will pay all arbitration fees for claims under US $75,000 and will not seek its attorneys' fees and costs in arbitration unless the arbitrator finds your claim frivolous.

(d) Small claims; injunctive relief. Either party may bring a qualifying claim in small-claims court in San Francisco County, California, or in any United States county where you live or work. Either party may also seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement or misappropriation of intellectual-property rights.

(e) Jury-trial waiver. You and loopcat waive any constitutional and statutory rights to go to court and have a trial in front of a judge or jury.

(f) Class-action waiver. All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one user cannot be arbitrated or litigated jointly or consolidated with those of any other user. If this waiver is found invalid or unenforceable, neither you nor loopcat is entitled to arbitration, and all claims will be resolved in the courts described in (h).

(g) Opt-out. You may opt out of this arbitration agreement by sending written notice within 30 days of first accepting these Terms to: FlowGPT Co., 385 14th Street, Apt 1502, Oakland, CA 94612, United States. Include (i) your name and residence address, (ii) the email address associated with your account, and (iii) a clear statement that you want to opt out of this arbitration agreement. You may also send the notice by email to loopcat@flowgpt.com.

(h) Exclusive venue. If you opt out, or where this section permits a dispute to be litigated in court, any judicial proceeding (other than small-claims actions) will be brought in the state or federal courts located in San Francisco County, California, and you and loopcat consent to their exclusive jurisdiction.

(i) Severability; survival. If the class-action waiver is found unenforceable, the rest of this arbitration agreement is void. This section survives termination of your relationship with loopcat.

14. Changes to these Terms

We may update these Terms from time to time. We will update the date above and provide additional notice when required. If you do not agree to updated Terms, you must stop using the Services. Continued use after the effective date means you accept the updated Terms.

15. General terms

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services. If a provision is unenforceable, it will be modified only as much as necessary and the rest will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, merger, acquisition, or sale of assets. The sections on your content, intellectual property, payments already incurred, disclaimers, limitation of liability, indemnity, and dispute resolution survive termination of these Terms or your account.
