EulerHive Terms of Service

1. Introduction & Scope

Welcome to EulerHive, an IT services and software development provider based in Ahmedabad, India. These Terms of Service ("Terms") govern your access to and use of our website, client portals, APIs, and engineering services, including web and mobile app development, cloud infrastructure, AI engineering, and technical consulting (collectively, "Services"). By engaging our Services, you agree to be bound by these Terms and any accompanying Statement of Work (SOW).

2. Eligibility & Representation

You must be at least 18 years of age and legally authorized to enter into binding commercial contracts on behalf of yourself or your organization under applicable Indian and international laws.

3. Engagement & Deliverables

EulerHive provides customized engineering services defined in specific project proposals or SOW documents. Both parties agree to:

• Participate in agile sprint plannings and regular milestone reviews.
• Provide timely feedback and required infrastructure credentials to avoid project blockers.
• Maintain respectful, professional engineering communication across all synchronized channels.

4. Intellectual Property & Code Ownership

EulerHive operates under a strict work-for-hire model. Upon full payment of the agreed fees for each delivery sprint or milestone:

EulerHive retains ownership only of general pre-existing developer tooling, open-source utilities, and foundational templates that are not proprietary to the client's business logic.

5. Payment Terms & Invoicing

• Fees and payment milestones are executed as specified in the agreed project agreement or monthly sprint invoice.
• Invoices are denominated in Indian Rupees (INR) or US Dollars (USD) for international clients, payable via bank wire or approved digital payment gateways.
• Work on upcoming sprints may be paused if milestone invoices exceed standard payment terms (Net 15 days).

6. Confidentiality & Mutual NDA

Both parties agree to hold all proprietary trade secrets, product roadmaps, source code, and customer information strictly confidential in perpetuity. Neither party shall disclose confidential information to any third party without explicit prior written authorization.

7. Warranties & Limitation of Liability

EulerHive warrants that engineering deliverables will be built according to industry standards, utilizing secure modern programming practices. We provide a post-launch warranty support window specified in individual contracts to remediate code defects.

To the maximum extent permitted by applicable law, neither party shall be liable for indirect, incidental, or consequential damages. EulerHive's total aggregate liability under any agreement shall not exceed the total fees paid by the client for the specific milestone or service under dispute.

8. Governing Law & Jurisdiction

These Terms and any project engagements are governed by the laws of India. Any disputes arising out of or in connection with these Terms shall first be attempted to be resolved amicably through mutual executive consultation, and if unresolved, shall be subject to the exclusive jurisdiction of the competent courts in Ahmedabad, Gujarat, India.
