2. Price:
2.1 Quoted prices are inclusive of prevailing Import Duties, Taxes, VAT and other relates cost as per
National Board of Revenue, GoB.
2.2 The quoted price is in BDT are to be understood DDP at Project Site. Packing of products will be
suitable for transport according to INCOTERMS 2010 revision, ICC Publication No. 600.The price
include:
- Progress reporting
- Site Test
- Commissioning, Supervision
- Training
3. Offer validity:
30(Thirty) days from the date of our offer submission.
4. Brand/Origin: Brand/Origin of the materials/components is mentioned in the Technical & Commercial
offer.
5. Delivery lead time
▪ Within 1 weeks for the supply of material.
▪ 2 (3-4 days Machine Shutdown) weeks for the completion of project from the date of delivery
subject to site readiness.
▪ Delivery lead time will be counted from the date of purchase order & opening LC along with
advance payment.
▪ Contractual deadlines/delivery date may change due to delays and/or disruptions in the supply
chain or execution as a result of the outbreak of Corona virus (covid-19).
▪ 50% of total local order value as an advance along with Work Order
▪ 30% of the total local order value will be payable after Installation of the supplied materials
within 2 weeks of bill submission.
▪ 20% of total local order value will be payable after Installation ,Testing , Commissioning of
Machine within 2 weeks of bill submission.
▪ Mode of Payment will be pay order/demand draft/Account Payee cheque in favor of MARKS
Automation Limited.
10.2 Foreign Part: 100% payment through confirmed & irrevocable Letter of Credit at sight if applicable.
12. Warranty:
We stand warranty for the equipment supplied by us against bad material, faulty design, and poor
workmanship for a period of 12 months from the date of commissioning or 14 months from the
date of Ex-works delivery whichever is earlier - to the extent of repair of defective parts and if not
repairable then we will replace the same
A) The product should be operated as per engineering practices.
B) The designed ambient temperature for the automation panels is 40 degrees Celsius.
C) The voltage level should be stable.
D) Our warranty will not include any normal operational wear and tear.
Warranty will be void if there is any unauthorized replacement of any of the electrical components or
changes in the programs and malfunctioning arise from mishandling of the supplied equipment in any
way and we will not be responsible for any cases like unauthorized attempt to access the supplied
equipment or any others part of the equipment.
13. Risk:
The goods sold shall be at the purchaser’s risk immediately upon delivery to the purchaser or
purchaser’s agent or where delivery is delayed, risk shall pass to the purchaser after fourteen (14)
days from the date of notification that the goods are ready for delivery.
At all material times MARKS shall retain the right to cancel the Purchaser’s order in the event of
any conflict or deviation between the terms and conditions of sale in this offer and terms and
conditions in the Purchaser’s order despite receipt of advance payment by MARKS from purchaser
in connection with the order and receiving of advance payment from purchaser shall not be
deemed to have the purchaser’s order been accepted or acknowledged by MARKS in any
circumstance.
17. Force Majeure:
Force Majeure as used herein shall mean any circumstance beyond the control of the parties
including but not limited to:
- War and other hostilities (whether war be declared or not), invasion, act of foreign
enemies, mobilization, requisition or embargo;
- Rebellion, revolution, insurrection, military or usurped power and civil war
- Riot, civil commotion or disorder or any act of terrorism

Restrictions by or actions, omissions, interventions of public authorities (including but not limited
to changes in law, regulations or import/export, security restrictions
In case of Force Majeure either party shall take reasonable steps to minimize the consequence of
such an event. The party which wishes to plead Force Majeure shall inform the other party on the
effect the case of Force Majeure has on the fulfillment of the Purchase or Work Order concerned.
Should any condition cause as have stated before cause an increase in the cost of or time required
for performance of any part of supplies and services, an equitable adjustment shall be made in
the compensation, the time required for performance and such other provisions as may be
affected. In the event of Force Majeure, the delivery period shall be extended accordingly right
after the occurrence of that event.
In the event of occurrence of any condition mentioned before in this clause, the Contractor shall
prepare and submit to the Purchaser an estimate of the increase in the cost of supplies and
services and shall also inform the Purchaser as to whether such condition may require an
extension of time to complete the supplies/and or services. A change order describing the change
or condition involved and the effect on the compensation and completion for the supplies and
services shall be agreed and signed by the Purchaser and the Contractor. An acceptance and official
confirmation of Purchaser’s order by MARKS shall constitute the complete agreement, subject to
the terms and conditions of sale herein set forth and shall supersede all previous quotations orders
or agreements.
18. General:
In the event of any conflict or inconsistency between the terms and conditions of sale herein and
the terms and conditions contained in the Purchaser’s order or in any other form issued by the
Purchaser, whether any such form has been acknowledged or accepted by MARKS, MARKS’
terms and conditions herein shall prevail. No waiver, alteration or modification of these terms
and conditions shall be binding upon MARKS unless made in writing and signed by a duly
authorized representative of MARKS.
19. Arbitration
Any differences or disputes arising from the contract or from agreements regarding its
performance shall be settled by an amicable effort on the part of both parties to the contract. An
attempt to arrive at a settlement shall be deemed to have failed as soon as one of the parties to

the contract so notifies the other party in writing. If an attempt of settlement has failed, the
disputes shall be finally settled under the rule of Arbitration act 2001, the venue of arbitration
must be in Dhaka.
