CONTRACT FOR THE DEVELOPMENT AND SUPPORT OF A HOSPITAL

MANAGEMENT SYSTEM
This Contract ("Agreement") is entered into on this ___ day of ____________, 2025, by and
between:
Developer: Kasaija Gavin, IT Technical Support Officer at Komusoft Solutions (hereinafter
referred to as the "Developer"), with an address at Akamwesi Mall Gayaza Road.
Client: Vivid Hospital (hereinafter referred to as the "Client"), located at
______________________.
RECITALS
WHEREAS, the Developer has expertise in designing and developing customized software
systems, and the Client desires to engage the Developer to develop and support a Hospital
Management System (hereinafter referred to as the "System");
NOW, THEREFORE, in consideration of the mutual promises and agreements herein, the
parties agree as follows:

1. Scope of Work
1.1 The Developer agrees to design, develop, and deliver a fully functional Hospital
Management System tailored to the Client’s requirements as outlined in Appendix A:
Project Specifications.
1.2 The System will include the following modules: Receptionist, Doctor’s Room,
Laboratory Technician, Admin, and Inventory Management.
1.3 The Developer will also provide one year of support and training for the System upon
completion.
2. Timeline
2.1 The project will commence on ____________ , 2025, and the System will be delivered
by ____________ , 2025, unless otherwise agreed in writing by both parties.
3. Payment Terms
3.1 The total cost for the development of the System is UGX 3,500,000 (Three Million Five
Hundred Thousand Uganda Shillings).
3.2 Payment will be made in the following instalments:
• 30% (UGX 1,050,000) upon signing this Agreement.
• 50% (UGX 1,750,000) upon delivery of the completed System.
• 20% (UGX 700,000) after successful training and deployment.
3.3 All payments shall be made via 9030016412227 in the names of Kasaija Gavin.
4. Support and Training
4.1 The Developer will provide one year of free support and training starting from the date of
System deployment. 4.2 Support includes bug fixes, minor updates, and assistance with using
the System. 4.3 Any additional feature requests or major changes during this period will be
charged separately at rates to be negotiated. 4.4 After the one-year period, support will be
provided on an as-needed basis and billed at mutually agreed rates.
5. Intellectual Property Rights
5.1 The System’s source code, documentation, and all deliverables will remain the
intellectual property of the Developer until full payment is received.
5.2 Upon receipt of full payment, ownership of the System’s deliverables will be transferred
to the Client, except for pre-existing proprietary tools and libraries used by the Developer.
6. Confidentiality
6.1 Both parties agree to keep all information exchanged during the course of this Agreement
confidential and not disclose it to any third party without prior written consent.
7. Warranties and Limitation of Liability
7.1 The Developer warrants that the System will function as per the specifications outlined in
Appendix A.
7.2 The Developer shall not be held liable for:
• Data loss or corruption caused by third-party systems.
• Any delays caused by the Client’s failure to provide necessary information or
approvals.
7.3 The Developer’s total liability shall not exceed the total amount paid under this
Agreement.
8. Termination
8.1 Either party may terminate this Agreement if the other party breaches any material terms
and fails to rectify the breach within 14 days of receiving written notice.
8.2 Upon termination, the Client will pay for all work completed up to the termination date.
9. Dispute Resolution
9.1 Any disputes arising out of this Agreement will be resolved through mutual negotiation.
If unresolved, disputes shall be referred to mediation or arbitration in accordance with
Ugandan law.
10. Entire Agreement
10.1 This Agreement constitutes the entire understanding between the parties and supersedes
any prior agreements.
10.2 Any amendments to this Agreement must be made in writing and signed by both parties.
