The Finance Act, 2020 has introduced Tax Collection at Source (TCS) provisions in the Income-tax Act, 1961 (“the Act”) which require seller of goods
to collect TCS on consideration received in excess of INR 50 lakhs in a Financial Year, towards such sale of goods. While determining applicability of
TCS, Dell would evaluate relevant provisions of the Act including analysing whether taxes have been deducted under section 194Q or under any other
provisions of the Act. Hence, while making payment, you are requested to provide the payment details along with details of tax deducted (if any)
including the rate and section under which tax is deducted.

Where it is determined that TCS is applicable for any transaction(s), Dell, in accordance with the provisions of the Act, reserves the right to charge /
collect / adjust TCS through an intimation in any form including by way of a debit / credit note, invoice(s) or any other means.

Terms of Sale

(1) The transaction in this document (“Quote”) (including all sales and services) is subject to (a) a separate written agreement between you and Dell
(including the respective affiliates) to the extent that the agreement expressly applies to the quoted items in this Quote, or to the extent there is no such
written agreement, the Dell Terms and Conditions available at https://www.dell.com/learn/in/en/incorp1/terms-of-sale, or available upon request; (b) the
relevant service agreement (which may comprise order forms, "Service Descriptions", "Technical Specification Forms" or "Statements of Work", as
appliable) for the services provided by Dell; and (c) all the other terms and conditions of this Quote ((a), (b) and (c) together, the “Agreement”).
(2) By signing a Quote and/or submitting a purchase order to Dell pursuant to a Quote, you acknowledge that you have read and agreed to be bound by
the Agreement and to sharing your personal information with Dell and its affiliates and Partners. The Agreement is the final agreement between the
parties in connection with the transaction, replacing any preprinted or other terms in any purchase order, invoice or other document issued by either
party.
(3) The Agreement may not be amended or varied by any other subsequent terms or conditions imposed by you without prior written approval and
signature of Dell's authorized signatory or their delegate, such approval to include a specific reference to this paragraph (3).
(4) These commodities, technology or software were exported in accordance with the United States' Export Administration Regulations. Diversion
contrary to US law is prohibited.
(5) The recipient of products may be required to present his/her identification prior to delivery of products. Our logistics partner may note the recipient's
name and ID number on the Proof of Delivery for security purposes. Failing to comply will result in delayed delivery. Failure to take delivery and collection
of products on the date(s) advised by Dell will entitle Dell the right to charge a penalty of Rs 150 per carton for each day that the carton is left uncollected
in Dell's warehouse until the actual collection date.
(6) For the protection and security of your credit card information, Dell requests that you do not send any credit card information through either email or
fax.
(7) Notwithstanding anything to the contrary in the Agreement, title, possession and risk of loss for hardware products purchased by you shall not pass to
you before arrival of the hardware at the ship-to-address in the purchase order. The same applies to media on which software purchased by you is
provided outside of a Transformational License Agreement or similar enterprise licensing arrangement.
(8) The prices quoted are at the current INR/USD forex rate as on the date of this quote. If the INR depreciates beyond 3%, Dell reserves the right to
revise the prices.
(9) Export or re-export to Russia or Belarus or for use in Russia or Belarus are expressly prohibited. Dell reserves all rights and remedies to enforce this
restriction, including injunctive relief, damages, and cancellation/termination.
