Dear Mr. K Vishal

In pursuance of the discussion we had, we are pleased to offer you employment in the position of
Software Engineer with RevoluSys Solutions Private Limited.

The gross compensation offered is Rs. 6,00,000/- (Rupees Six Lakhs only) per annum, inclusive of all
taxable and non-taxable emoluments, Project bonus, Allowances, Perquisites andbenefits and Statutory
contributions. The break-up is given in the attached Annexure A. Any changes inthe remuneration policy
would be communicated time to time.

You are required to join the services of the Company within but not later than 04/12/2023 and your
appointment shall be effective from the first day that you join the services of the Company. Failure to
report for duty on the aforesaid date will make this employment offer invalid and it will be deemed to be
withdrawn, with immediate effect, without any further reference to you. At the time of formally resigning
from services, you shall have to serve the notice period of 30 days.

At the time of joining, please submit the following documents:


 Resume along with your passport size photograph.
 Photocopy of your Passport/ PAN Card/ Voter ID in support of your photo identity.
 Photocopy of your certificates and mark sheets in support of your educational qualifications.
 Relieving letter from your previous employer and last drawn pay slip.
 Copy of your PAN Card.
 Copy of Aadhar Card.

Please carry your original certificates for verification at the time of joining.

Terms and Conditions of Employment

You shall be governed by the following terms and Conditions of Service during your employment with
Revolusys Solutions Private Limited (Hereafter referred to as the “Company”) and those that may be
amended from time to time.

1. PERIOD OF CONTRACT
The Employment contract is based on completion of the project at the Client site. The initial contract
period will be 6 months from the date of joining. Your contract will be extended when the Client extends
the project.

2. STATEMENT OF FACTS
The Company has made the offer of employment on the understanding that all the information provided
by you in your application form / employee data form / during the interview or data provided prior to and
or at the time of joining is true.
At the time of employment or during employment, if the Company finds the information provided to be
false or misleading, it reserves the right to take appropriate disciplinary action against you.

3. RESIGNATION AND TERMINATION


Notice period for resignation or termination from the service of the Company is 3 (Three) months or till
the end of contract period, whichever is less or if mutually agreed by the employer and employee Gross
Salary in lieu of notice period. Such notice may not be offset by unused leave. The Company may at its
absolute discretion, waive the notice period that is required to be given by you.
The Company reserves the right to terminate your services without notice or salary in lieu thereof for
reasons including but not limited to, misconduct, negligence of duty, disloyalty, dishonesty,
misrepresentation, indiscipline, disobedience, break of the Non-disclosure Agreement, irregular
attendance, inefficiency, poor performance, redundancy job or any act detrimental to the interests of the
Company.
On termination of employment and/or your resignation you will immediately give up to the Company all
tools, accessories, documents, specifications, books, etc,., of whatsoever nature in your custody, care or
charge and obtain clearance from the relevant person(s), office(s), department(s), on production of which
alone, your dues, if any will be settled by the Company.
On accepting the offer you agree that during the term of your employment with the Company and for Six
months after the resignation / termination thereof, regardless of the reason for the employment
termination, you will not, directly or indirectly, work for any of the competing partners of Company’s
Principal or Client which can cause damage to the Company in the form of financial losses, loss of business
or loss of confidentiality.
4. HOURS OF WORK
The standard working days are from Monday to Friday and the normal working hours are 9.00 am to
6.00 pm inclusive of an hour lunch break. Saturday and Sunday is a weekly off. The company reserves
the right to alter or modify its working hours or holidays temporarily or permanently. However due to
business exigencies employees may be required to work such additional hours as are necessary to meet
the business demands.
The employees may be required to work on shift basis including night. In all such cases, the actual working
hours shall be prescribed.

5. EXCLUSIVE SERVICE
During working hours you shall use your best energies and abilities to serve the Company faithfully. You
shall comply with the rules, regulations and procedures of the Company.

Unless the Company otherwise consents in its sole discretion, you will devote your entire resources and
full and undivided attention exclusively to the business of the Company during the term of your
employment with the Company. You are required not to engage in any other gainful or commercial
employment or business; either part-time or full time in any way that would impair your ability to render
best services to the Company. The Company will expect you to display a high standard of initiative,
efficiency and economy.

You shall however, undertake honorary work of social or charitable nature literary artistic or scientific
character only with the express written permission from the competent authority.
You are required to strictly maintain secrecy and not divulge or communicate in any manner, any
information regarding your remuneration / terms of employment to any other employee of the company
except your immediate superior. Any such disclosure would be considered a serious case of indiscipline
and would render the company to take disciplinary action as deemed fit.

6. PLACE OF WORK AND TRANSFER OF SERVICE


The Company’s primary office is in Bangalore although you may be required to work in any of the
Customer’s office in different cities.
In view of the nature of the company’s business, you may be assigned to different locations both in India
and abroad. You will carry out assignments/projects given to you from time to time with diligence and
devotion and maintain the company’s image as suppliers of quality software and services.
The company will reimburse all reasonable expenses on your boarding and lodging as also other out of
pocket expenses incurred by you, on company’s business, the details of which will be communicated to
you before your proceedings on such assignments.
Such transfer will not automatically create any rights to a revision in your salary or other terms and
conditions of your services.
In case of relocation from one city to another due to official work company will provide accommodation
for a period of first 15 days.
7. BENEFITS AND COMPENSATION
The benefits such as Provident Fund, Medical Reimbursement, Medi claim, will be provided. Apart from
this there shall be other benefits given which may vary from time to time as per the amendments of the
Company’s policies.

8. TRAINING
You may also be selected or sponsored by the company for training assignment with the company’s
associates or other institutions within India or abroad. You will diligently and beneficially, take part in
such trainings and assignments. The training may be formal or on the job. You will be required to continue
the employment for a minimum period specified at the time of starting the training or you will be liable
to repay the training cost incurred by the Company.
Company may ask you to sign service agreements as a token of continuous employment with the
organization after the completion of training based on the company policies.

9. CONFIDENTIAL AND PROPRIETARY INFORMATION


In connection with your employment by the Company, you may have access to or may receive confidential
information or materials, which is of value to the Company. For the purposes of the Agreement, all such
confidential, proprietary or trade secret information will be referred to as “Proprietary Information”.
Proprietary Information shall not include information known publicly or generally employed in the trade,
nor shall it include generic knowledge that you would have learned in the course of similar employment
elsewhere.

Your employment creates a relationship of confidence and trust between you and the Company with
respect to Proprietary Information. Hence, you therefore agree to abide by the following terms and
conditions:

Proprietary Information should be used only as authorized and only for the purposes intended by the
Company.

At all times, both during and after your employment with the Company, you will hold Proprietary
Information in confidence. You will not use, transfer, publish, disclose, or report Proprietary Information
directly or indirectly, except such disclosure to other employees of the Company or authorized third parties
as may be necessary in the ordinary course of performing your duties for the Company as directed by the
Company.

You agree that you have not brought any Proprietary Information of a former employer to the Company
and that you will not use any Proprietary Information of a former employer in the performance of your
work with the Company unless you have written authorization from your former employer.
You will promptly disclose to the Company all ideas, processes, inventions, modification and
improvements (Collectively referred to as “Inventions”) relating to any work or business carried on by the
Company, conceived by you alone or with others during the term of your employment, whether or not
conceived during regular business hours. All such inventions would remain the sole and exclusive
property of the Company.

Any unauthorized disclosure of confidential or copyrighted materials of the Company would attract
stern action from the company including and not limited to termination of your employment and legal
prosecution as necessary.

MISCELLANEOUS
If any provision of this contract of employment is held to be invalid or unenforceable, then such provision
shall (So far as it is invalid or unenforceable) be given no effect annexed shall be deemed not to be included
in this contract of employment but without invalidating any of the remaining provisions of this Agreement.
