Cargo Courier Service provider should not insist that HAL has to necessarily
book Consignments duly insured with the Contractor. But it would be the
entire responsibility of the Contractor to deliver the material in safe and
sound condition to consignee.

In case of theft, loss, damage Party will provide all documents like proof of
Non-delivery Certificate, FIR/shortage/Leakage/Damage certificate & all
relevant documents to enable HAL to lodge the claim with Insurance
Company as per the requirement of Insurance company.
The cargo consignments will be collected by the Contractor form HAL Factory
(Shipping Stores), Ojhar, Tal. Niphad, Distt Nasik for Annexure - A & C of
commercial/price bid on daily working day basis between 8.00 am to 2.00 pm

on working days & if required on holiday also. From destinations against
Annexure-B of commercial/price bid to HAL, Ojhar Nasik on as and when
required basis, on working days and if required on holiday also.
It is obvious that all HAL consignments pertain to national security and are of
high value. Therefore, these are required to be delivered in time at the
5 destinations without any delay. For this purpose, party will have to inform to
their Branch Managers on all India basis, to be extra careful while handling
HAL cargo consignments.

Transporter will arrange transportation of all types of consignments including

consumables/ chemicals used for Aircraft production both incoming &

outgoing as per Annexure-A, B & C of commercial/price bid. Undertaking
regarding nature of material can be issued by HAL on demand.
Weight/dimensions etc. of the packages as indicated in Goods Consignment
(GC)/Dockets by consignor shall be the same weight delivered to consignee.
7 Party shall affect delivery of the consignment in identical form. Party shall
effect open delivery for assessment as required by consignee in the event of
package(s) is/ are found damaged etc.
Cargo Courier Service provider as public carrier shall be responsible for
any loss or damages as they are obliged under the carrier of
Goods Act 1930 and/or its latest revisions. Party will also be responsible

for safety, security and safe transportation of goods without any

loss, damage and shortage. In case of theft, loss, damage Party will provide

all documents like proof of Non-delivery Certificate, F.I.R

 Shortage/Leakage/Damage certificate etc. to lodge the claim with Insurance
Company as per their requirement.
Party will not, without obtaining prior permission from HAL in writing,
assign or select some other contractor for transporting HAL’s material

and even if such consent is given by HAL, it shall not relieve the
party of their contractual obligations.
The party shall always be regarded as an independent Contractor for carriage
and his employee of the company. HAL shall not be liable /responsible for
damage, loss or injury, if any, caused to the life or property of any person
whether they are employees of the party or third parties, by reason of any
acts of commission, recklessness or negligence on the part of employees of
10 the party or of any persons engaged by them in connection with the work of
carriage or incidental loading and unloading. Nor shall HAL be liable
/responsible for the claims, if any of the employees of the party under the
Workmen’s Compensation ACT or any other enactment or law. The party shall
keep HAL fully indemnified and harmless against any claims of his employees
as per Workmen’s Compensation ACT.
The contractor shall be liable to pay & settle all claims of compensation
11 arising out of any accidents as per statutory provisions of motor vehicle Act,
1988 / W.C. Act, 1923 or any other statue as applicable.
Force majeure conditions such as strike riots, civil commotions, natural
calamities, etc. the individual cases of delivery beyond the stipulated period
of delivery shall be considered by HAL on mercies of each case. However,

each occurrence shall be intimated to HAL immediately by telephone
followed by a specific written representation within 15 days from the date of
delivery of the consignment.
The packages, which are opened for survey by the govt. agencies at, check
post, shall be accepted by contractor for carriage after ensuring that the
13 packaging is sound. Contractor shall obtain certificate to the effect that the
package was opened for such survey/examination indicating interlaid the
weight of individual repacked cases.

12. Termination:-
Either Party can terminate the Contract any time after giving three months’

notice during the Contract-period.
HAL reserves the right to terminate the contract at any time, without assigning
any reasons thereof, by giving three months’ notice of their intention to do so

in writing to the Contractor who shall not be entitled for any compensation by

reason of such termination.

 If at any time during the currency of the contract, the Contactor fails to render
all or any of the services required under the scope of work satisfactorily in the
C opinion of the HAL, whose decision shall be final and binding on the Contractor,
HAL reserves the right to get the work executed by any other Agency or
departmentally at the risk and cost of the Contractor.
In the event of the Contractor going into liquidation or winding up business or
making arrangement with a third party, HAL shall have the right to terminate
the contract forthwith. In case any of the partners of the Contractor become

insolvent the contract shall automatically stand terminated. HAL reserves the
right to claim from the Contractor any cost and expenses or loss that it may
have incurred by reasons of breach of terms and conditions of contract.
The Contractor shall not split, Sub-Contract or transfer any part of the contract

to any other agency during the currency of the contract.
The Contractor shall immediately intimate any change in the address of the

office to HAL during the currency of the contract.
G Abandonment of the work by the Contractor.

13. Arbitration: -
Except where otherwise provided for in the contract, all disputes whatsoever
arising out or relating to the contract, instructions, orders or these conditions or
otherwise concerning the works or the execution or failure to execute the same
whether before or after termination of contract or after the completion or
abandonment of the contract or during progress of contract, for whatsoever
reasons it may be, shall be referred to the sole arbitration of any person who
shall be appointed by The General Manager, Hindustan Aeronautics Limited,
Aircraft Division, Nasik, Ojhar at his sole discretion. There shall be no objection
to any such appointment even if the arbitrator so appointed is an employee of
any of the HAL divisions/branches. Such an appointment of the arbitrator shall
not take place unless and until a written request for appointment of arbitrator

from any of the parties to contract has been received by the General Manager
as aforesaid. If the arbitrator who has been appointed, dies or unable to act
arbitrator for any reason whatsoever, The General Manager aforesaid, shall
appoint at his own sole discretion any other person to act as arbitrator in place
of the arbitrator who has been appointed as replacement of the arbitrator
originally appointed, as the case may be. Such person appointed as arbitrator
shall be entitled to proceed with the reference from the stage at which it was
left by his predecessor. It is the term of the contract that that no person other
than a person appointed by General Manager as aforesaid should act as
arbitrator and if for any reason that is not possible, the matter is not to be
referred to arbitration at all.
The arbitrator shall be deemed to have entered on the reference on the date on

which first hearing takes place.
The venue of arbitration shall be such place as may be fixed by the arbitrator at
C. his sole discretion. The award of the arbitrator shall be final, conclusive, and
binding on all the parties to contract.

any statutory modification or re-enactment thereof and the rules made there
 under from time to time and for the time being in force, shall apply to the
arbitration proceeding under clause.
14. Jurisdiction: -
In respect of all matter arising out of or pertaining to this tender and the
contract coming into existence or acceptance thereof, the cause of action shall
be deemed to have arisen only at Pipalgaon, Nasik District (Maharashtra State)
where HAL offices are situated. All legal proceedings whatsoever pertaining to
the contract shall be instituted only in the courts having territorial jurisdiction
over Nasik, the place where HAL offices are situated and not in court or forums
situated elsewhere.
15. Secrecy: -
Any of oral or written instructions made and materials made available by HAL to
the Contractor in pursuance of the services to be rendered hereunder, are
strictly confidential in nature and shall not be disclosed by Contractor or any of
his staff without written permission of HAL during currency of contract period
or thereafter.
16. Special note: -
HAL reserve the right to extend the contract for a period of one more year with
same terms & conditions with L1 party at the discretion of management.
17. Labour Law Compliance:
It will be the responsibility of the bidder to comply with various acts/rules as
applicable /amended/enacted from time to time like Labour Codes viz IR Code,
Wage Code, OSH Code, Social Security Code and including but not limited
following

a) Payment of Wages Act 1936

The bidder will pay wages/Salary to contract labour on or before 7th day
of each month. In case of deploying 1000 or more Contract Labour in HAL,
Nasik Division the payment to contract Labour will be paid on or before 10th day
of each month. The payment to the contract labours shall be made through RTGS
/ NEFT only by the bidder. The proof of the same will be produced along with
monthly bill.

b) The Minimum Wages Act 1948 -

The bidder shall pay minimum wages to all contract Labours working
under him in the contract .Where both Central and State has fixed the
Minimum rates of wages, the rate of wages whichever is higher will be
applicable. Revision in the Minimum Wages from time to time will be paid to
the bidder.

c) The Employees’ Provident Fund and Miscellaneous Act, 1952.

The bidder will have to cover all contract labours working under him
under his Provident Fund Code Number. The registration of bidder details on
HAL PF site is mandatory for each of the contracts. The provident fund monthly

contribution of contract labour shall be paid on or before 15th day of every

month. The bidder will have to maintain the following records and will produce
during inspection to the Office of Regional Provident Fund Commissioner, Nasik:
1) Muster roll, wages and salary register record and books of Account
maintained under other laws
2) Attendance Register
3) Inspection book
4) PF monthly challan of contract labour paid to PF
5) Remittance of monthly bills received from HAL till date of inspection
6) Letter of acceptance/P O/Work Order and contract Agreement

For calculation of PF Contribution, wages will be arrived at based on

Basic, VDA and all allowances to be included, subject to the ceiling limit of Rs.
15,000/- per month. If the wages and other allowances exceeds Rs. 15,000/- per
month, the PF contribution @12% is payable only on Rs. 15,000/- per month
and not the entire wages. Only when the wages and all other allowance are
below Rs. 15,000/- per month, PF contribution @ 12% should be paid on actual
wages.

The tenderer will either transfer the PF of contract labour at the end of the
contract or fill in the withdrawal form and facilitate withdrawal at the end of
the contract as the case may be.

d) The Employees State Insurance Act, 1948 -

The bidder shall have to cover all contract labour working under him
under ESIC and distribute E-pehchan card to contract labours. The bidder shall
obtain the ESIC Code from Sub Regional Office, Nasik. The bidder is responsible
for tasks related ESI such as: addition/deletion of family members/dependents
of contract labours, medical claim settlement, Funeral expenses claim
settlement, etc. The ESIC monthly contribution of contract labour shall be paid
on or before 15th of every month. The bidder will have to maintain the following
records and will produce during inspection of ESI authority:

1) Muster roll, wages and salary register record and books of Account
maintained under other laws
2) Accident Register in new Form-11
3) Inspection book
4) ESIC monthly challan of contract labour paid to ESIC
5) Proof of distribution of E-Pehachan to contract labour
6) Letter of acceptance and contract Agreement
7) Remittance of monthly bills received from HAL till date of inspection

e) The Contract Labour (R &A) Act, 1970

Every bidder employing twenty or more contract labour shall obtain
Labour License from Asst. Labour Commissioner, Mumbai within one month
from the awarding of contract. The bidder shall issue appointment letter to the
contract labour and termination letter at end of contract. The bidder will have

to maintain the following records and will produce during inspection of Labour

Enforcement Officer, Nasik/Asst. Labour Commissioner, Mumbai:

1) Muster roll, wages and salary register record and books of Account
maintained under other laws
2) Letter of acceptance and contract Agreement
3) Labour License (if applicable)
4) Proof of Wage slip given to contract labour
5) Proof of payment of wages to contract Labour
6) Remittance of monthly bills received from HAL till date of inspection
7) Overtime/Extra stay register of contract labour.

f) Maharashtra Labour Welfare Fund Act, 1953:

The bidder will fulfill the statutory provisions of The Bombay Labour
Welfare Fund Act, 1953 i.e. register themselves with Maharshtra Kamgar
Kalyan Mandal, Elphinstan Road, Parel, Mumbai. After obtaining establishment
code, the tenderer has to deduct contract labour’s contribution and
management’s contribution on actual which is Rs. 12/- (Rupees Twelve Only) &
Rs. 36/- (Rupees Thirty Six Only) at present for each term respectively & deposit
the same for the labours on their rolls on 30th June and 31st December of each
year.

Kindly note that this is statutory provision. Bidder shall take this aspect
into consideration while quoting of service charge & no separate management
contribution will be paid to the bidder.

g) The Factory Act, 1948

The Daily hours, Weekly hours, Holidays, compensatory holidays,
Interval of rests, spread over, Night Shifts, Extra stay, Wages for Overtime,
Lunch break, Tea break, working conditions, Safety, Welfare measures etc. of
contract labour working under you will be governed by under the provisions of
the act.

In case of accident, which is fatal or likely to prove fatal or causes major

injury, the tenderer shall telegraphically inform the following authorities
immediately within 2/3 hours from the time of occurrence of such accident.

h) Maharashtra Govt Professional Tax

The bidder will deduct Professional Tax as applicable from time to time
 under Maharashtra Government levies of Professional Tax from Salary/wages of
contract labour as per Slab and deposit with the State authority. The proof of
the same should be submitted with monthly bill.

i)The Employee s Compensation Act 1923

The contractor shall obtain Insurance coverage under the Employees

Compensation Act 1923 as a social security for the contract labours who are not
covered under ESIC scheme.

j) Settlement of Compensation on Accident applicable to Hindustan

Aeronautics Limited.

The following Compensation to borne by the bidder for any accident caused to
general public or person who may not covered under any provision/ rules/
guidelines for any Compensation due to the wrongful act/ neglect or default on
its part and not withstanding anything content any law, be liable to pay
Compensation to such extent as indicated below due to default of Contract
labour/ bidder during the Contract period.
a) In case death or Permanent disability resulting in loss of two limbs Rs.
10 lacs.

b) In event of any other Permanent disability Rs. 7 lacs.

Note: The above will be deducted from bidder’s bill & will be paid by HAL to
the affected person or dependents family in the case of death.

Reference: Guidelines for Settlement of Compensation on Accident applicable to

Hindustan Aeronautics Limited. (Letter No. HAL/HR/24(1)/2018 dated.
13th November 2018)

NOTE: The bidder shall supply necessary details/documents as required by

the Principal Employer (PE) to submit the labour authorities as and when
required. Non submission of documents at the time of inspection of any of
the above statutory authorities will be treated as Non-compliance and action
may be initiated against the bidder by HAL.

ARBITRATION: In the event of any disputes, differences or claims arising between the parties to this
contract or in any way relating to any terms, conditions or provisions herein mentioned, or in the
construction or interpretation of any of the Clause herein, the parties shall endeavor to settle such
disputes, differences or claims by amicable settlement through mutual discussions. In the event the parties
reach no amicable settlement hereto within 30 (thirty) days of conduct of the mutual discussion, the
dispute shall be referred to mutually agreed Sole Arbitrator for arbitration. The provisions of Arbitration
and Conciliation Act, 1996 including any amendments thereof shall be applicable for the said arbitration

proceedings. The venue of Arbitration shall be Nasik. The award of the Arbitrator shall be final,

Cargo Courier Services shall submit the freight bills in duplicate in the
prescribed form duly signed and pre-receipted. These bills should be
1 submitted along with the POD (Proof of Delivery) copy of Docket duly signed
& stamped by the Consignee indicating the date of receipt of material at the
destination.
For special cases, weight will be considered on actual chargeable weight or
volumetric weight, whichever is higher.
The formula for chargeable/ volumetric weight for

Air Cargo, Chargeable/ volumetric Weight = [(L x B x H) /1728] x 6. i.e.,

The Payment will be made through RTGS within 30 days from the date

It is mandatory to provide RTGS details in the prescribed format, because

payment will not be made through Cheque / DD.

In case of the delivery or collection is delayed the penalty charges @2% per
day limited up to 50 % for Road Cargo Service & the penalty charges @4%

per day limited up to 40% for Air Cargo Service consignment of the quoted
charges will be deducted from the Freight Payment Bill of the consignment.
In case the party is not able to provide vehicle for booking of consignments
within the agreed time frame (within 24 hours) after intimation by
telephonically/e-mail/fax, HAL will be at full liberty to resort for alternative
arrangement at risk & cost of the transporter without affecting the
2 transporter liability, besides recovery of liquidated damages @2 % per day
limited to 50% for Road cargo & @4% per day Air cargo limited to 40% for air
cargo for delay period/un lifted consignment from party freight Bills. The
differential freight charges incurred by HAL (ND) will also be recovered from
the transporter freight bill for such cases.

required Sunday also.

9 Vehicle should be report To Shipping Store department daily at 13.00 pm for pickup the consignment.
