Business Association Offer:
We are looking ahead to join association with energetic and dynamic entrepreneur to grow
our business prospects in different cities and towns (below termed as location) of India
through our Online Directories. We have set a fantastic earning opportunity for a long term
business relation and success. Below are the offer terms:

1. Memorandum Of Understanding (MOU) would be signed by WEBADS (as first part) &
Business Associate (as second part) as per these mentioned terms.

2. Business Associates need not spend any charges towards License Fee for business
operation. Business Associates would operate only for the selected/allocated location.
No second association will be allotted for the same location to any other party during
the active association period.

3. Business Associate will be solely responsible for arranging and organizing issues like:
setting up of Office space and all monthly expenditures relating to it, like: Office
Rent/Lease Charges, Staff Salary, all miscellaneous expenditures & required
Marketing/Promotional materials on their own cost and would monitor smooth
operation of the business activities to achieve proposed business targets. WEBADS will
not be responsible or liable for any above mentioned expenditures in any means.

4. Business Associate will recruit required man power for execution of this business
operation as per the recruitment offer as provided and submit a copy of all executives
resume to WEBADS. Business Associate will always ensure that executives involved in
this business operation are trained properly about the company, its products &
services, product prices, offers (if any) so as to keep up the dignity and reputation of
WEBADS prior to their client visit. No events or incidents would be accepted by
WEBADS which would threaten or harm its reputation.

5. Entire technical aspects relating to online directory as well as other services would be
taken care by WEBADS as per the committed specifications. Details of Product
Specification and Price List will be provided by WEBADS in the mode of Hard/Soft copy
as required from time to time.

6. All payment that would be collected from clients should be in mode of Cheque/DD
(OR) Bank Deposit/Fund Transfer in favor of WEBADS only. Cash collection should be
restricted except only for un-avoidable circumstances. All transactions for the collected
orders should be deposited to specified Bank Account within the next working day
from the date of collection of orders and a report of such transactions should be sent
on the same day.

7. WEBADS will termination of this MOU on event of breaching terms mentioned under
this MOU or on event of non performance of the proposed business plan for more than
6 months from the date of starting business operations. Business Associate may also
quit this MOU due to any reason they feel genuine, with a prior notice and upon
clearing all pending issues whichever is related to this business.

8. We would like our Business Associate to grow parallel with our Revenue Sharing Model
which is really made attractive as mentioned below, and any other transactions that
may happen during the tenure would be upon mutual agreed terms.
A detailed sharing plan and a expected business plan is mentioned below which we would like
our associate to plan and make it happen with a team of executives.

Business Listings 60 %

Banner Advertisements 30 %

Website Orders (below Rs.20000/- ) 10 %

Website Orders (between Rs.20000/- to Rs.50000/-) 15 %

Website Orders (above Rs.50000/-) 20 %

Sample business plan for each location:

For a particular selected/allocated location a minimum of 10 Executives team has to


be formed. These executives will be trained to promote our products and services
and generate business. Associate will be looking after the team and guide them to
move further. Below is a marketing plan which projects a monthly business and
revenue generation allotting a target of generating 8 Business Listings a month per
executive against which they would be offered a package of Rs.15,000/- +
Incentives per month.

Total Revenue from BL : 80 x Rs.6,000/- = Rs.4,80,000/-
Total Revenue from Banner : 2 x Rs.60,000/- = Rs.1,20,000/-
