CONSTITUTION AND RULES
1. GROUP NAME :
The name of the group shall be DANDORA ONE COMRADES UNITED SELF
HELP GROUP
2. MEMBERSHIP
REGISTRATION:-
1. Any person above 18 years shall be eligible for membership.
2. Every eligible person wishing to become a Member shall pay a non refundable
registration fee of 500/=
3. Upon approval the applicant shall become a member of the group and shall be
required to pay a weekly contribution of Kshs 140/=. From 12:00 pm – 1:00 pm.
4. Any member desiring to resign from the membership of the group shall be required to
submit his/ her resignation letter to the secretary with a note of the date till 3 months
notice and a cut of 10% of savings.
5. Any member may be expelled from the membership of the group if the executive
committee so recommended and if the general meeting of the group so approves by
2/3 of the majority of members present. If a member breaks rules set to govern the
group.
6. Any person who resigns or is removed from the membership of the group shall not be
entitled to her registration fee of the annual subscription, however other monies
contributed for investment in the project of the group shall be refunded less any debt/
dues owed by the members who so resign or is removed from the membership of the
group and 10% will be deducted from total dues.
7. Any member who fails into arrears with monthly subscription for more than three
months shall be automatically cease to be a member on payment of the total amount
of the subscription outstanding and the member should communicate to the executive.
8. All members to list next of kin, In case of death of a member the person listed as next
of kin will have a choice to inherit or join and continue where the member left.
3. MEMBERS RIGHTS AND DUTIES
Fully paid members of the group shall be:
i. Eligible to hold office and participate in the election of the officials of the group.
ii. Entitled to vie for any election past in accordance with the constitution.
iii. Entitled to take part in all the activities of the group.
iv. Entitled to promote the objectives of the group as stipulate.
4. VALUES OF THE GROUP
The group has adapted the following values which members shall subscribe to all the
time:

a. Equality – All members shall be treated equally irrespective of their position, gender,
problem or whether they are officials of the initiative.
b. Collectiveness – Together as member, we can help each one of us to overcome a
hardship which can be difficult to handle if left alone.
c. Friendship – Through the Group, members will experience the true meaning of the
saying “a friend in need is a friend indeed”.
d. Mutual relation – We need to support fellow members knowing that they will be
there for us at our time of need.
e. Sharing – we share the little we have to alleviate the pain and suffering in the lives of
members.
f. Mutual Respect

1. Chairperson
2. Vice Chairperson
3. Secretary
4. Treasurer
5. Organizing Secretary /Coordinator
6. Supervisory Committee two members
1. Members of the group shall be elected in any annual general meeting after every two
years.
2. Every office bearer of the group shall vacate her office on the expiry of two years but
shall be eligible for re-election for another 1 term of two years only.
3. Nomination for the office bearers shall be submitted in writing to the secretary two
weeks prior to the date of the annual general meeting.
4. An officer may resign from her post provided that she gives one clear month notice in
writing to the executive committee. She/he hands over to the executive committee all
the documents, correspondence to the office.
5. Resignation form does not imply withdrawal from membership of the group.
6. An office bearer who ceases to be a member of the group shall automatically cease to
be an office bearer thereof.
7. In the event of an officer(s) resigning, dying, being dismissed or otherwise ceasing to
be an officer of the group, the executive committee may appoint a person(s) to act
pending at the subsequent annual general meeting.
6. REMOVAL OR SUSPENSION FROM OFFICE
1. Any office bearer may be removed from office by 2/3 majority of the members
present at the annual general meeting/ special general meeting.

2. The executive committee may suspend an officer provided such an officer shall be
proved guilty of the offence with approval from other members.
3. Voting shall be by secret ballot.
7. DESIGNATION AND DUTIES OF EXECUTIVE COMMITTEE.
DUTIES OF OFFICE BEARERS
1. CHAIRPERSON
o The chairperson shall preside over all committee and general meetings with the
help of his/her vice chairperson unless presented by illness or any other
reasonable cause.
o Shall coordinate supervise and give directions on daily activities of the group.
o Shall preside over meeting of the group both official and general.
o Shall represent the group matters of importance i.e benefit of the group.
o Shall delegate duties to the officials and demand, responsibilities accountability to
any member.
o Shall hold portfolio to information sharing and public within and outside the
group.
o Shall at all time upload the vision and protect the constitution of the group.
o Shall be the spokes person of the group.
2. VICE CHAIRPERSON
Shall assist the chairperson in all his/her latter absence.
3. SECRETARY
Responsible for secretariat under the direction of the executive committee.
Ensure all meetings of the executive take place as provided for in the constitution.
Keep proper records of all meetings of committee and ensure distribution such
minutes to the parties concern.
Maintain and have custody of all correspondence and records of the group.
4. ASSISTANT SECRETARY
Shall assist the secretary in all duties and assume all such duties in the latter
absence.
5. TREASURER
Be one of the signatories in all financial transactions of the group
Receive and distribute all monies belonging to the group and issue receipts for all
the monies received by him/her.

From time to time review the financial position of the group and make
recommendation on the executive committee.
8. THE ADMINISTRATIVE ORGANS
The group shall have the following administrative sections.
i. The general assembly
ii. The executive committee
9. GENERAL ASSEMBLY
The general assembly of the group shall:-
i. Compose of all registered and paid up members of the group.
ii. Be due to supreme policy making body of the group
iii. Elect official of the group.
iv. Appoint and dismiss committee if and when it seems desirable / necessary.
10. EXECUTIVE COMMITTEE
i. Executive committee of the group shall consist of all five office bearers all of
whom shall be elected at annual general meeting of the group.
ii. The committee shall fill any casual vacancies for members of the executive
committee until the next annual general meeting of the group.
iii. The executive committee shall meet at least once per three months.
iv. For the purpose of the objective of the group the committee shall have the
power to utilize the funds and property of the group and give directives to the
office bearer as the manner in which shall perform their duties.
v. Have the power and responsibility for the management of the group / finances.
vi. All decision of the executive committee shall be binding by the group and
each of the official and members.
11. ANNUAL GENERAL MEETING
i. The annual general meeting shall be supreme authority for the group and shall
be held every calendar year at such a time and place decide upon by the
executive.
ii. The annual general meeting shall be convened by the secretary by giving six
weeks’ notice in writing and stating the agenda of the meeting.
iii. All annual general meetings shall consist of the members of the group.
iv. The quorum for the annual general meeting shall be 2/3 of the members
entitled to attend and vote thereof.
12. PROCEDURES AT MEETING

i. In absence of the Chairperson and Vice Chairperson, the members shall select
a member to take their Chair.
ii. Resolution shall be decided by simple voting by show of hands of members
present in case of equality of votes; the chairperson shall have a second
thought of casting the votes.
iii. The chairperson may at his/her directive limit the number of person’s
permitted to speak in favor of and against any motion.
iv. No name calling in the meeting or shouting to each other member should be
given opportunity to contribute without interfering from any other member.
13. LATENESS:-
i. Members to pay fine of Kshs 20 /=while attending meetings in case she/he is
late for more than 15 minutes.
ii. Member to pay a fine of Kshs 100/= if he/she is absent with apology
And without apology to pay a fine of 200/= but the executive to give direction
to individual case.
iii. Member to be summoned to the group in case of more than three apologies.
14. DISCIPLINE:-
i. Should be observed at all group functions
ii. Bad language leads to fine of Kshs 500/= to officials & Kshs 200/= to a member.
This could also lead to dismissal of an official or member from the group.
iii. Members should not pick calls during the meeting and incase of default shall be
subjected to penalty of 20/= but she/he is allowed to excuse her/himself out of the
meeting venue to attend the calls.
iv. Members if caught drunk during the meeting will be fined 200/=
15. APPLICATION AND REVIEW OF RULES
Members shall be subject to the rules as set out above. A member who to amend such
rules will bring his/her intentions to the executive in writing and the same shall be
subjected to deliberation in the member meeting that shall immediately follow the
communication. All members shall be notified of the intended changes in writing at
least seven days before the date of the meeting. These rules shall be applicable at the
expiry of sixty days upon endorsement.

16.DISSOLUTION
When the relevant government department has approved the dissolution of the group, no further
action shall be taken by the executive committee or any officer of the group in connection with
the aims of the group other than to get in and liquidate all the assets of the group. Subject to the
payment of all the depts. of the group
The balance therefore shall be distributed in such other manner as many be resolved by the
meeting at which the resolution for dissolution is passed.
