MEMORANDUM OF UNDERST ANDING

ARTICLESOF THIS AGREEMENT are made and entered into at Thane on this
day of Jan, 2025.

MR. ASHISH DILIPKUMAR UNADKAT age years (Aadhaar number - 9762


4186 1884) & MR. DILIPBHAI LAXMIDAS UNADKAT age 68 years
(Aadhaar number - 7232 5929 1663). having address at Flat No. K 1001.
Beaumont, Puranik City Phase 3, Opp Vedant Hospital, Kasarvadavali, Thane
400615 hereinafter referred to as "THE SELLERS" which expression shall
unless it be repugnant to the context or meaning thereof and to mean and
deemed to include their heirs, executors, administrators and assigns] THE

hereinafter called "THE PURCHASER" which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and include
his heirs, executors, administrators and assigns] THE PARTY OF THE
SECOND PART.

WHEREAS MR. ASHISH DILIPKUM R UNADKAT & MR. DILIPBHAI


L XMIDAS UNADKAT [the SELLERS herein] are OWners of ALL THAT

RESIDENTIAL PREMISES bearing Flat No. 1001 in building no. K commonly


referred to as BEAUMONT, admeasuring 749 Sq. Ft. (Carpet) area i.e. 69.58 Sq.
Mtrs. (Carpet) area on 10th Floor, in complex known as PURANIK CITY, along
with one car Parking no. Sk-43 standing on the property bearing Survey No. 51/2,
59/3, 60, 64/2 &64/3, Sector no.6, Village - Mogharpada lying,being and situated
at Mogharpada, Ghodbunder Road, Thane (West) - 400615, within the limits of
Thane Municipal Corporation and within the Registration District and Sub-District
of Thane, [hereinafter referred to as the SAID PREMISES") [Hereinafter the

1. The SELLERS have not entered into any
property prior to the execution of this MOU.

3. The SELLERS herein states that the said premises is free from all

encumbrances and having clear marketable title except for an


outstanding Home loan from HSBC BANK, INDIA.LTD, (Loan Account
Number 011-141801-220) having Rs. 23,78, 131.88/- amount
outstanding and (Loan Account Number 011-141801-222) having
Rs. 25,99,289.68/- amount outstanding as of today making a total of
49,77,421.56 and has not entered into any agreement or

understanding orally and / or written to any third party before


execution of this MOU, regarding the said premises.

4. They have not created any other third party right or interest of any
nature whatsoever in, to or upon the said flat:

5. The SELLERS shall be responsible to clear all outstanding dues /


maintenance/property tax/ utility bills etc. towards the said premises
to be paid to the Promoter / Developer / Society.

6. BOTH parties herein have agreed that thev will go for

7. The SELLERS has not entered into any agreement orally and / or
written to any third party before execution of this MOU regarding the
said Flat.

8. The transfer fees of the SOCIETY shall be borne by both SELLER &
PURCHASERS equally.

9. The charges of stamp duty, registration fees, and the charges of this
agreement, application, M.O.U., deeds, legal charges, etc, shall be
borne and paid by PURCHASER ALONE.

10. The PURCHASER has agreed to pay SELLERS Lump-sum Price /


Consideration of 96,00,000 /- [Rupees Ninety Six Lacs only], in
the following manner :

a) *1,00,000/- [Rupees One lakh only] by RTGS/NEFT Dated


11/01/2025 drawn on Standard Chartered Bank, having
Transaction no. 2501-111454851900 towards the payment as
TOKEN MONEY before execution of this MOU.

b) 14,24,000/- [Rupees Fourteen Lakhs Twenty Four Thousand


only] by [Cheque/RTGS/NEFT] as A PART PAYMENT before

execution of the sale agreement.

c) The PURCHASER has agreed to pay the BALANCE AMOUNT OF


CONSIDERATION of ? 79,80,000/- [Rupees Seventy Nine Lacs
Eighty Thousand Only] by obtaining loan from any bank
/Financial Institution directly in the name of SELLER by Pay
Order / D.D. / Cheque as FULL AND FINAL PAYMENT after
registration of this Agreement & payable within 30 working days
after handing over NOC from Promoters/Society and List of
documents or papers of the said premises required by the

days of cancellation. Similarly if the PURCHASER cancel the deal of
the Said Flat they shall be equally cligible for the same refund

12. After realization of receipt of full and final amournt of the consideration
in respect of said Flat, the SELLERS shall hand over within 15 days
and put the PURCHASER in Semi furnished condition, peaceful,
exclusive, physical and legal possession of the said Flat without
reservation on any rights or claim of whatsoever nature and thereafter
the said Flat be the absolute property of the PURCHASER. As agreed
the possession will be handed over on the same day after realization
of full payment.
