Subject: Provisional Internship Letter for your Internship under the PM Internship Scheme

Dear Mayank Surendra Singh,

This is with reference to your selection for internship under the PM Internship Scheme with HDFC
LIFE INSURANCE COMPANY LIMITED in the field of Sales & Marketing. We are pleased to share this
provisional internship letter for you to read and understand all the relevant information and conditions.

2. This internship will provide you with valuable on-the-job training, exposure to real-life business
scenarios, and the opportunity to enhance your skills as per industry standards. The details of your
internship are as follows:

3. Subject to the fulfilment of terms & conditions of the internship offered, you will be provided with the
following benefits during your internship:
One-Time Grant for Incidentals Rs. 6,000 to be paid by the government, on your joining the
internship Monthly Assistance.
A stipend of Rs. 5,000 per month, with Rs. 500 provided by the company and Rs. 4,500 provided
by the government.
Insurance Coverage: Coverage under the Pradhan Mantri Suraksha Bima Yojana and PM Jeevan
Jyoti Bima Yojana, provided by the government.

4. Please note that this provisional internship letter is an offer for internship and will be confirmed upon:
i. Your acceptance of the annexed terms and conditions of the internship and completing all required
joining formalities.
ii. Reporting to the work at HDFC Life Insurance Co Ltd, 5th floor, IL&FS Financial Centre, PN C
22G, G Block BKC, Kurla Cplx, Bandra East, Mumbai, Maharashtra 400051 on November 30, 2024
at 09:30 with the following documents for verification.
a. Identity Proof (Aadhaar Card / PAN Card / Driving License) (Two Copies)
b. All Original Educational Certificates
c. Passport sized Photographs

Enclosure: Roles and responsibilities of the interns, Roles and responsibilities of the company, Terms
and Conditions.
ROLES AND RESPONSIBILITIES OF THE INTERNS

Sr.No Responsibility

1 Adherence to Office Timings: The interns are required to be punctual and maintain regular
attendance according to the office schedule.

2 Code of Conduct: The interns are expected to adhere to the company's policies, rules, and
professional ethics. Any misbehaviour or non-compliance may lead to termination.

3 Active Participation: The intern shall perform duties assigned by the company faithfully and
to the best of their ability, complete assigned projects within the specified time frame, and
participate in professional development activities.

4 Leave Policy: Interns are required to adhere to the company's leave policies and provide prior
notice for any leave. Approval is at the company's discretion.

5 Emergency Leave and Sabbatical: In cases of emergencies, a sabbatical of up to two months


may be granted, but financial assistance will not be provided.

6 Unauthorized Absence: If an intern is absent without approval and fails to rejoin despite two
notices, the internship will be terminated.

7 This engagement is in the capacity of an intern and shall not be construed as employment
for any intent and purposes. Moreover, the current engagement does not entitle the intern to
claim permanent employment with the Company.

8 The intern shall not be entitled to any benefits and allowances applicable to the employees/
apprentices/ other interns of the company, engaged through any other scheme or otherwise.
ROLES AND RESPONSIBILITIES OF THE COMPANY

Sr.No Responsibility

1 The company will update the PM Internship Portal upon the intern's successful commence-
ment of the internship. This notification will initiate the release of one-time assistance for
incidentals for Rs. 6,000 via Direct Benefit Transfer to the intern's bank account.

2 Mentorship and Supervision: The company shall assign a qualified mentor or supervisor to
guide and support the intern throughout the internship period.

3 Training and Development: The company shall offer practical, hands-on training that aligns
with the current industry standards. At least 50% of the internship duration must be dedicated
to practical, hands-on work.

4 Workplace Exposure: The company shall provide the intern with real-life business experience
by allowing them to work on actual projects. Further, it must be ensured that the intern has a
clear understanding of the tasks and responsibilities assigned.

5 Safe and Professional Work Environment: The company shall maintain a safe and conducive
work environment that supports the intern's learning and growth.

6 The company shall provide a minimum monthly stipend of Rs. 500 to the intern. After the
payment of Rs. 500 by the company, the government will release the amount of Rs. 4500
through Direct Benefit Transfer to the intern.

7 The company will offer regular feedback on the intern's performance to foster growth and
address any areas of improvement and conduct evaluations at different stages of the internship
to track progress and provide guidance.

8 The company would establish a prompt grievance redressal system with support available
through the PM Internship Portal.
TERMS AND CONDITIONS

Sr.No Term Description

1 Stipend and Other Entitlements :- As mentioned in the offer letter, you will be entitled to an
Internship allowance of Rs. 500/- (Rupees Five hundred only) per month. Further to this, the
Government will transfer through DBT a sum of Rs.4500/- after you are paid the Internship
allowance by the Company. The Government will also provide you with a one-time allowance
of Rs.6000/- via DBT. You will also be eligible for 2 days of paid leave every month, which will
lapse at the end of the Internship period.

2 Confidentiality/NDA :- During your association with the Company and at any time after termi-
nation of this agreement, either with or without cause upon the initiative of either the Company
or you, you will not publish or disclose, use for your own benefit or the benefit of others, or
divulge or convey to others, any Trade Secrets of the Company or that of third parties obtained
by you in the course of engagement with the Company. “Trade Secret” means all information,
knowledge or data in any form whatsoever, tangible or intangible, that is considered a Trade
Secret under applicable law. This promise of confidentiality is in addition to, and does not limit,
any common law or statutory rights of the Company to prevent disclosure, publication or use
of its Trade Secrets. You further agree that during your engagement with the Company and
at any time after the cessation of your Internship with the Company, either with or without
cause upon the initiative of either the Company or you, you will not publish or disclose, use
for your own benefit or the benefit of others, or divulge or convey to others, any Confidential
Information of the Company. “Confidential Information” means any and all the Company data
and information in any form whatsoever, tangible or intangible, which: relates to the business
of the Company, regardless of whether the data or information constitutes a Trade Secret; is
disclosed to an employee/ associate or of which an s/he became aware as a consequence of
his/her relationship with the Company; has value to the Company; and is not generally known
to the Company’s competitors.

Upon termination of this agreement or at any other time at the Company’s request, you agree
to deliver promptly to the Company all the Company property and all copies thereof relating in
any way to the Company’s business or clients which were obtained by you during the period
of your engagement with the Company which are in your possession, custody or control. You
further agree not to make or retain any copies of any of the foregoing and will represent to the
Company upon cessation of your internship. You further declare that you will make yourself
aware of the Human Resources and Information Technology related policies, procedures and
guidelines of the Company and agree to abide by the same. You hereby agree to exit from all
social media/ networking/ forums on cessation of your services from the Company, including
but not limited to Whatsapp, LinkedIn, Twitter, iMessage or any other groups which have been
initiated by the Company or in which you may be a participant/member in your capacity as
an Intern at the Company. You take full responsibility for all your actions and will ensure full
co-operation with the Company’s team for any investigation initiated against you in connection
with the above-mentioned declaration.

3 Code of Conduct :- Whilst in association with the Company, you shall engage yourself
exclusively in the Requirements Of Internship assigned to you by the Company and shall
not take up any independent or individual assignments with any other company directly or
indirectly, whether on part-time or full-time basis or in an advisory capacity either directly or
indirectly, unless duly approved by the Company.
During your association with the Company, you will relinquish all your previous interest, if any,
either as a licensed agent or distribution agency of any other form with any other company,
institution, firm, or individual either in the same line of business or otherwise.

Whilst associated with the Company, whether you have any financial interest or otherwise
either directly or indirectly, you will keep the Company fully informed of any conflicting business
interest of your immediate relatives, if any, associated with the Company either as employee,
distribution agent or otherwise. For this purpose, the definition of “relative” shall include
spouse, partner, siblings, parents, parents-in-law, children, and child-in-law (including step,
and half relationships where relevant).

Unless specifically authorized by the proper authority within the Company, you will not engage
or represent the Company, whether in person or by way of any written document and, in any
manner.

It will be your sole responsibility to inform the Company in writing of any change in your
address, failing which any communication sent to you in the address last stated by you shall
be deemed to be validly served on you.

During your internship, you will be required to abide by the governing laws, applicable rules and
regulations and maintain the highest standard of personal conduct and integrity and comply
with all policies and procedures of the Company. Any breach, deviation, disobedience of code
of conduct/ procedures/policies/ laws/regulations including but not restricted to any acts of
insubordination, negligence, corruption, fraud, forgery, misappropriation, absenteeism, and
unacceptable behavior, which bring disrepute to the Company either within or outside the
Company premises would warrant stern disciplinary action, including termination of Internship.
Disrespect for other employees, insubordination or flouting Company policies will not be
tolerated. You will be bound by all the existing rules and regulations as framed by the Company,
and those as enforced by the regulator in the insurance industry from time to time.

You agree that during your association with the Company and following the cessation of
your internship with the Company, you will not take any action or make any statement which
disparages or maligns the Company or its practices or which disrupts or impairs the Company’s
normal operations.

As advised by the Government, this internship is not to be construed as a contractual or legal


relationship of employer-employee between the Company and you. It is further clarified that
this internship is not to be construed as an offer or promise of future employment by the
Company, during or after the period of internship,

4 Intellectual Property :- You acknowledge and agree that the Company is engaged in the highly
competitive business of insurance. The Company’s engagement in this business involves
expenditure of substantial amounts of money, investment of time, use of skills developed
over a long period of time, development of certain valuable Trade Secrets and Confidential
Information, development of relationships with its employees/ associates/ vendors/ policy
holders/ referral sources, the disclosure of which would cause the Company great and
irreparable harm.
You acknowledge and agree that by rendering services to the Company, you will be exposed to
and learn a lot of information about the Company’s business, including valuable Confidential
Information and Trade Secrets.
You acknowledge and agree that the restrictions contained in this Agreement are necessary
and reasonable to protect the Company’s legitimate business interests in its Trade Secrets,
valuable Confidential Information, relationships and goodwill with its employees, associates,
interns, existing and prospective vendors, clients and business partners.

5 Termination :- This Internship may be terminated by either party by giving to the other, at
any time, notice of 15 Days in writing. In case you choose to withdraw or drop out from the
internship, please inform us in writing. In the event you do not attend to any Requirements of
Internship (ROI) and/or fail to respond/ rejoin within a reasonable time to the attempts to reach
you, then you may not be considered any further in the Internship program, and your conduct
will be reported in the Internship Portal. In the event of violation of any clause as specified in
this letter or any clause of the Company’s Code of Conduct, the company reserves the right
to terminate the letter agreement forthwith.

If for any reason, you remain absent / abstain from duty for a continuous period of seven
(7) days without pre-approved leave or without intimating and obtaining the prior approval
of your manager / immediate superior, or if you remain absent / abstain from duty for a
period of seven (7) days beyond the period of leave originally granted without intimation or
without obtaining the approval of your manager / immediate superior, it would be treated
as abandonment of Internship and you will be deemed to have voluntarily abandoned your
Internship without notice. The Company would not be responsible for any further intimation
towards such separation / abandonment of Internship nor any compensation or any full and
final settlement payouts towards the same.

6 Non-Compete :- In consideration of the promises and obligations as a part of the internship


terms, the receipt and sufficiency of which are hereby acknowledged, you agree as follows:
You agree that for a period of 12 months after termination of this Internship , either with
or without cause upon the initiative of either the Company or you, you will not solicit or
attempt to solicit (either directly or by assisting others) any business i.e. from the Company’s
or prospective clients which are actively being sought by the Company at the time of your
cessation of Internship for the purpose of providing services that are competitive with the type
of services provided by the Company at the time of your separation from the Company.

You agree that during your Internship with the Company and for a period of twelve (12) months
after termination of this Internship , either with or without cause upon the initiative of either the
Company or you, you (either directly, indirectly or by assisting others) will not recruit, hire or
attempt to recruit or hire, or solicit or encourage any employee of the Company to leave their
employment with the Company.

7 Data Security and Privacy :- The Company is responsible for safeguarding its IT computing
systems, network and information assets in a reasonable and economically feasible way
against unauthorized access and/or abuse, while making them accessible for authorized
and legitimate users. This responsibility includes informing users of the expected code of
conduct and the punitive measure for not adhering to them. If IT computing system is assigned
at manager’s discretion, “Information Systems Usage and Confidentiality Agreement” which
contains rules of behavior for information systems usage and confidential information as
attached to this letter will be deemed to be read, understood, and accepted by you. Any attempt
to violate any rule in the agreement will result in disciplinary action at the discretion of Company
Management. Actions may range from a verbal or written warning, removal of system access
for a specific period or termination of the Internship, depending on the severity of violation.

Information Systems Usage and Confidentiality Agreement


1. Users are responsible for the protection of data, accounts, and systems under their control.
2. Keep account passwords confidential and do not share account or password information
with anyone unless explicitly authorized to do so.
3. You must maintain system-level and user-level passwords in accordance with the User
Access Management Policy.
4. You are responsible for ensuring the protection of assigned Company assets that include
the use of computers and associated accessories if any.
5. Laptops left at the Company offices overnight must be properly secured or placed in a locked
drawer or cabinet.
6. In the event of misplace or loss of the Company’s assets, immediately report the incident
to Admin and IT Support.
7. All PCs and workstations are safeguarded with a password-protected screensaver that
enables after a predefined interval of system inactivity. System gets hibernated (shutdown)
if idle for a predefined period.
8. Users should ensure that the system is locked using Alt+Ctl+Del key if away from the system.
9. Systems are not provided with DVD/CD ROM drives, unless explicitly authorized.
10. External storage devices are prohibited in the Company, unless explicitly authorized.
11. Access to internet is restricted based on user roles and responsibilities.
12. Usage of the Company’s systems and resources will be monitored for security compliance.
Please be aware screenshots and/or photographs of the Company data may be monitored
and will be open to scrutiny by the Company appointed authorities; any misuse may be liable
for disciplinary action.
13. Access to the Corporate mailing system is provided to all users for business purposes only.
Kindly follow the e-mail usage guidelines available on intranet Site.
14. Users are not allowed to install any software without consultation of IT Support.
15. Laptop Usage agreement must be signed by the user for laptop usage, at the time of being
assigned the laptop.
16. Playing games, listening to music, and watching obscene material on the Company’s
systems is a violation of the security policy and a disciplinary action will be taken against the
violator.
17. In case of any unavoidable exigency such as fire/uncontrollable natural circum-
stances/physical destruction of Company’s property through external unavoidable source, you
are responsible to inform IT team about the loss of property (Laptop/ Desktop) as tagged to
you.
18. In a situation after exit if you are unable to come to the office to submit the laptops assigned
to you, you shall inform the IT Team about the same. Once the situation is under control you
are supposed to complete the IT clearance accordingly; failing which Company reserves the
right to take necessary action against you.
19. Users should report any security Incident / weakness at [email protected]/ infos-
[email protected].

pany Intranet, on your joining.

8 Health and Safety :- You declare the following:


I confirm that I am fit to work, and any illnesses etc. which may prevent me from effectively
working have been brought to the notice of the Company, in writing, and an approval taken
from them.

9 Background Verification Checks :- We understand that the self-declarations advised by you as


part of the Government requirements are all true as recorded. Any discrepancy found during
your Internship tenure or later, may lead to your dismissal from Internship and you will be
reported to the PMIS portal.

We understand that we have your consent and authorization to take any pre or post-Internship
examinations and or Verification / checks as may be required by the Company (including its
subsidiaries) or its representatives. You also authorize that HDFC Life Insurance Company
Limited may use an outside external (third party) agency to verify and validate the informa-
tion you have provided including but not limited to your employment history, your personal
background, professional standing, work history, and various qualifications, educational or
otherwise. You understand that an external background check agency may obtain information it
deems appropriate from various sources including, but not limited to, the following: current and
past employers, criminal conviction records, school records, college records and professional
and personal references. You authorize, without reservation, any individual, corporation or
other private or public entity to furnish to the Company and the external background check
agency all information about you. You unconditionally release and hold harmless any indi-
viduals, corporation, or private or public entity from any and all causes of action that might
arise from furnishing to the Company and the external agency information that they may
request pursuant to this release. We believe that you have not made any false declaration
or willfully suppressed any material information, including any previous employment history
with the Company. Accordingly, the offer of appointment is made relying upon information
furnished and representation made by you. However, the offer of appointment is subject to
reference and background check to be conducted by the Company at its discretion at any point
of time during the course of your employment. If for any reason it is found that the reference
or background check is negative or detrimental to the interest of the Company as determined
by the Company, in its sole discretion, the Company is entitled to terminate your services at
any time, during or even after completion of the probation period with immediate effect without
notice or any stipend in lieu of notice. This authorization and release, in original, digital, faxed
or photocopied form, shall be valid for this and any future reports and updates that may be
requested.

10 Police Verification :- You declare the following:


I understand that my internship is subject to satisfactory clearance based on a self-declaration
for no criminal records. I declare that I have no criminal cases, convictions pending before any
Court of Law. I confirm this declaration is correct and complete and I understand that any false
information could result in termination of this engagement with immediate effect.

11 Jurisdiction :- Any dispute, controversy or claim arising out of or relating to this engagement,
or the breach, termination or validity thereof, shall be settled by the Company within 30 days
from the date on which either party invokes its rights, failing which such dispute, controversy
or claim shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, as
amended from time to time. The arbitration proceedings shall be heard by the sole arbitrator
appointed by the Company. The award of the sole arbitrator shall be final and binding upon
the parties. The seat of arbitration shall be Mumbai only.

This letter Internship shall be governed by the laws of India. The Courts at Mumbai alone shall
have exclusive jurisdiction over matters arising out of this engagement.
