1.1 INTRODUCTION
1.1.1 Bangalore Metro Rail Corporation Limited is a joint venture company constituted
by the Government of Karnataka and the Government of India and incorporated
under the Companies Act, 1956.
1.1.3 The Namma Metro stations are located in prime locations and are recognized by
marketing professionals as a consumers. BMRCL proposes to leverage on both the
brand “Namma Metro” and the stations and properties being located in the
vicinity of major commercial hubs of Bengaluru for realizing a potential source of
non-fare box revenue. One of the sources of non-fare box revenue is through
licensing of spaces for commercial use in and around the metro stations. The
proper survey has been made for selecting the choice of the commercial vacant
spaces commercial vacant spaces at the respective stations so as to serve the
commuter’s daily needs while in transit to work or on their return journey.
1.2.1 BMRCL hereby invites interested bidders to submit Bids, as per the terms and
conditions described in this Bid Document, for selection for award of a license to

“design, establish and operate retail outlets” in accordance with the terms of this
Bid Document. The selection of the Licensee(s) shall be undertaken through an
open competitive bidding process in accordance with the terms of this Bid
Document.
1.2.2 Bidders are advised to be completely informed about the process and the terms
and conditions for the selection of a Licensee before submitting their Bid, by
careful study of the Bid Document, attending the Pre-Bid Meeting, and making
their own inquiries, as may be required, in accordance with the terms hereof,
before submitting their Bid.
1.3.1 The Bid Document can be purchased from the BMRCL office from 25/09/2024 to
22/11/2024 on payment of Rs. 5,000/- (Rupees Five Thousand Only), inclusive of
GST, by demand draft in favour of “Bangalore Metro Rail Corporation
Limited”, payable at Bengaluru, from any nationalized bank or any scheduled
commercial bank in India. The bid document can also be purchased by paying
online from the BMRCL website www.bmrc.co.in under the “Tender” page as
detailed in the link provided. The tender document will be available online from
25/09/2024 to 22/11/2024 till midnight. The Tender document is non-
transferable. The bid has to be submitted under the same name in which the
tender document is purchased. One tender document is sufficient to participate
for all locations.
1.3.2 Bidders are advised to carefully review the information provided in the Key
Details appearing hereinafter. If any day specified in the Key Details, happens to
be a holiday, the specified event shall take place on the next Working Day. Bids
must be received in the office of BMRCL no later than the date and time specified
in the Key Details. Bids that are received after the appointed time on the Bid
Submission Date or are incomplete in any respect are liable to be rejected.
1.3.4 BMRCL reserves the right to accept or reject any or all Bids received, at its
absolute discretion, without assigning any reason whatsoever.

Table S (I)
2.3.1 The commercial vacant spaces identified are offered on “as is where is condition”
and the licensee can construct secured Retail outlet as per the concept plan
approved by BMRCL. All necessary construction/changes/alterations shall be
done by the licensee at this own cost, subject to prior approval of BMRCL. In the
case of electric power at Metro Stations, subject to the feasibility of the power
supply, however if additional power is required, based on the availability,
BMRCL may consider additional power, otherwise the Licensee has to make his
own arrangement like drawing power from BESCOM, for which NOC shall be
issued by BMRCL. However, for the power drawn from BMRCL, necessary
wiring from PD panel of BMRCL has to be done by the Licensee for the licensed
premises and the licensee shall pay as per their consumption at the BESCOM
rates applicable. The wiring details and electrical details are provided in bid
documents and the licensee shall abide by the same.
2.3.2 In respect of water supply, if available at BMRCL Metro Station, the Licensee has
to draw the water from the available point of source. Necessary pipe line and
separate sub-meters have to be installed by the Licensee for the licensed premises
and the licensee shall pay as per their consumption at the BWSSB rates.
2.3.3 With respect to sanitary connection, if the sanitary point is available at BMRCL
Metro Station, the Licensee may connect the sanitary line to the available
designated manhole at his own cost. Necessary pipeline work has to be done by
the Licensee.
2.3.4 However, for the licensed premises situated outside Metro Station/ground level,
the licensee shall make their own arrangement to procure electric power and
water supply/sanitary line from BESCOM/BWSSB for which BMRCL will issue
NOC for the same.

2.3.5 Only in the case of the licensed premises inside the Metro Stations, Licensee shall
be permitted to draw water from the overhead water tank at their own cost and
the meter shall be fixed. The licensees shall pay as per their usage. The licensee
will have to connect the sullage/sanitary line to the designated manhole at their
own cost.
2.3.6 The licensee shall have to provide details of the power, water, and sullage/sewage
lines before taking up the work. The Engineer concerned shall examine the
feasibility or otherwise and communicate the same to the licensee. If for some
reason the proposal is not feasible, the licensee shall make an alternative
arrangement for which BMRCL will issue NOC. BMRCL will not provide
power/water supply for the construction of the outlet, the licensee shall make
their own arrangements in this regard. During construction activities at the
Station, the Licensee should take all safety measures and BMRCL will not be
held responsible for any accident/incident.
2.4 Vacant Spaces for retail outlets are offered in the Tender:
In the below Table S (II), BMRCL wishes to offer commercial vacant spaces at
metro stations are located in very prominent places and are “as is where is
condition. Table S (II) contains the details of the stations, Layout plan, location
code, an approximate area in square feet, layout details, the minimum reserved
monthly license fee, the maximum license period, EMD details and required
average Turnover during the last any 3 cumulative years, out of 5 years. The area
and locations mentioned in Table S (II) are tentative. BMRCL has a right to
withdraw any space or reduce/increase the area mentioned in the table at any
point of time without assigning any reason.
After the awarding of the tender, a joint inspection will be carried out with the
successful bidder. During the joint inspection, the location and area in the specific
station will be finalized and on a pro-rata basis the license fee and the security
deposit will be calculated and the License Agreement will be signed accordingly.
The successful bidder can do any kind of business in the awarded space subject to
permitted under law/the Government Authority and permitted under clause 6.5
of section VI of the Tender Documents. .

2.4.1 Obtaining of all statutory permissions and licenses required for operating the
Retail Outlet/s shall be the responsibility of the successful bidder. BMRCL shall
give NOC to the successful bidder to obtain permissions from the respective
authorities. Without obtaining the required licenses from the statutory
authorities, the business shall not be commenced. Any delay in obtaining the
licenses required, shall not be a reason for postponing the payment of the license
fee after the completion of license free fit-out period (Construction Period).
2.4.2 Licensees shall carry out their business only as mentioned in their bid submission.
However, if the Competent Authority permits for additional business/change of
business the licensee will permit to do such business.
2.4.3 If the successful bidder wants additional space along with the allotted space,
BMRCL may considered to allot at pro-rata basis subject to availability of the
space, however, it is mandatory to obtain approval for all such additional space
from the Competent Authority of BMRCL. If the Competent Authority does not
consider such allotment, the Licensee shall abide by the decision and there shall
be no further appeal in this regard.
If the successful bidder wants to merge within the awarded adjacent locations
may sent their request in writing. If the Competent Authority does not consider
such request, the Licensee shall abide by the decision and there shall be no
further appeal in this regard.
2.4.4 Bidders are advised to note that the vacant space for retail outlets offered in the
station in Table S (II) Commercial Vacant space for retail outlets column (D and
E) above is only indicative. After the award of space, a joint measurement will be
carried out in the awarded commercial vacant space along with the successful
bidder, and the outcome of the joint measurement will be the final measurement.
The maximum height of the Retail outlets should not be more than 13 feet.
However, the correct height will be decided by BMRCL during execution as
per site conditions. The actual measurement of the space during joint inspection
shall be the basis for calculating the license fee. Therefore, if the licensed area
increases or decreases after the joint inspection, pro-rata increase or decrease in
the accepted license fee will be adopted for the monthly license fee. However, if
BMRCL permits to construct/fabricate additional built up area/floor over and
above the ground coverage area by increasing the height beyond 13 feet, like
mezzanine floor, additional floor at any time during the License period, then, the
License fee and the Security Deposit for the mezzanine floor/additional floor will
be revised to 50% of the base rate and the same shall be payable by the Licensee

along with the applicable taxes. However, the structural stability is entirely with
the Licensee and the Licensee will submit the detailed structural analysis duly
certified by a Charted Engineer. BMRCL reserves right to allot any available
spaces at the respective stations to other licensee for any use as it deems fit, in
subsequent tender (s) and the successful bidders, under this tender, (with whom
BMRCL has entered into a license agreement) shall not object for the same. Any
subsequent change of the design after its final approval shall require the written
approval of BMRCL. If the retail outlets are not as per the final design, BMRCL
can stop the work and direct the construction/fabrication to be as per the
approved design. If the licensee fails to execute as per the approved design, the
license can be terminated and security deposit may forfeited.
2.4.5 Each space shall be used solely for the purpose of establishing and operating
commercial activity and shall not trade or store product mentioned at Section VI
Clause 6.5.
2.4.6 The license period will start from the date of signing of the License Agreement, as
also recorded in the license agreement and no extension shall be given after the
expiry of the license period.
2.4.7 The License period as mentioned in Column (I) of Table S (II) shall be calculated
from the date of the License Agreement. The License Fee shall be increased by
7% (Seven percent) of the preceding year and shall commence from the date of
each anniversary. After the completion of the term, the licensee shall vacate the
premises as per 6.12 (Duties on Termination or expiry) of Tender Documents.
2.4.8 The commercial vacant space licensed under this tender shall be subject to the re-
tendering process by BMRCL approximately 6 months before the expiry of the
license period as stated in the license agreement. If the existing licensee under
this tender fails to participate in the re-tender process or fails to quote the highest
bid then the existing licensee under this tender shall vacate the premises as per
clause 6.12 (Duties on Termination or expiry) of Tender Documents. However, a
suitable provision will be made in the subsequent re-tender, for the existing
licensees under this tender, to also participate in the re-tender with the right of
first to match the highest acceptable bid received for the licensed space. The
revised license will be awarded according to the terms and conditions of this
tender. If the existing licensee has awarded the license, based on the site
condition suitable fit – out period will be granted.

2.4.9 The Bidders are required to quote their Financial Bid/proposal, in the Financial
Bid Document only. The quoted monthly license fee shall be equal to or more
than the minimum reserved license fee fixed for each location. If the Bidder quote
below the minimum reserved license fee, their bid will not be considered, it will
be rejected and EMD for that location will be forfeited. The License Fee shall be
paid to BMRCL for each month on or before the date specified in the license
agreement.
(a) Bidders are required to submit Bids,EMD, comprising of the Qualification and
Technical Documents, the concept and Design Proposal and Financial Bid(s).
Evaluation of the Bids and identification of the Selected Bidder(s) will be
undertaken in 2 (two) stages. In the Stage-I, the Qualification and Technical
Documents of each Bidder will be evaluated in order to determine fulfillment of
the Eligibility Criteria, the Financial Capacity, and Technical Capacity
respectively. Bidders who satisfy the Eligibility Criteria, Financial Capacity and
Technical Capacity (“Qualified Bidders”) shall be invited for the Stage-II, i.e.,
the opening of the Financial Bid(s).
(b) The Qualified Bidder who has quoted the highest Monthly License Fee in the
Financial Bid Document for a particular location of the metro station and who is
considered as suitable and eligible from all points of view, shall be treated as the
Selected Bidder in respect of such location and shall be awarded the License in
respect of such location. The Selected Bidder shall be required to enter into the
License Agreement with BMRCL. Bidders are requested to note that the terms of
the License Agreement are final and non-negotiable and no requests for
modification of the same will be considered by BMRCL. Any intimation of
selection as Licensee from BMRCL pursuant to this Bid Document shall be
subject to the unconditional acceptance of the License Agreement by the Selected
Bidder within the time frame stipulated by BMRCL.
2.6.1 In order to be eligible to participate in the Bid process outlined herein, a Bidder
should satisfy the following criteria:

(b) In addition to the foregoing, Bidders should satisfy the following conditions;
(i) The Bidder should not have been barred by BMRCL or any Governmental
Authority from participating in any Bidding process, as of the Bid
Submission Date;
(ii) The Bidder, should, in the last 3 (three) years, have neither failed to
perform on any contract, as evidenced by imposition of a penalty by an
arbitral or judicial authority or a judicial pronouncement or arbitration
award against the Bidder, as the case may be, nor have been expelled from
any contract by BMRCL or any Government Authority nor have had any
contract with a Government Authority terminated for breach by such
Bidder. Appendix 1 Annexure 1 containing this declaration has to be
submitted with the Bid Document;
(iii) The Bidders shall not have defaults on any bank /institutions’ loans in the
past. They should not be defaulters in payment of statutory dues or
liabilities. They shall not be blacklisted by any Government Authority;
(iv) The Bidder should not have a Conflict of Interest, as defined in Clause 2.11
hereof.
(c) If the existing licensee of BMRCL wants to participate in this tender, a “No-Due
Certificate” obtained from PD account department of BMRCL has to be
submitted along with technical documents during the bid submission. No
existing licensee without a “No-Due Certificate” shall be allowed to participate in
the bid process.
This tender is intended to encourage both new entrants and also those in
business for several years. Hence under this request for proposal(RFP),
the previous experience is not counted except that the bidder should
have the financial capacity and capability to commence and successfully
run business activities by discharging all statutory obligations to

(ii) Net worth & technical criteria are not applicable in respect of the Start-Up
Companies Incorporated under the (Indian) Companies Act and
Registered with the “Karnataka Innovation Technology Society (KITS)”
Government of Karnataka and have obtained a certificate as Start–Up
Company registered with them or start-up certificate obtained from
Central Government or other state governments.
(a) The Applicant may be any entity i.e. sole proprietorship firm, a
partnership firm or a company having a registered office in India &
incorporated under the Companies Act 1956/2013 or the form of a Joint
Venture (JV) or Consortium or any nature of entity as mentioned in
clause 2.10.2 above and should be having the following minimum
average annual turnover from any business during any 3 cumulative
years in the last 5 (five) financial years i.e. 2019-20, 2020-21, 2021-22, 2022-23
& 2023-24.

(b) The Applicant shall submit audited financial statements duly certified by its
Statutory Auditor including Profit & Loss account statements of last five
financial years i.e. 2019-20, 2020-21, 2021-22, 2022-23 & 2023-24.
(c) In the case of individuals, those who have no turnover certificate may
submit IT returns for the last 03 years ((F.Y. 2021-22, 2022-23 & 2023-
2024).

(d) For the bidder willing to participate in more than one (1) location, the
eligible turnover of the bidder shall be cumulative of number of locations
as mentioned in clause 2.10.2 (iii) (a).
(e) The Applicant shall submit the audited annual reports/ financial
statements of the last 5 financial years. (F.Y. 2019-20, 2020-21, 2021-22,
2022-23 & 2023-2024) along with the certificate from the statutory auditor
as per Appendix – I. If audited report/financial statement for the latest
F.Y (2023-24) are not yet audited, then the bidder(s) is required to submit
report along with an affidavit and a certificate from statutory
audited/Charted Accountant certifying that the balance sheet for F.Y
2023-24 has not been audited so far. In case of joint
venture(JV)/consortium, the financial audited reports of each relevant
member of the consortium for last 5 years as above shall be submitted.
3.1.2 The Qualified Bidder adjudged as responsive in terms of Clause 5.3 of the Bid
Document and quoting the highest monthly License Fee in respect of a particular
location will be declared the Selected Bidder for such location.
3.1.3 In the event that two or more Qualified Bidders have quoted the same highest
amount as Monthly License Fee then only the said Qualified Bidders will be
given an opportunity to re-submit their Financial Bid in respect of such location.
The Qualified Bidder quoting the highest monthly License Fee in this new round
will be declared as the Selected Bidder.
3.1.4 In the event that, after the award of the tender to the Selected Bidder, the
Selected Bidder is for any reason unable or unwilling to enter into the License
Agreement, or is disqualified for any reason, BMRCL will forfeit the EMD and
would be well within its right to offer the commercial vacant space to the next
highest applicant/bidder on the panel, provided that the next highest
bidder/applicant matches the rate offered by the highest bidder/applicant for
the said commercial vacant space, instead of re-tendering. The decision of
accepting authority shall be final and binding on the intending bidders.

3.2.1 Upon completion of the Bid evaluation process and acceptance of the Bid
submitted by the Selected Bidder, BMRCL shall forward the Letter of Acceptance
(“LoA”) to the Selected Bidder along with the draft License Agreement. The
Selected Bidder shall return the draft License Agreement and sign the LoA
signifying its acceptance thereof, within 7 (seven) days from the date of receipt of
the LoA. After receiving of acceptance to LoA, BMRCL shall carry out a joint
inspection of the respective location of the metro Station with the Selected Bidder
within 7 (seven) days from the date of acceptance to LoA.
3.2.2 The Selected Bidder shall furnish the Security Deposit along with the final
schematic drawings according to clause 5.5.3 of the Bid Document within 15
(Fifteen days) from the date of Joint Inspection of the awarded location.
3.2.3 The selected bidder has to submit the following Drawing details and safety
measures to be submitted prior to execution of the license agreement for their
setting up.
3.2.4 The selected bidder shall be submitted final drawings as per clause 5.5.3 above.
BMRCL will approve the drawings within 10 (Ten) Working Days from the date
of its submission. If BMRCL suggests any modification in the submitted
schematic drawings, the selected bidder shall submit revised schematic drawings
within 7 (Seven) working days from the date of receipt of suggestions from
BMRCL for approval. After approval of the final schematic drawings the license
agreement will be signed between BMRCL and the successful bidder
3.2.5 From the date of issue of LoA, 30 days time will be given to the selected bidder to
sign the License Agreement with BMRCL. BMRCL will sign the license
agreement with the selected bidder on Rs. 500/- Non-Judicial Stamp paper. The
Non Judicial stamp paper shall be provided by the successful bidder with
“Bangalore Metro Rail Corporation Limited” being the first party and the
successful bidder being the second party. If the successful bidder desires to
register the License Agreement, the stamp duty shall be borne by the Licensee.

And Notice to Proceed (NTP)/ Go ahead with work permission will be issued
and Fit Out period will commence from the date of issue of NTP.
3.2.7 In the event of failure of the Selected Bidder to perform any of the acts required
to be performed by it as per clause 5.5 within the specified time period, unless
BMRCL consents to extend time, BMRCL shall be entitled to treat the Letter of
Acceptance issued to the successful bidder as cancelled and the selected bidder
shall be barred for 03 years from participating in the BMRCL tenders and forfeit
the EMD.
Key terms of the License are outlined in brief below. Further terms of the License
are provided in detail in the indicative License Agreement provided in Section IX
of the Bid Document.
The license period will start from the date of signing of the License Agreement,
as also recorded in the license agreement and no extension shall be given after
the expiry of the license period. Based on the area, the license period shall vary
from 5 years to 15 years. The details are as follows;

The license period is also specified in Table S (II), Column (I): commercial vacant
space for retail outlets against each location of the metro station, unless
terminated for reasons mentioned under the event of default.
3.2.10 There shall be a lock-in period from 01 year to 03 years has been fixed. The lock-
in period details are mentioned in the below table. The lock-in period will start
from the date of completion of the fit-out period as mentioned in Clause No. 6.4.1
below.

If the successful bidder exits/terminates the License Agreement within the lock-
in period, he/she/it will be blacklisted for future tenders of BMRCL and the
security deposit will be forfeited in full.
The successful bidder shall have the option to surrender and voluntarily exit
from the License Agreement only after the completion of the lock-in period. For
this, the Successful bidder shall have to give 90 days prior written notice to
BMRCL. In such event, the Interest-Free Security Deposit will be refunded to the
Licensee after adjustment of the license fee for a period shorter than 90 days
(notice period) and outstanding dues, if any.
Renewal of license is not permissible in this tender. If the selected bidder wants
to continue the license after the license period, he/she must participate in a fresh
tender. If the existing licensee under this tender fails to participate in the re-
tender process or fails to quote the highest bid than the existing licensee under
this tender shall vacate the premises as per clause 6.12 (Duties on Termination or
expiry) of Tender Documents. However, a suitable provision will be made in the
subsequent re-tender, for the existing licensees under this tender, to also
participate in the re-tender with the right of first to match the highest acceptable
bid received for the licensed space. The revised license will be awarded
according to the terms and conditions of this tender. If the existing licensee has

awarded the license, based on the site condition suitable fit – out period will be
granted.
3.2.12 Sub-Licensing:
There is no fit-out period that will be applicable to the existing licensees who are
awarded the license again or the buildup spaces offered in the tender. In certain
circumstances, 30 days to 60 days of fit-out period may be permitted at the
request of the licensee. However, the decision of the Competent Authority in this
connection is final. The bidder may please be noted that the fit-out period is only
applicable to the vacant spaces/unbuilt empty spaces. The details of the fit-out
period are tabulated under.
3.2.13 All Retail Outlets setup by the licensee shall be temporary in nature, if the
successful bidder wants to construct a permanent structure, approval of the
Competent Authority is mandatory. If the licensee’s structure is permanent in
nature, after completion of the License period, the licensee shall dismantle and
handover the space to BMRCL or surrender the outlet as it is to BMRCL without
any claims / compensation or consideration / damages on this account. The

3.2.14 The successful bidder shall not allowed to use LPG/Kerosene oil on the licensed
premises except the ground level spaces. Other than ground level the successful
bidder/licensee is advised to use only electrical appliances. The licensee shall
adhere to all fire and safety precautions in the licensed premises.
The Licensee shall not use, or permit the use of the Licensed Premises for the
products mentioned herein under:
a) Sale, storage or use of any product or provision of any service the sale of
which is unlawful /illegal or deemed unlawful under Applicable Law;
b) Any product the storage and sale of which may lead to or be considered
as a fire hazard, such as fire crackers, industrial explosives, chemicals etc
and hampers safety/security of metro systems.
c) Storage and sale of liquor and alcohol based drinks or beverages;
d) Sale of tobacco and tobacco products;
e) Use of LPG/Kerosene oil
f) Casinos, Gambling & allied activities;
g) Pub/Discotheque/Bar;
h) Butcher/Slaughter shop;
i) Storage/sale of radioactive or magnetic materials;
j) Hookah Bar;
k) Massage Parlour;
l) Animals and wildlife products (live birds, animals, mounted specimens
etc.);
m) Storage, sale, distribution or use of arms, ammunitions, gunpowder,
combustible substance and weapons;
n) Storage, sale of Human remains and body parts;
o) Collection, storage, sampling, testing of human or animal samples like
blood, urine, swabs and other pathogenic samples etc.
The Licensee shall pay the Monthly License Fee in advance on 10 th day of each
month. BMRCL will issue the proforma invoice by the end of the previous month

by mail/ post. Failure to receive the proforma invoice shall not preclude the
licensee from paying the license fee by the 10th of respective month. The payment
schedule during the license period mentioned in the license agreement shall be
reckoned as the Due dates for the payment of license fee in advance. The License
Fee shall be increased by 7% (Seven percent) of the preceding year and shall
commence from the date of each anniversary.
4.1.1 The License Fee is payable inclusive of all other taxes. Hence, the license shall pay
applicable taxes to BMRCL along with the License fee in advance on 10 th day of
each month and The payment should be made using the BMRCL’s Custemer
Portal. The licensee is liable to pay any new taxes/duty as and when imposed by
State Government/Union Government or any statutory bodies.
4.1.2 If the Licensee fails to pay the License Fee, Common Area Maintenance Fee
payable hereunder on their due dates, the Licensee shall pay to BMRCL RBI’s
Marginal Cost of Funds based Lending Rate (MCLR) + 2% i.e SBI, one-year
base rate on all delayed payments without prejudice to BMRCL’s other rights
and remedies under the Agreement(s) and law. Further, BMRCL shall be entitled
to stop the supply of Utilities to the Licensed Premises (wherever provided).
BMRCL shall also be entitled to take charge of the Licensed Premises and
Licensee’s equipment and materials and dispose of the equipment and materials
in any manner it deems fit to recover all such outstanding amounts. The Licensee
shall not be entitled to raise any objection whatsoever in relation to such sale,
including the method of sale or the value recovered by such sale.
4.2.1 The Security Deposit will be released on application by the successful bidder after
the expiry of the term of the License or premature termination and discharged all
his/their obligations and dues under the License Agreement and produced a
“No Objection Certificate” certified by the BMRCL or such officer designated by
the Competent Authority.

4.2.2 The licensee shall have to deposit electrical interest free security deposit for
electrical connection at the rate of Rs. 4,500/- per KW for sanctioning of electric
load as per requirement in the form of Demand Draft/NEFT/RTGS. A non-
refundable one time electrical supervision charges of Rs. 5,000/- (Five thousand
rupees) per energy meter plus GST as applicable shall be paid to BMRCL by the
licensee. BMRCL will be invoiced on a monthly basis and paid by the Licensee to
BMRCL at actuals for each month, within 5 (five) days of receipt of bills in
respect of the same from BMRCL.
The Licensee shall pay BMRCL monthly common area maintenance fees at Rs.
5/- (Five rupees) per sq. ft. of area for the purpose of maintenance of common
areas, usage of lifts/escalators, general lightings, consumables and manpower in
generally employed to keep the premises clean. The Common Area Maintenance
charges shall be increased by 7% (Seven percent) of the preceding year and shall
commence from the date of each anniversary. The Common Area Maintenance
charges will be applicable based on the location and conditions. However, the
decision of the Competent Authority in this connection is final
Based on the feasibility, BMRCL will provide water and electricity connections,
to the Licensee. In this regard, a separate meter will be installed. The Licensee
shall pay BMRCL for all electricity, water, and other utilities as applicable
(“Utilities”), consumed at the Licensed Premises on a monthly basis at actual.
BMRCL will be invoiced on a monthly basis and paid by the licensee to BMRCL
or its appointed agent at actual for each month, within 5 (five) days of receipt of
bills in respect of the same from BMRCL.
The Goods & Services Tax (GST), cess shall be as applicable from time to time,
will be payable by the Licensee, in addition to the License Fee and charges
towards common area maintenance and Utilities. The property tax/service
charge applicable on the licensed premises, if any, shall be paid by BMRCL as
per applicable rates to the concerned local government/municipal corporations
in advance at the start of the financial year. Subsequently, the aforesaid property
tax/service charge will be charged and recovered from the licensee at the start of
every financial year (i.e., BMRCL will rise the demand by 15th April of every

year) and the licensee shall pay to BMRCL the property tax/service charge
demand latest by the last day of first month of every financial year i.e., 30 th April
of that year. The below table will explain raising of property tax/service charge
demand notice and due date for the payment.
However, if for any reason BMRCL does not raise the demand notice against
property tax/service charge for the financial year applicable/under
consideration as per the aforementioned schedule, licensee shall be liable to pay
the demand against said property tax/service charge within 15 days from the
date of raising of such demand by BMRCL.
