MEMORANDUM OF AGREEMENT

FOR INTERNSHIP PROGRAM

between

AVIATION PARTNERSHIP PHILIPPINES CORPORATION

(Doing business under the names and styles of “Aviation Partnership” and “Aplus”)

and

POLYTECHNIC UNIVERSITY OF THE PHILIPPINES

All persons concerned jointly agree to the following conditions:

1. That the On-the-Job program will cover the period from __________, through __________, for a minimum of 40
hours per week.

2. As a partner Institution, Aviation Partnership shall determine the OJT work assignment and schedule. The same
must be clearly explained to them to ensure that duties and responsibilities are clearly understood.

3. To maximize the learning opportunity of the OJT, Aviation Partnership will assign an on-site Supervisor to monitor
the OJT performance based on the agreed standards or requirements with the school.

5. Aviation Partnership shall not in any way be liable for any injury that the interns may suffer as a result of any
untoward incident that may happen during the OJT.

6. Aviation Partnership shall be held free from any liability for loss, damage, injury, or death of a third person(s)
resulting from any acts or omissions of a student Intern.

7. There is no employer-employee relationship between Aviation Partnership and the Intern. He/ she shall not
represent himself/herself as an employee of Aviation Partnership. Any representation or misrepresentation done
shall not bind Aviation Partnership and may be subject to corresponding sanctions by law or regulation.

8. That the Intern must be physically and mentally fit as certified by a licensed physician and have no medical
condition that would not allow the apprentice to undergo apprenticeship for Aviation Partnership. For this purpose,
the intern has likewise represented that he/she registered with the Philippine Health Insurance Corporation
(PhilHealth) either as a direct or indirect contributor or has obtained equivalent medical insurance that covers
medical expenses related to COVID-19, among others. The school likewise agrees that the intern will provide
Aviation Partnership with proof of compliance with these requirements.

9. During the program period, the intern shall abide by the rules and regulations of Aviation Partnership, including
the rules and regulations of the regulatory authorities of Aviation Partnership. This shall include the submission and
execution of all relevant documents as required by Aviation Partnership.

10. The school and Interns shall strictly abide by the confidentiality requirements of Aviation Partnership and consent
to processing the personal information in accordance with Aviation Partnership’s Privacy Policy.

10.1. During the program, the school and Intern may be made privy or have access to and receive confidential
information involving the operations of Aviation Partnership and other information proprietary to Aviation Partnership
and not available to the public, whether verbal or written, in tangible or intangible form, including but not limited to:

1) contracts/agreements executed between Aviation Partnership and other parties;

2) legal proceedings involving Aviation Partnership; and

3) Aviation Partnership policies, rules, and procedures (the “Confidential Information”).


10.2. The school and the interns agree to hold the Confidential Information in confidence, and without limiting the
generality of the foregoing, both further agree:

a. To forever protect and safeguard the Confidential Information against unauthorized use, publication, or
disclosure;

b. Not to use the Confidential Information or any part thereof even after the apprenticeship with Aviation
Partnership has been terminated;

c. Not to, directly or indirectly, in any way, reveal, report, publish, disclose, distribute, or transfer the
Confidential Information or any part thereof;

d. Not to use, disclose, or permit the use of, the Confidential Information or any part thereof to compete
with or to enable any other party to compete with Aviation Partnership or to obtain unfair advantage vis-à-vis Aviation
Partnership in any commercial or other activity;

e. Not to reproduce or make any copies of the Confidential Information; and

f. To comply with any other reasonable security measures hereafter requested by the Aviation Partnership.

10.3 The student will be fully responsible for, and will indemnify, hold harmless and compensate Aviation Partnership
for and against any and all losses, damages, claims, or expenses incurred or suffered by Aviation Partnership as a
result of the breach of the undertakings as set forth herein, and the school acknowledges that in the event of such
breach, Aviation Partnership may elect to file the appropriate administrative, civil, and/or criminal charges.

10.4 The student agrees and acknowledges its obligations in respect of Confidential Information shall remain in full
force and effect without any limitation as to time.

11. For the sake of clarity, it is understood that the terms of Aviation Partnership’s Privacy Policy, Health and Safety
Policy, Social Media Policy, Work From Home Policy, and such other policy as may be further communicated by
Aviation Partnership (including but not limited to health and safety protocols issued by relevant government
agencies), shall apply for the duration of the internship, save for those that are intended to survive even after the
period.

12. Either Party may terminate the internship program at any time, with or without cause, at its sole discretion and
without any liability to either party. Provided further that a 30-day notice must be observed.

13. The School will make provisions for the student to receive related and technical instruction(s) in the above
training activities. The school will ensure that graduate students recommended for internship with Aviation
Partnership have received the needed related and technical instruction(s) prior to the above training activities.

14. The training during the said period shall be progressive, providing for the trainee's passing from one duty to
another to become proficient in different phases of the occupation.

15. All complaints shall be made to and adjusted by the Accountable Manager of the University and the departments
concerned.

16. The student intern promises to abide by all implied and stated terms in the memorandum. The student shall be
bound during the Internship period by ordinary school regulations. The school shall be responsible for the student's
conduct while in training. This will be verified and monitored by the Industry Coordinator of the College Department
and/ or the External Affairs Office.

17. If found at fault, the student assumes full responsibility for his/her acts and/or omissions. The Student, apprentice
shall be liable for, and shall hold the company free and harmless from, any loss or damage that the company or any
of its directors, officers, medical and non-medical staff, employees or agents, may incur or suffer or held liable or
accountable for arising from or otherwise for claims of third parties on account of death or injury, loss or damage to
any person or property caused by or otherwise attributable to any fault or negligence or act of omission of the
Student.
18. The company shall allow the students to report back to school for evaluation and consultation as part of the
school's OJT Program.
