PROPRIETORSHIP DECLARATION (Specimen to be taken only on the letter head of the Applicant)

Resolution: For Opening, Operating and Closing Firm’s Bank Accounts in a meeting of M/s ________________ (The “Firm”) a
proprietorship firm, having its principal office situated at ________________________ for opening a current accounts with Yes Bank
Limited at its ____________ branch located at _________________________________________ and availing banking facilities.

Resolved that:

1) That the Firm hereby apply to the Bank for availing API Banking at the respective Branches or as applicable or any other
channel thereof.

2) That Mr. /Ms. ______________, Mr. /Ms. ___________________ or Mr. /Ms. ____________________ be and is hereby
authorized, on behalf of the Firm, to singly execute, sign and affirm all agreements, letters, documents, applications,
declarations, releases, indemnities, affidavits, waivers, undertakings, etc., on such terms and conditions, including charges, as
may be prescribed/ required by the Bank from time to time for carrying out banking operations.

3) FURTHER RESOLVED that the Bank is authorized to integrate the banking channels with the software/systems provided by
THILLAIS ANALYTICAL SOLUTIONS PVT LTD (“Service Provider”) who is the service provider of the Company and that all
requests received through the API/web-service/file based channels of the Service Provider shall be treated as valid and
genuine by the Bank.

4) That the Bank does not have a role or any obligation to validate the actual users operating the Firm’s systems on behalf of the
Firm by using the user id and password and that it shall be the sole responsibility of the Firm to authorize, check and
authenticate the users using such user id and password. The Firm agrees that all the instructions received by the Bank web-
service based transmission mechanism shall be treated as valid and genuine and that the Bank shall not be held responsible for
any losses or damages incurred by the Firm and/or Bank from any actions/proceedings arising out of such instructions in any
manner whatsoever.

5) That the Firm shall advice the Bank in writing of any change that may take place in the constitution of the Firm and shall be
liable to the Bank on any obligations which may be outstanding in the said Firm's name on the Bank's books and until such
obligations shall have been liquidated.

6) That the firm places the “Terms and Conditions and Rules for the Services” governing Account Operation / API Banking along
with General Terms and Conditions prescribed by the Bank, as currently applicable, on record and confirms acceptance of the
same.
