CONTRACT AGREEMENT FOR SALE & INSTALLATION OF VEHICLE ENGINE
This Contract Agreement (the "Agreement") is made and entered into this 8th day of July, 2024 by
and between:
Evans Chilufya (NRC 313374/66/1), an individual residing at Ndeke changa-changa, 105 Kitwe,
hereinafter referred to as the "Seller."
AND
Mate-World Contractors Ltd., a company registered under the laws of Zambia, with its registered
office at Plot 3055, Office 418, Mpelembe House, Ndola 10101, Zambia, hereinafter referred to as the
"Buyer."
WHEREAS, the Seller is the lawful owner of a Toyota 2L engine bearing engine number 2L-
4428284 (the "Engine");
WHEREAS, the Buyer desires to purchase the Engine from the Seller and have it installed, and the
Seller is willing to sell the Engine to the Buyer and provide installation services on the terms and
conditions set forth herein;
WHEREAS, the Buyer has already paid the Seller a deposit of ZMW 2,000 (Two Thousand Zambian
Kwacha) towards the purchase price;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein,
the parties agree as follows:
1. Sale of Engine: The Seller hereby agrees to sell, and the Buyer hereby agrees to purchase, the
Engine for the purchase price of ZMW 14,000 (Fourteen Thousand Zambian Kwacha), of which
ZMW 2,000 has already been paid as a deposit.
2. Installation: The Seller shall install the Engine in the Buyer's vehicle designated by the Buyer at
the time of delivery. The installation shall be completed within 14 days of delivery and shall be
performed to the Buyer's satisfaction.
3. Payment: The Buyer shall pay the remaining balance of ZMW 12,000 (Twelve Thousand
Zambian Kwacha) to the Seller upon completion of the installation and the Buyer's satisfaction
with the work.
4. Delivery: The Seller shall deliver the Engine to the Buyer at either of the following locations on
or before 8th July 2024:
• Ndola Centre Police, 220 Buteko Ave, Ndola, Zambia,
• Plot 3055, Office 418, Mpelembe House, Ndola 10101, Zambia (Buyer's registered office).
The risk of loss or damage to the Engine shall pass to the Buyer upon delivery.
5. Condition of Engine: The Seller represents and warrants that the Engine is in good working
condition, free from any defects, and has not been involved in any accidents or major repairs.
The Buyer shall have the right to inspect the Engine before installation
6. Warranty: The Seller provides a warranty of 6 (six) months from the date of delivery against
any defects in materials or workmanship of the Engine. If any defects are found during the
warranty period, the Seller shall repair or replace the Engine and reinstall it at their own cost.
7. Governing Law: This Agreement shall be governed by and construed in accordance with the
laws of Zambia.
8. Dispute Resolution: Any disputes arising out of or in connection with this Agreement shall be
resolved amicably through negotiation. If the parties are unable to resolve the dispute through
negotiation, either party may submit the dispute to binding arbitration in accordance with the
Arbitration Act of Zambia.
9. Entire Agreement: This Agreement constitutes the entire agreement between the parties with
respect to the subject matter hereof and supersedes all prior or contemporaneous
communications, representations, or agreements, whether oral or written.
10. Modifications: This Agreement may not be modified or amended except in writing signed by
both parties.
