About Solargis

Solargis is a technology and consultancy company offering energy-related meteorological data, software and consultancy
services to solar energy industry. Since 2010, Solargis supports industry in the site qualification, planning, financing,
management and operation of renewable energy systems. We are developing and operating a new generation high-
resolution global meteorological database and online software applications integrated within Solargis® platform. Our
accurate, standardised and validated data reduce the weather-related risks and costs of system planning, performance
evaluation and forecasting. Solargis data, energy evaluation tools and forecasting are available worldwide, with exception
of latitudes higher than 65° (Figure 1).

SOLARGIS DATA AND SERVICES

Historical and Recent Data

Solargis database is organised in segmented data files that include grid (raster) data layers structured for a given period
of time. Temporal coverage varies by region and the variability is given by historical availability and features of different
satellite missions. At present, we are processing data from three meteorological data centres operating geostationary
satellites at five positions covering surface of entire Earth (valid data is not available for polar regions). Solar resource
parameters are computed by Solargis from data inputs received in real time from five geostationary satellites (Meteosat,
GOES and Himawari) and from global meteorological models. Meteorological parameters are derived from the numerical
weather models ERA5 and IFS. Compared to solar resource data, they have lower spatial and temporal resolution.
In addition, we systematically provide time series of other support parameters such as albedo. Tables 1 and 2 and
Figures 1 and 2 show technical features of Solargis solar resource and meteorological data.
Solargis data are outputs of meteorological models and they represent a geographic area (area depends on a
meteorological parameter) rather than a specific site. Local climate of a site may differ from the values derived from the
Solargis database. This natural discrepancy has a typical systematic nature, which it can be reduced with help of local
ground measurements, by site adaptation of Solargis model outputs, based on the correlation of measured and model
data values.

Solar and Wind Power Forecast

Solargis forecasting is based on the use of numerical weather prediction models (NWP) and satellite-based cloud motion
vector model (CMV). The forecast service delivers continuous data stream from the recent time to horizon of 14 days.
This service is built by a combination of several model outputs, which dynamically assimilate at different weighting based
on the systematic evaluation of the accuracy of the forecast.
The forecast includes two services:
• Nowcast of solar parameters and solar power is available for a period from Hour 0 to Hour 3 at resolution up

to 10 minutes. The nowcast is based on the Solargis-CMV method, which is combined with data outputs from
NWP for a period between Hour 2 and Hour 3.
• Forecast of solar, meteo parameters and solar and wind power is available for a period from now to next 14
days. For practical reasons, it is also separated into three forecast periods: intraday (Day 0), day ahead (D+1)
and forecast for Day +2 up to Day +14. Forecast service is based on a postprocessing of combined outputs
from Numerical Weather Prediction (NWP) models (input data from three models are used: IFS, ICON, GFS).
PV power and wind power forecasts are calculated from the relevant solar and meteo primary data parameters. The
forecast data streams are systematic quality-controlled and accuracy enhanced within internal validation procedures
based on the use of solar resource data from satellite-based model and meteorological data from meteorological models.
To deliver forecast as close as possible to the real behaviour of solar PV power plant of wind turbine we offer service of
adapting forecast with real power production data from a SCADA control system or from a monitoring system, received
via email, FTP or API. This service includes quality control of incoming data and post-processing that adjust the forecast
data to the PV power production profile characteristics of a power plant using statistical methods and machine learning.
The model adaptation is offered in two modes:
• Ad-hoc, based on customer data delivered in non-automatic mode
• Systematically, in regular or near real-time mode
The forecast models run on computing infrastructure of Solargis. There are no specific hardware requirements on the
client site.

Energy Simulation and Design Optimisation

PV energy yield simulation software evaluates local climate and electricity production potential of the planned PV project.
It includes assessment of typical and minimum achievable electricity production over the lifetime of the PV power plant
considering probability calculation. The service provides technical evaluation of key components of a PV system, expected
energy losses, and expected performance ratio. This information is used as a base for detailed technical and economic
assessment of a PV power plant.
The PV potential calculation is based on new in-house developed Solargis PV energy simulation and PV design
optimisation models, which include best available scientific methods and approaches published in scientific literature.
The models include algorithms for all energy conversion stages that occur in the monofacial and bifacial PV modules, all
type of trackers, inverters, transformers, including cabling, nearby and terrain horizon shading effects, mismatch, and
surface pollution. All algorithms are verified by test data and real PV production data. Solargis PV simulation software
considers non-linear response of PV system to changing solar resource, temperature and other environmental conditions.

Data Quality Control and Analytics

Solargis team has 15+ years of history in quality control and processing of the measured and modelled solar resource
and meteorological data. We processed time series data from large range of solar instruments installed at 2000+ public
and commercial sites, worldwide. Quality control is part of all services which involve use of customer data:

Based on this experience, we developed our own suit of quality control and data processing tools which are consolidated
into a unique software infrastructure called Solargis Analyst. These software tools make it possible to deliver quality-
controlled and gap-filled time series measurements for bankable performance evaluation.

Solargis offers consultancy services for the area of PV potential analysis, project development, performance evaluation
and forecasting of existing projects or entire portfolios. In last 12 years we have been involved in 1200+ consultancy

Item C12: Solargis Forecast Professional

Solar radiation forecast is based on Solargis post-processing of the meteorological outputs from three operational
numerical weather models (NWP):
• IFS and MACC-II models from ECMWF, Europe
• ICON model of DWD, Germany
• GFS model from NOAA, US
In the post-processing, operationally calculated information from the Solargis satellite model is used for dynamic
improvement of the accuracy.

III. Legal

General Contractual Terms

The following general contractual terms ("General Contractual Terms"), in combination with the present Offer, shall
govern the Customer's access to and use of:
➢ Solargis® solar, meteorological and/or other related data (referred to as “Data”);
➢ Solargis® webservices via API, FTP or similar;
➢ Solargis® online application/s on Solargis websites;
➢ Solargis® software (including software licenses); and/or
➢ Solargis consultancy services,

(hereinafter referred to as “Services”), in each case where ordered by the Customer from Solargis pursuant to the Offer,
including outputs of the Services provided by or on behalf of Solargis to the Customer, including reports, information in
tables or in graphical form, data and other materials created, generated or made available through the Services
(hereinafter referred to as “Deliverables” and individually as “Deliverable”).
By accepting and signing the present Offer by the Customer containing these General Contractual Terms, the parties are
entering into mutual agreement (referred to also as the “Agreement”).
The Customer acknowledges that it has had the opportunity to review the Agreement and hereby agrees to it. The
individual(s) executing the Agreement represent that they have the right, power and authority to bind the Customer to this
Agreement.
The Customer, you, and Solargis are each a “party” and together are “parties” hereunder.
The Customer acknowledges that:
a) for use of certain Data, Services and Deliverables it is necessary for the Customer to create a Customer
account at www.apps.solargis.com and to give consent to the Website Terms of Use (see:
https://solargis.com/legal/website-terms-of-use), and the Website Terms of Use are incorporated into this
Agreement by reference; and
b) Solargis' provision and delivery of Data, Services and Deliverables is subject to the Customer's continued
compliance with the terms and conditions stated in Part II. Commercial - Payment and delivery terms.
These General Contractual Terms contain two specific parts: (a) the Special Terms governing the use of specific Data,
Services and/or Deliverables in this Offer; and (b) Additional Terms containing standard contractual clauses and general
conditions of this Agreement. Special Terms may include one or more terms of use or license depending on the number
and type of Data, Services and/or Deliverables ordered by the Customer.
Any conflict or discrepancy between the modules of this Agreement shall be resolved in the following order or priority:
Part II. Commercial - Payment and delivery terms of the Offer;
Part I. Technical of the Offer;
The Special Terms of these General Contractual Terms; and
The Additional Terms of these General Contractual Terms.

1. Special Terms
SOLARGIS DATA SERVICES TERMS OF USE
business use

The following terms of use (referred to as “Terms of Use”) shall govern the use of any of the following (whatever is
applicable) by the Customer:
➢ Solargis® webservices via API, FTP or similar, and/or
➢ Solargis® online application/s on Solargis websites.
➢ Solargis® solar, meteorological and/or other related data.
For the purpose of these Terms of Use, the Solargis® webservices (via API, FTP or similar) and/or Solargis® online
applications on Solargis websites are hereinafter referred to as “Online Service” and Solargis® solar, meteorological

and/or other related data are hereinafter referred to as “Data”. Online Service and Data are together referred also as “Data
Services”.

Protection of Proprietary Rights

The Customer acknowledges that it shall obtain only the limited right to use the particular Data Services ordered by the
Customer, consistent with these Terms of Use; and no right, title or interest in or to any intellectual property rights (including
any of the copyrights, trademarks, or other proprietary rights subsisting therein, or relating to the use of Data Services),
shall be transferred from Solargis to the Customer.

Terms and Conditions


1. Subject to the Customer's compliance with the terms of this Agreement, Solargis hereby grants to the Customer a
limited, non-exclusive and non-transferable right to use the chosen Data Services within the entity it represents. The
granting of access to Data Services is subject to the payment of the applicable service fee. The services fee covers
both the fee for use of Online Service (if applicable) and the fee for use of the Data.
2. Online Service shall be used by the Customer solely for the purpose of accessing and using the Data and/or working
in Solargis' online application(s). The Customer shall not modify, decompile, disassemble, decrypt or otherwise
reverse engineer the Online Service or any part thereof, nor copy or license the whole or any parts of the Online
Service (including the Solargis® database).
3. If the Customer is granted access to Data through the Online Service, Solargis shall issue to the Customer (or its
authorized user(s)) a unique access key, name, password and/or encrypted user account/s or similar (“Login
Details”) for the purpose of accessing the Data through the Online Service. The Customer (and its authorized user(s))
may only access the Online Service using the Login Details allocated by Solargis to the Customer. Sharing Login
Details with any third party and/or disclosing any of them to the public is prohibited. Customer shall: (i) ensure
that the Login Details are stored in a safe and secure manner; (ii) upon request, provide Solargis with a list of its
authorized user(s); and (iii) ensure that each set of Login Details is used by a single authorized user (and are not
shared between users). Customer agrees that each authorized user must be a member of the internal staff of the
Customer, and the Customer shall be responsible for ensuring that each authorized user complies with the relevant
provisions of this Agreement.
4. The Data shall only be used by the Customer for its own personal or internal business use. The Data may not
be displayed to public. Customer shall not sell, license, rent, publish, post, lend, assign, or transfer in whole or in part,
or provide unauthorized third parties access to, the Data. However, no part of this restriction shall prohibit the
Customer from creating studies, reports or analyses, which may include graphs or tables based on Data (whether
produced as a paid or unpaid service by the Customer for a third party) as long as long as delivered original Data
file/s is not published or transferred to any third party and the source “Solar resource data © [year*] Solargis” shall
always be referenced in such studies, reports or analyses.
5. Customer shall not publish, transmit or communicate any competitive comparison, analysis or "benchmarking" of the
Data without the prior written consent of Solargis. Published or posted analysis based in whole or in part on the Data
must reference “Solar resource data © [year*] Solargis” as part of the final work.
6. Considering the nature of climate fluctuations, interannual and long-term changes as well as the uncertainty of
measurements and applied methods, Customer acknowledges that Solargis cannot give any warranty on the
accuracy of the Data, and the Data is provided on an "as is", "as available" basis. Solargis has done its utmost to
make an assessment of climate conditions and photovoltaic yield assessment based on the best available data,
software and knowledge.
7. Solargis shall in no way whatsoever be liable for any use of Data Services by Customer (including any results,
conclusions, studies, reports or analyses derived or created by Customer based on its use of the Data Services).
8. Customer shall indemnify, defend and hold harmless Solargis, its officers, employees and agents from and against
any and all claims, actions, damages, losses, liabilities, costs, expenses or injuries of any kind and nature that arise
out of or in connection with Customer’s use of the Data Services in breach of these Terms of Use.
9. The right to use Online Service shall only be granted for such period as specified in Part II. Commercial - Payment
and delivery terms of the Offer. Without prejudice to any other terms in this Agreement, Solargis shall have the right
to terminate the access to Data Services if Customer breaches any of the obligations stipulated in Sections 1 to 8 of
these Terms of Use. In such case, the Customer's right to use Data Services shall be deemed terminated, and the
Customer's account shall also be terminated and Customer shall be notified thereof. In the event of a termination of

the Customer's right to use the Data Services pursuant to this Section, Customer shall not be entitled to a refund of
the service fee or any part thereof. The right to use the Data is granted for an unlimited period of time provided that
the Customer continues to comply with these Terms of Use and the Customer ensures that all applicable copyright
notices are maintained with the Data or part thereof.

2. Additional Terms
1. Fees and Taxes. In consideration for the provision of the Data, Deliverables, licences and other Services
specified in this Agreement, Customer shall pay to Solargis all fees and other amounts, in such manner, as set
forth in Part II Commercial. All prices and other amounts shall be exclusive of all applicable country, provincial,
state and local sales, use, value added, excise, privilege, franchise and similar taxes, and Customer shall be
responsible for the payment of all such taxes.

2. Confidential Information.
a. Confidential Information. As used herein “Confidential Information” means all information disclosed
by a party (“Disclosing Party”) to the other party (“Receiving Party”) in connection with the Agreement,
whether orally or in writing, designated as confidential or that reasonably should be understood to be
confidential given the nature of the information and circumstances of disclosure. Confidential
Information includes, without limitation, the Agreement (including any pricing contained therein), and
any commercial, financial, marketing, business, technical or other data, know-how or other information
disclosed by or on behalf of Disclosing Party. Confidential Information does not include any information
that (i) is already known to the Receiving Party or received by the Receiving Party from a third party,
free of any obligation to keep it confidential, (ii) becomes publicly known through no wrongful act of the
Receiving Party, (iii) is independently developed by the Receiving Party without the use of the Disclosing
Party’s Confidential Information, or (iv) is approved for release by written authorization of the Disclosing
Party.
b. Confidentiality. The Receiving Party will not disclose or use any Confidential Information of the
Disclosing Party for any purpose outside the scope of the Agreement without the Disclosing Party’s
prior written permission.
c. Protection. The Receiving Party agrees to keep confidential all Confidential Information disclosed to it
by the Disclosing Party, and to protect the confidentiality thereof in the same manner as it protects the
confidentiality of its own, but in any event with no less than reasonable care.
d. Compelled Disclosure. If the Receiving Party is compelled by law to disclose Confidential Information of
the Disclosing Party, it shall provide the Disclosing Party with prior notice of such compelled disclosure (to
the extent legally permitted) and reasonable assistance, at Disclosing Party’s cost, if the Disclosing Party
wishes to seek a protective order or otherwise contest the disclosure.
e. Return. Receiving Party will return all originals, copies and summaries of the Confidential Information upon
termination or expiration of the Agreement upon Disclosing Party’s request, or in the alternative, destroy the
same and certify in writing to Disclosing Party that all such Confidential Information has been destroyed.
Nothing herein requires a party to erase any Confidential Information that is in an archived computer backup
system in accordance with its respective security and/or disaster recovery procedures and each party may
each retain copies of the Confidential Information to the extent required to comply with legal or regulatory
requirements (all of which remains strictly subject to the restrictions in this Agreement).
f. Duration. The obligations regarding Confidential Information will continue until such time it ceases to
meet the definition for Confidential Information.
g. Ownership. Each party retains sole and exclusive ownership in its Confidential Information.

3. Term. Except as otherwise specified herein, the Agreement begins once Customer accepts the Offer issued
pursuant hereto and shall continue in effect thereafter unless terminated upon the earlier to occur of the following:

a. Termination for Cause. Either party may terminate the Agreement for cause:
i. immediately upon written notice to the other party, if the other party breaches its obligations
under the Agreement and such breach is either: (i) not cured within 30-days of the non-
breaching party's written notice of the breach; or (ii) not capable of being cured; or

ii. immediately upon written notice to the other party if the other party materially breaches – Part
1 Special Terms, Part 2 Additional Terms - Sections 2 (Confidentiality), Section 8 (Trademark
and Copyright Notices) or Section 13 (Assignment) of this Agreement; or
iii. immediately upon written notice to the other party in the event that the other party should
become insolvent or should make any assignment for the benefit of creditors, or should be
adjudged bankrupt, or should file a petition in bankruptcy, or is named as debtor in an involuntary
bankruptcy proceeding, or if a receiver or trustee of the property of the other party is appointed.

b. Termination as set forth in an Offer. The Agreement may also be terminated (in whole or in part)
upon such additional terms as specified in the Offer (if any).

c. Termination upon fulfilment. Where applicable, the Agreement shall terminate upon the fulfilment of
delivery of the last of the Data, Services and/or Deliverables (as applicable) that Solargis has agreed to
provide to the Customer pursuant to the Offer.

4. Orders for Multiple Deliverables. If the Offer includes more than one type of Data, Services and/or Deliverable,
then a party may terminate that portion of the Offer that applies to the Data, Services and/or Deliverable giving
rise to the termination right under this Section in lieu of terminating the entire Offer.

5. Effects of Termination. Except as set out in Section 22 (Surviving Provisions), upon termination of the Agreement
for any reason (i) all rights and obligations of the parties under the Agreement will automatically terminate except
for rights of action accruing prior to termination; and (ii) all amounts due thereunder shall become immediately
due and payable.

6. Intellectual Property. Solargis® database (“Database”) and outputs thereof are fully owned by Solargis.
Solargis retains sole and exclusive rights to Database and sole and exclusive ownership in the Data. Solargis
also owns and will own all intellectual property rights, title and interest in any ideas, concepts, know how,
databases, documentation or techniques developed by Solargis. All rights owned by Solargis not expressly
granted in the Agreement are reserved by Solargis and its affiliates. Customer obtains the right to use Data,
Services and Deliverables consistent with this Agreement and no other right, title or interest in or to any copyright,
trademark or other proprietary rights relating to Data, Services and/or Deliverables are transferred from Solargis
to the Customer, except as stated otherwise in this Agreement. The Customer acknowledges that the Services
or Deliverables thereof may include open source software. To the extent applicable, Solargis will identify such
open source software, and the terms on which the Customer may use such open source software (if different to
the terms on which the Customer may use the Solargis' Data, Deliverables, Services and outputs thereof). In that
case, the terms of the open source software licence will apply to the Customer's use of the open source software,
and the Customer will have the rights granted in such licences.

7. Feedback. The Customer hereby does and will irrevocably assign to Solargis the right to use all evaluations,
ideas, feedback and suggestions made by the Customer to Solargis regarding any Services, Data or Deliverable
(collectively, “Feedback”) and all intellectual property rights in the Feedback. To the extent any of the rights, title
and interest in and to Feedback or intellectual property rights in the Feedback cannot be assigned by the
Customer to Solargis, the Customer hereby grants to Solargis an exclusive, royalty-free, transferable,
irrevocable, worldwide, fully paid-up right to use or license (with rights to sublicense through multiple tiers of
sublicensees) to fully use, practice and exploit those non-assignable rights, title and interest. If the foregoing
assignment and license are not enforceable, the Customer agrees to waive and never assert against Solargis
those non-assignable and non-licensable rights, title and interest.

8. Trademark and Copyright Notices. The Customer will not remove, alter or destroy any proprietary, trademark or
copyright notices placed upon or contained within any Services or Deliverable or Data itself at any time. The Customer
does not and will not acquire any rights of any kind in or to any data, trademark, trade name, logo or other deliverable
designation under which Data, Services or Deliverable was or is marketed and, except as contemplated herein, may
not make any use of the same for any purposes without Solargis’ prior written consent, which may be arbitrarily
withheld. In case one of the Services is accompanied by a report / consultancy study, the Customer will obtain
permission to use this document or its parts for preparing the technical documentation, provided that the copyright
for the relevant parts are acknowledged as instructed in Part I Technical part of the Offer.

9. General Disclaimer.

HERETO, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NEITHER SOLARGIS, NOR ITS
SUPPLIERS, SUBCONTRACTORS OR AGENTS MAKE ANY REPRESENTATIONS AND WARRANTIES OF ANY
KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION,
SATISFACTORY QUALITY, REASONABLE SKILL AND CARE, MERCHANTABILITY, SUITABILITY AND FITNESS
FOR A PARTICULAR PURPOSE OR THAT THE DATA, SERVICES AND/OR OTHER DELIVERABLES PROVIDED
HEREUNDER WILL BE SECURE, UNINTERRUPTED OR ERROR FREE OR WILL MEET CUSTOMER’S
REQUIREMENTS OR NEEDS. EXCEPT AS EXPRESSLY PROVIDED HEREIN OR IN ANY DATA
DOCUMENTATION OR IN ANY SUPPLEMENT HERETO, DATA, SERVICES AND/OR DELIVERABLES ARE
PROVIDED "AS IS", "AS AVAILABLE" BASIS. SOLARGIS SPECIFICALLY DO NOT REPRESENT OR WARRANT
THAT THE DATA, SERVICES AND/OR DELIVERABLES (OR ANY PART, FEATURE OR CONTENT THEREOF) ARE
COMPLETE, ACCURATE, OF ANY CERTAIN QUALITY, RELIABLE OR SECURE IN ANY WAY, SUITABLE FOR OR
COMPATIBLE WITH ANY OF YOUR (OR YOUR END USERS) CONTEMPLATED ACTIVITIES, DEVICES,
OPERATING SYSTEMS, BROWSERS, SOFTWARE OR TOOLS (OR THAT THEY WILL REMAIN AS SUCH AT ANY
TIME), OR COMPLY WITH ANY LAWS APPLICABLE TO YOU OR YOUR END USERS (INCLUDING IN ANY
JURISDICTION IN WHICH YOU OPERATE).

10. Indemnification.
a. The Customer shall indemnify and hold harmless Solargis, its officers, directors, shareholders, employees,
affiliates and agents, from and against any claims, damages, obligations, losses, liabilities, costs, debt and
expenses arising out of or in connection with any claim or action in relation to the breach of this Agreement
by the Customer or in relation to the use of the Data, Services and/or related Deliverable by the Customer in
connection with (i) any Customer supplied intellectual property, materials or information and/or (ii) any
Customer data, (iii) Customer’s use of the Data, Services and/or Deliverables contrary to the Agreement or
applicable Deliverable documentation, or (iv) Customer’s use of the Data, Services and/or Deliverables in
violation of third party´s rights, any law, rule or regulation.
b. Subject to the terms and conditions of the Agreement, Solargis shall indemnify, defend and hold harmless
the Customer, its officers, employees and agents from and against any claims, damages, obligations,
losses, liabilities, costs, debt and expenses arising out of the event that Solargis has infringed any patent,
copyright, trademark or other intellectual property right of any third party ("Intellectual Property
Infringement") in relation to the Data, Services and/or Deliverable supplied under this Agreement,
provided that Customer shall:
i. give notice to Solargis of any Intellectual Property Infringement forthwith upon becoming aware
of the same;
ii. give Solargis the sole conduct of the defence to any claim or action in respect of any Intellectual
Property Infringement and shall not at any time admit liability or otherwise settle or compromise
or attempt to settle or compromise the said claim or action except upon the express instructions
of Solargis; and
iii. act in accordance with the reasonable instructions of Solargis and give to Solargis such
assistance as it shall reasonably require in respect of the conduct of the said defence including
without prejudice to the generality of the foregoing the filing of all pleadings and other court
process and the provision of all relevant documents.

11. Exclusion and Limitation of Liability.


a. Exclusion. TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, NEITHER PARTY
WILL BE LIABLE TO THE OTHER PARTY FOR (i) ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT,
SPECIAL, PUNITIVE OR EXEMPLARY DAMAGES OF ANY KIND, OR (ii) DAMAGES FOR LOSS OF USE,
LOSS OF BUSINESS, LOSS OF PROFITS OR REVENUE, OR LOSS OF BUSINESS INFORMATION (IN
EACH CASE WHETHER DIRECT OR INDIRECT),
b. Limitation. To the maximum extent permissible under applicable law, in no event shall Solargis´ total liability
(including any liability under any indemnity provided by Solargis) to the Customer for any and all damages,
losses and causes of action that can be foreseen, whether in contract, negligence or otherwise, exceed the
amount paid by the Customer to Solargis for Data, Services and/or Deliverables under this Agreement.

12. Non-Solicitation. Customer shall not, without the prior written consent of the Solargis, at any time from the date
of this Agreement to the expiry of 24 months after the termination or expiry of this Agreement, solicit or entice
away from the Solargis or employ or attempt to employ any person who is, or has been, engaged as an employee,
consultant or subcontractor of the Solargis in the provision of the Data, Services and/or Deliverables.

13. Assignment. Customer may not assign, license, sublicense, pledge or otherwise transfer the Agreement or any rights
under the Agreement, whether voluntarily or by operation of law, without Solargis’ prior written consent. Without
prejudice to the foregoing, any sale or transfer of assets, stock or any interest in Customer, or any merger, consolidation
restructuring, or other business reorganization shall be considered a transfer of the Agreement and prohibited hereby.
The Agreement is binding upon and inures to the benefit of the parties hereto and their respective successors and
permitted assigns. Solargis may assign, novate or transfer this Agreement or part thereof to any third parties upon
written notice to Customer.

14. Force Majeure. Neither party will be responsible or liable for its failure to timely or duly perform under the
Agreement when its failure is exclusively caused by or results from acts beyond the impacted party’s reasonable
control which includes the following force majeure events: (a) flood, fire, earthquake or explosion; (b) war,
invasion, hostilities, terrorist threats or acts, riot or other civil unrest; (c) government order or law; (d) actions,
embargoes or blockades in effect on or after the date of this Agreement; (e) action by any governmental authority;
(f) national or regional emergency; (g) strikes or labor stoppages; (h) epidemic, pandemic or similar infection that
may cause global outbreak or serious illness; (i) emergency state; (j) shortage of power or transportation facilities;
and (k) other similar events beyond the reasonable control of the impacted party. The time for performance will
be extended for a period equal to the duration of the conditions that prevent performance provided that the
impacted party informed the other party of the occurrence of force majeure events without undue delay after
discovering it. If the effect of any of the said event shall continue for a period exceeding sixty (60) days, then
either party may at any time thereafter upon giving notice to the other party elect to terminate this Agreement.

15. Relationship. The parties are independent contractors. The Agreement does not create a joint venture or partnership
between the parties; and no party is by virtue of the Agreement authorized as an agent, employee or representative of
the other party.

16. Entire Agreement. The Agreement constitutes the entire agreement between the parties on the subject hereof and
supersedes all other prior or contemporaneous agreements, negotiations, representations and proposals, written or
oral. Solargis and Customer agree they will have no remedy arising from any statement, representation, warranty or
understanding (whether negligently or innocently made) of any person (whether party to the Agreement or not) other
than as expressly set out in the Agreement. The Agreement does not operate as an acceptance of any conflicting
terms and conditions and will prevail over any conflicting provision of any purchase order or any other instrument of
the Customer, it being understood that any purchase order issued by the Customer will be for Customer’s convenience
only and any terms and conditions therein are of no force or effect hereunder.

17. Modifications and Waiver. No modification of, or amendment or addition to the Agreement is valid or binding unless
set forth in writing signed by an authorized representative of each party. The failure by either party to enforce at any
time the provisions of this Agreement or any rights in respect thereto shall in no way be considered to be a waiver of
such provisions, rights, or elections or in any way affect the validity of this Agreement.

18. Severability. If any term or provision of this Agreement is held to be illegal or unenforceable, such term or
provision shall be deemed to be deleted from this Agreement and the validity or enforceability of the remainder
of this Agreement shall remain in full force and effect.

19. Business Contact Information. The Customer will provide accurate and complete information on its legal business
name, address, email address and phone number, and maintain and promptly update this information if it should change.
The Customer agrees to allow, and is authorized to allow, Solargis and its direct subsidiaries to store and use the
Customer’s business contact information, including names, business phone numbers, and business email addresses of
the Customer contact persons for the purposes of this Agreement, Services and Deliverables as well as in relation to the
information on related types of Services or Deliverables. Such information will be processed and used solely in accordance
with the applicable law.

20. Privacy policy. Any personal data provided in this Agreement or on the basis of this Agreement shal be processed only
for the purposes of this Agreement and in accordance with applicable laws and regulations on personal data protection.

21. Compliance with Anti-corruption, Anti-Terrorism, Embargo, Sanctions and Anti-Money Laundering Laws.
The parties agree, subject to the penalties imposed in the respective instrument and under the applicable laws,
to duly observe and strictly comply with all applicable anticorruption, anti-terrorism, embargo, sanctions and anti-
money laundering laws (hereinafter jointly referred to as “Applicable Laws”). The parties represent and warrant
that they are not involved and will not be involved, directly or indirectly, through its representatives, managers,

officers, directors, members, partners or shareholders, collaborators, advisors, related parties, during
performance of the obligations hereunder, in any business or practice defined as a violation of the Applicable
Laws and that (i) they are not involved in any investigation or in any claims under the Applicable Laws ; (ii) they
are not parties to judicial and/or administrative proceedings, nor have they been convicted for or accused of any
offence under the Applicable Laws; (iii) they are not included in any governmental agency list, nor are they known
for or suspect of practices of terrorism and/or money laundering; (iv) they are not subject to embargo, to economic
and business restrictions or sanctions determined by any governmental entity; and (v) they are not excluded nor
have been prevented from doing business under any law imposed by or supervised by any governmental entity.

22. Surviving provisions. All provisions regarding indemnification, warranty, liability, and limits thereon, and
confidentiality and/or protections of proprietary rights, including but not limited to intellectual property and trade
secrets shall survive the termination of this Agreement.

23. Governing Law and dispute resolution. This Agreement shall be governed by the laws of the Slovak Republic,
without reference to its conflicts of law principles. In the event any of the provisions of this Agreement are held by a
court or other tribunal of competent jurisdiction to be unenforceable, such provisions shall be eliminated or limited to
the minimum extent necessary so this Agreement shall otherwise remain in full force and effect. Any dispute arising
out of this Agreement which will not be settled amicably, will be resolved by the International Court of Arbitration of ICC
in Vienna by one arbitrator appointed in accordance with ICC´s procedural rules. The language of the proceeding will
be English.

24. Counterparts. This Agreement may be executed in one or more counterparts by the duly authorized representatives
of the parties, each of which when so executed shall be deemed to be an original and all of which taken together shall
constitute one and the same agreement provided that this Agreement shall be of no force and effect until the
counterparts are exchanged.
