HOW TO REGISTER A BUSINESS:
REQUIREMENTS AND PERMITS
There are several government agencies we must register with, in addition to opening a bank
account, when starting a business and hiring employees. It is essential to register our business to
avoid any legal problems once business operations begin. Most of the steps can NOT be
performed simultaneously, thus must be performed one at a time.
1. SECURE BUSINESS NAME WITH THE SECURITIES AND
EXCHANGE COMMISSION (SEC)
The first step is to register our preferred corporate name with the SEC while our lawyer/s work
on the company’s articles of incorporation and by-laws. Once the Articles of Incorporation and
By-laws are drafted, we may open the TITF account with our preferred bank.
2. OPEN CORPORATE BANK ACCOUNT - DAVAO
Companies applying for incorporation must open a TITF (treasurer-in-trust-for) account with its
preferred bank. The TITF account will serve as the temporary depository account of the required
paid-up capital of the corporation. The basic requirements for the opening of a TITF account
include the proposed articles of incorporation and by-laws, account opening forms with the
specimen signature card to be accomplished by the treasurer-in-trust, valid identification cards of
the treasurer-in-trust, and the minimum deposit required by the bank which ranges from
P10,000.00 to P50,000.00 depending on bank. The bank will issue a certificate of deposit which
is among the documentary requirements to be submitted to the SEC.
3. REGISTER WITH THE SECURITIES AND EXCHANGE
COMMISSION (SEC) – ATTY DUREMDES
Once a bank certificate of deposit is issued, and provided the following documentary
requirements are complete, the application for registration may be submitted to the SEC:
Name Reservation and Payment Form
Notarized Articles of Incorporation and By-laws
Treasurer’s Affidavit
Bank Certificate of Deposit or Proof of Inward Remittance
Duly accomplished SEC Form F-100 (for corporations with more than 40% foreign
equity)
SEC registration takes 10 to 15 working days upon submission of complete documentary
requirements, provided there are no holidays during this time period.

4. REGISTER WITH THE BUREAU OF INTERNAL REVENUE
(BIR) – MA’AM RICHEAL
After SEC registration, a company must obtain a taxpayer identification number (TIN), register
its books of accounts, and apply for ATP (authority to print) official receipts from the Bureau of
Internal Revenue (BIR), the national taxing authority in the Philippines.
CORPORATIONS/PARTNERSHIPS

Documentary Requirements
a. BIR Form No. 1903 version 2018;
b. Photocopy of SEC Certificate of Incorporation
c. Articles of Incorporation
d. Payment of P500.00 for Registration Fee and P30.00 for loose DST or Proof of Payment
of Annual Registration Fee (ARF) (not applicable to those exempt from the imposition of
ARF);
e. BIR Printed Receipts/Invoices or Final & clear sample of Principal Receipts/ Invoices;
f. Board Resolution indicating the name of the authorized representative or Secretary’s
Certificate, in case of authorized representative who will transact with the Bureau;
g. Board Resolution indicating the name of the authorized representative or Secretary’s
Certificate, in case of authorized representative who will transact with the Bureau;
Deadline
› Corporations and their branches shall accomplish and file the application on or before the
commencement of business, it shall be reckoned from the day when the first sale transaction
occurred or within thirty (30) calendar days from the issuance of Mayor's Permit/PTR by LGU,
or Certificate of Registration issued by the Securities and Exchange Commission (SEC),
whichever comes earlier
› In the case of corporations (Taxable or Non-taxable) where documentary stamp tax (DST) is
required to be paid within five (5) days after the close of the month, BIR Registration shall be
done on or before payment of DST due
Secondary Registration
• Registration of Book of Accounts
Documentary Requirements
a) BIR FORM 1905
b) New sets of permanently bound books of accounts for registration/stamping or the bound
journals and/or ledgers;
c) Board Resolution indicating the purpose and the name of the authorized
representative; or Secretary’s Certificate; Any government-issued ID of the authorized
representative
Deadline
Newly registered taxpayers shall present the manual books of accounts to the RDO or
concerned office under the Large Taxpayer Service where the place of business is located
for approval and registration before the deadline for filing of the first quarterly income
tax return or the annual income tax return whichever comes earlier.

Documentary Requirements
a. BIR Form 1906 (Jan 2000 ENCS) – Application for Authority to Print Receipts and
Invoices
b. Final & clear sample of principal and supplementary receipts/invoices
c. Photo copy of last issued ATP or Printer's Certificate of Delivery (PCD) or any booklet
from the last issued ATP for subsequent application
DEADLINE
Secure Application for Authority to Print Receipts and Invoices on or before the
commencement of business
5. REGISTER WITH THE SOCIAL SECURITY SYSTEM (SSS) –
MA’AM RICHEAL
All companies must be registered with the SSS and must secure an employer number which will
be used as reference for the remittance of monthly contributions. To register with the SSS, the
following documents must be submitted:
Employer Registration Form (R-1)
Employment Report Form (R-1A)
SEC Registration, Articles of Incorporation, and By-laws
6. REGISTER WITH PHILHEALTH – MA’AM RICHEAL
PhilHealth is a medical insurance program administered by the Philippine Health Insurance
Corporation (PHIC). All employers are required to register their employees with this agency as
stated in the New National Health Insurance Act (RA 7875 / RA 9241). To register with
PhilHealth, the following documents are required:
Employer Data Record (ER1)
Report of Employee-Members (ER2)
SEC Registration, Articles of Incorporation, and By-laws
7. REGISTER WITH PAG-IBIG -MA’AM RICHEAL
Pag-IBIG Fund is also known as the Home Development Mutual Fund (HDMF), a housing loan
which is mandatory for all employees covered by the Social Security System (SSS). The Pag-
IBIG Fund also provides other types of loans for qualified individuals.
8. OBTAIN A MAYOR’S OR BUSINESS PERMIT

9. OBTAIN IMPORT CLEARANCE CERTIFICATE (BIR ICC)
AND BOC ACCREDITATION – SIR JAIME
BIR Importer’s Clearance Certificate
Based on the new memorandum order, the timeline of processing and releasing of the certificate
is within five (5) working days after the applicant submits complete documents.
Documentary Requirements
1. Filled-up and notarized applications form
2. Latest Mayor’s Business Permit, Certified True Copy
3. TCT or Lease Contract of business address
4. Delinquency Verification issued by the bureau
5. Certificate of Good Standing issued by SEC or CDA or NEA
6. Secretary’s Certificate, original copy, certifying that a Board Resolution was passed
authorizing a responsible officer to sign application form together with his specimen
signature, picture and photocopy of valid government-issued identification Card.
7. For Corporation/Cooperative – authorized person is any of the key officers/board
members as indicated in the GIS
It must be noted that the above required documents must be fastened in a folder with label and
filed sequentially based on the Checklist.
BOC – New Importer - Requirements
For new importers, the following pertinent documents are to be submitted:
Duly notarized accomplished Application Form and signed by responsible Officer (for
Corporation)
Bureau of Customs Official Receipt (BCOR) evidencing payment of processing fee
(Php1,000.00)
Corporate Secretary Certificate (Corporation) designating its authorized signatories in the
import entries
Two (2) valid government issued IDs (with picture) of Applicant, President and
Responsible Officers
NBI Clearance of applicant (issued within three (3) months prior to the application)
Photocopy of DTI Registration or SEC Registration/Articles of Partnership and Latest
General Information Sheet
Personal Profile of Applicant, President and Responsible Officers
Company Profile with pictures of office with proper and permanent signage and pictures
of warehouse/storage area
Proof of Lawful Occupancy of Office Address and Warehouse (i.e., Updated Lease
Contract under the name of the Corporation)
Printed CPRS (Client Profile Registration System - enabled applications that facilitates
automated process of accreditation or registration of all BOC stakeholders) of the
Company and updated notification of “STORED” status
BIR Registration (2303);
Income Tax Return (ITR) for the past three (3) years duly received by the BIR, if
applicable
Valid Mayor’s Permit as certified by the Bureau of Permits and Licensing Office
Proof of Financial capacity to import goods (Bank Certificate or other forms of financial
certification) (Top 1000 Taxpayers and under SGL Companies are exempted); and
Endorsement from the District Collector, if applicable.
