1.0 Price Basis: F O R Site. The prices shall remain firm & binding during the tenure of the order / supply of entire quantity and shall not be subject to escalation on any account
whatsoever, except for statutory variation / imposition of new taxes, levies & duties if any.
2.0 TAXES AND DUTIES: The price excludes GST applicable to the goods or services purchased under this order and No Tax Claims will be paid other than the appropriate tax
charged in the invoice.
3.0 BILL / INVOICES: Delivery Challan / Invoice should carry following information, (1) GST & HSN code (3) PO No. & Date (4) Line Item No. as per our PO (5) Description
(6) Quantity (7) Rate. (8) Test Certificate wherever applicable
4.0 Unloading: Site Scope. Loading & forwarding in the scope of vendor.
5.0 Warranty / Guarantee:The vendor shall submit all manuals, guarantee / warranty documents applicable as discussed or as applicable for full & final.
6.0 Inspection:Final inspection and acceptance of materials shall be carried out at our site and in case of any defects w. r. to IS standard and/ or ordered specifications, the
materials shall be liable for rejection and the same shall be replaced at no extra cost to us.
7.0 Risk Purchase: During execution of this order, if any delay is observed due to reasons attributable to you other than force majeure conditions, PHL is at liberty to cancel the
order in Full/Part at any point of time without assigning any reasons whatsoever and take alternative sourcing measures at your risk and cost.
8.0 Other Terms & conditions:The unit rates indicated in the PO shall remain firm and will not be subject to any price variation till the completion of the entire execution of PO.
HSN shall be clearly mentioned by the Vendor along with applicable GST rate.
9.0 Remarks: Delivery at site.
10.0 Indemnity Clause: This is to specify that any delay in obtaining credit or loss of credit due to non-disclosure or incorrect
disclosure of transactions, taxes in the forms / returns uploaded by the supplier would be recovered, including the loss of the credit,
interest, etc. to the extent of the damage incurred by us.
Note : Please ensure that GST claimed is correctly uploaded on the GST portal & also GST has to be paid in the next immediate
month of the invoice date so that we get the GST input. In the Absence or NON-availability of input credit we have right to recover
same in cash from you
11.0 DISPUTES AND JURISDICTION: This agreement and the PO issued under this agreement shall be subject to exclusive jurisdiction of courts situated within limits of
Bangalore. Neither the vendor nor PL shall take or adopt any legal proceedings to enforce any claim against the other relating to this order to arising there from in any Court other
than the Court of Competent jurisdiction located within limits of Bangalore.
12.0 General Terms & conditions: Enclosed annexure forms an integral part of the PO.
13.0 Order Acceptance: The vendor is required to sign and return a duplicate copy of the P.O as a token of acceptance. P.O. Shall be deemed as accepted in toto in the event of

Transit insurance will be arranged by the Purchaser unless otherwise expressly agreed.
Seller should immediately inform the Purchaser the despatch particulars such as
RR /LR No.,Transporter's Name, Value of the consignment, Invoice No., Order No.,
etc., telegraphically. In the event of failure by seller to furnish the information, entire
liability will be on the Seller's account.
