Dear Mr. /Ms.Mani Kireeti Boddeti,
I am pleased to confirm the terms of our offer to you join “Testa Technologies Software India Pvt
Ltd”. We are being offered a role of “Software Engineer Trainee” in the IT Technical with an
anticipated start date of 12-01-2024 and your annual CTC is Rs. INR 3,60,000.00. You will work in
our Hyderabad Branch. This offer would stand automatically revoked in the event of your not joining
by the start date indicated above.
We believe that your skills and experience align perfectly with the requirements of this position. By
joining our team, you will have the opportunity to contribute to the success of our company while
developing your career in a fast-paced and dynamic environment. To formally accept this offer,
please sign and return a copy of this letter within 3 days. Should you have any questions or require
any additional information, please do not hesitate to contact to us.
1. You are required to join us on or before 12 Jan, 2024 and the offer stands withdrawn thereafter
unless the date is extended by us and communicated to you in writing.
2. You will be working in our office located in Hyderabad but will work for the company or any of
its subsidiaries or associated companies in any location within or outside India. You will be
governed automatically by the rules and regulations and terms and conditions applicable to the
new assignment.
3. Your annual gross salary will be INR 3,60,000.00 calculated as Cost to Company and the
break-up of the salary is attached herewith in Annexure A.
4. Your offer is contingent upon successful background verification and a positive reference
check.
5. You shall be eligible for promotions and increments based on your performance and
contributions to the Company as per the review and appraisal policies of the company.
6. You will be entitled to leaves and holidays as per the Policy of the company.
TERMS AND CONDITIONS
1. Your Cost to the Company (CTC) will be as indicated in Annexure A attached herewith.
2. Your initial place of work will be Hyderabad However, your services are transferable, and you
may be assigned after reasonable notice, to any location in India or abroad where the
Company or any one of its associates or customers conducts business. While on transfer you
will be governed by the rules, regulations and conditions of service of that location.
3. The Company will be working 5 days a week. You will be expected to attend office/Work From

Home or except while travelling on business – as assigned to you by your reporting manager
and as per applicable laws in force. Weekly offs will be governed as per applicable regulations
& Company policies.
4. You shall be required to provide the Company all documents and information as set of your
documents for this appointment letter.
5. You will be entitled to leaves subject to prior approval of your supervisor/manager at the
Company. Your leave entitlement and accumulation / carry-forward of leave and related
aspects will be governed as per the existing Company Policy on the subject.
6. Notice to terminate the services will be accepted by the Company only when it is issued in a
form wherein your identity is ascertainable (such as hard copy letter with original signatures).
Notice of termination in electronic form where such identity cannot be ascertained such as
SMS or personal email shall not be accepted as adequate notice of termination for the
purposes of this agreement.
7. Absence for a continuous period of eight days without prior approval of your supervisors,
(including overstay of leave / training), would be treated as abandonment of service and can
lead to your services being terminated without notice. In such an eventuality the Company
reserves the right to recover from you, all expenses incurred with regard to any training and
development, special education, upskilling or on the job training imparted by the Company or
damages suffered by Company due to loss of billing.
8. The company reserves the right to terminate your employment on grounds of breach of policy,
misconduct or where your performance has been found to be unsatisfactory.
9. You will automatically retire on attaining the age of 60 years.
10. Whilst employed by the Company:A. You will not be permitted to undertake any other full
time or part time employment or engage in any external activities of a commercial nature
without prior written approval.B. You will be required to effectively carry out all duties and
responsibilities assigned to you by your supervisors and others authorized by the Company to
assign such duties and responsibilities. Your performance evaluation will be done periodically
by your supervisors as per the Company appraisal system.C. Except in the ordinary course
of your employment, you shall not divulge to any third party any information regarding the
affairs or business matters of the Company or information regarding its customers without prior
written approval. All information that comes to your knowledge by reasons of your employment
with the Company is deemed to be confidential and any breach thereof, shall be deemed to be
a violation of the Company policies and treated in accordance of clause 8.D. You confirm that
there is no litigation /conviction against you before any Court of law which involves any criminal
offence or offences involving moral turpitude.E. You confirm that you have disclosed fully all
of your business interests in the Company - whether or not they are similar to or in conflict with
the business (es) or activities of the Company, and all circumstances in respect of which there
is, or there might be perceived, a conflict of interest between the company and you or any
immediate relatives, Also, you agree to disclose fully and immediately to the Company any
such interests or circumstances which may arise during your employment.F. You will be
required to apply and maintain the highest standards of personal conduct and integrity and
keep yourself informed and comply with all Company policies and procedures.
11. Any violation of the above mentioned or any other Company procedures and policies would
attract action as per Company’s disciplinary policy in force, including and up to termination. In
the event of termination by Company on account of breach of disciplinary policy, the Company
will not be liable to any amount in lieu of notice period.
12. Upon separation from the Company on account of either resignation or termination or for any
other reason, you will be required to immediately return to the Company, all assets and
property (including any leased assets) of the Company including documents, files, books,
papers, training material and memos whether in hard or soft copy which is in your possession
or custody.
13. The Company shall, at its discretion, conduct background, reference and medical checks
including screens for substance use as per company policy and this offer is conditional upon
the result of such checks. In the event the results of such background / reference checks or
screens for substance use are unsatisfactory on any account, the Company may, in its sole
discretion, revoke this offer at any time.
14. You are required to submit your relieving letter in original from your previous employer (if
applicable) within 60 days of your joining the Company failing which your employment with the

Company shall be liable for termination without prior notice.
15. All terms and conditions will be governed by the Company’s policies as stated from time to
time and the Company may in its sole discretion as it deems fit revoke or change such policies
without any prior notice.
16. The terms of this offer shall be kept strictly confidential. You shall execute all other documents
as may be required to give effect to this offer.
17. Any and all disputes arising in connection with the appointment letter and services shall be
referred to arbitration which shall be conducted in accordance with the Arbitration and
Conciliation Act, 1996 by a Sole Arbitrator appointed by the General Counsel of the Company.
The venue of the Arbitration shall be Delhi and the language shall be English. You agree to
submit yourself to the exclusive territorial jurisdiction of Courts at Delhi.
Your assignment is effective from 12 Jan, 2024.

Office Hours & Leaves
Our usual office hours are of 9-hour duration every day, Monday to Saturday, with one hour normally
allowed for lunch. Your office hours will be mutually agreed with your Manager in line with work
requirements. Your office hours can change in the future since we support work requirements across
different time zones globally.
Benefits
You will be eligible to participate in Testa Technologies comprehensive package of benefit plans as
applicable to Testa employees. These plans include gratuity, medical, life, disability, and other
insurance programs as well as an array of work/life effectiveness policies and programs. The
company reserves the right to revise the benefit plans if required in the future, and the same would
then get applied to you.
You will be covered under the Company’s Health Plan which is applicable for self & spouse. Please
inform the HR Department of your family details. You will also be covered under the Company’s

Accident and Life Insurance plan.
You will become a member of the Company’s Provident Fund Scheme. The Company’s contribution
to the Provident Fund Scheme will be included in the annual remuneration applicable to you.
As you think about joining us, please note that Testa Technologies has adopted a year-round
“Appropriate Dress” policy. This policy is designed to allow you to select between Business Casual
Dress or Business Dress; whichever is appropriate for your work on a given day.
Confidentiality and Non-Disclosure
As part of your normal duties you will obtain, or have access to, confidential information concerning
the Company. Under no circumstances is any use to be made of this information except for purposes
directly related to furthering the business objectives of the Company, as provided within the terms of
your delegated authority. In the event of your leaving the Company, all confidential information and
material in your possession must be returned to the Company and continued confidentiality
maintained. If you have any doubt as to whether information is confidential, please obtain your
Manager’s approval prior to disclosure.
Probationary Period
All employees of Testa up to level c are subject to complete a 4 months’ probationary/Training period
beginning upon the commencement date of employment. Depending on the outcome of such
evaluation, if your performance is not as per the expectation, your probation period can be extended
by a period of two months which will be formally communicated to you. If the probationary period is
formally extended, required inputs and support will be provided by the organization to help you come
up to the expected standards of performance. There will be periodic reviews to assess your progress.
At the end of these six months there will be a review and if the performance is satisfactory you will be
confirmed. In case the performance remains below the expectation levels then the case would be
dealt as per the terms of appointment.
Bond
You hereby agree to be bound by this bond for a period of two years, starting from your official date
of joining Testa Technologies. The bond duration will extend until Bond End Date: Two years from the
12-01-2024. In the event that you decide to voluntarily terminate your employment with Testa
Technologies before the completion of the two-year bond period, you will be required to reimburse
the company for certain costs incurred in relation to your recruitment, training, and onboarding. The
exact details of the reimbursement amount will be outlined in a separate document provided to you
upon signing this bond. Throughout your tenure with Testa Technologies, we are committed to
providing you with a supportive and growth-oriented work environment. We will invest in your

the success of our organization. This bond signifies our mutual commitment to a successful and
rewarding partnership. As you contribute to the company's growth and achievements, you will gain

returning a copy to the Human Resources department within seven days of receiving this letter.

Assignment of this Agreement
This offer letter is personal to you and shall not be assignable by you without the prior written consent
of the Company. This offer letter shall inure to the benefit of and be binding upon the Company and
its successors and assigns. The Company may assign this offer letter, without your consent, to any

member of its Affiliated Groups, which means Testa Technologies and any corporation, partnership,
joint venture, limited liability company, or other entity in which Testa Technologies has a 10% or
greater direct or indirect interest, or to any other respective successor (whether directly or indirectly,
by agreement, purchase, merger, consolidation, operation of law or otherwise) to all, substantially all,
or a substantial portion of the business and/or assets of the Company, as applicable. If and to the
extent that this offer letter is so assigned, the “Company” as used throughout this offer letter shall
mean the Company as hereinbefore defined and any successor to, or assignee of, its business
and/or assets.
Transfer of this Agreement
At commencement your place of work will be at our Hyderabad office. However, the Company
reserves the right to change or amend your office location as per the needs of the business.
Merger of Terms
This offer letter supersedes all prior discussions and agreements between you and the Company with
respect to the subject matters covered herein. Mani Kireeti Boddeti, my colleagues and I look
forward to your acceptance of this offer Letter and the valuable contribution we expect you will make

APPENDIX – DISCIPLINARY RULES
The following may be considered acts of gross misconduct (the list is not exhaustive), which
may result in dismissal:
1. Concealment of internal information and misrepresentation of material facts.
2. Theft of property belonging to the Company, its employees of clients.
3. Fraud against the Company or its clients.
4. The receipt or use of funds or other assets in exchange for confidential information, or the
performance of illegal acts.
5. Disloyalty or serious breach of confidentiality or security.
6. Any action, which could lead to the loss of the employee’s individual registration status with a
financial regulatory body.
7. Misuse of Company computer systems, e.g. excessive access of non-work related Internet
sites.
8. Verbal or physical abuse of employees of the Company or its clients.
9. Willful damage to property belonging to the Company or its clients.
10. Serious breach of the Company’s code of ethics.
11. Serious act of insubordination.
12. Undertaking secondary or additional employment, which conflicts with the work of the
Company
13. Deliberate tampering with or unauthorized use of computer hardware or software.
14. Serious negligence, which causes unacceptable loss, damage or injury.
15. Harassment on the grounds of sex, race, caste, religion, or disability of fellow employees, or
any other person whilst on Company business.
16. Willful disregard of health and safety rules.
17. Failure to follow procedures established by the Company to guard against theft, fraud or the
commission of other unlawful or grossly negligent acts (including serious breaches of
compliance procedures).
18. Conviction by a court of law for a serious criminal offence, which brings the Company into

disrepute.
19. Benefiting directly, or indirectly, from secret/illegitimate profit arising out of Company
business/interests.
20. Unauthorized use or sale of alcohol or drugs on Company property.
21. Any action, which could adversely affect the image or reputation of the Company.
