We maintain an account/s with IDBI Bank Limited in the name as indicated above. We have also authorized our designated officials (detailed
below)(the Authorised Signatory) to access and transact the accounts, by using the Bank's Corporate Internet Banking facility which has been
authorized vide our Board Resolution (in case of Private or Public Ltd. company) / Authority Letter (in case of partnership/other entities) dated
DD - MM - Y Y Y Y (a certified copy which has already been submitted with the initial application form to the Bank).
Pursuant to the grant of the Corporate Internet Banking facility, we have procured USB token based Digital Signature Certificates (DSC) issued by a
Certifying Authority (CA) licensed by the Controller of Certifying Authorities, India, in the names of the Authorized Signatory (detailed below) to
additionally secure and digitally sign applicable transactions (as facilitated by the Bank from time to time).
The DSC is Class II / III and has been downloaded on a FIPS compliant 140-2 (level 2 and above certified) USB token only. We or Authorized
signatory will not download the same on a PC or Browser. The DSC is valid and subsisting as on date and has a minimum validity period of twelve
months from the date hereof.
The use and store of the Private Key and the DSC shall be done as per terms & conditions of the CA and laws prevailing in India.
We request the Bank to Enroll and Register for usage of the following DSC procured by us to authenticate and/or digitally sign applicable Corporate
Internet Banking initiated transactions.

We hereby acknowledge and confirm that:-
a. The Authorized Signatory has downloaded the Private Key of the DSC on the USB token through the Internet and by following the
stipulated /correct instructions of the CA from whom the DSC has been procured.
b. The Private Key of DSC, downloaded on the USB token, shall be in possession of the Authorized Signatory only in whose name the same
has been is issued. Further, the password of such Private Key shall only be known to him/her.
c. The Authorized Signatory will solely be responsible for the safe custody of the USB token /Private Key and shall take all reasonable and
necessary precaution to prevent theft, unauthorized viewing, tampering, compromise, loss, damage, interference, disclosure,
modification or unauthorized use of the Private Key and shall be solely liable for the use of the same and that we shall be liable and
legally bound by all/any transactions initiated by using the Private Key /DSC. All/any transaction authenticated through the use of the
DSC shall have the same legal effect, validity and enforceability as if the said digital transaction had been in writing and duly signed by
the Authorized Signatory of ours.
d. The Bank shall be entitled to rely on all/any communications / digitally signed transactions made by using the Private Key and all such
transactions / communications shall be final and legally binding on us .

e. The digitally signed transactions and associated information shall be permitted to be utilized as evidence before any competent authority
or Judicial or Quasi-Judicial authority or Tribunal or any other Statutory or Government Authority.
f. The DSC once enrolled/registered by the Bank will be self-uploaded by the Authorized Signatory user on the Corporate Internet Banking
site post which such uploaded signatures will be valid for usage and for authenticating applicable transactions and/or communications.
g. In the event of any loss of the DSC, the same shall be immediately reported to the CA for revocation and will also be communicated in
writing to the Bank. The Banks stands absolved of any unauthorized transactions by any unauthorized use of the DSC till such time that
the loss has been reported in writing to the Bank.
h. The DSC will be renewed well in time by us before its expiry date. The Bank will not be responsible in any way for the inability of the
Authorised Signatory user to login or transact on the Bank's Corporate Net Banking Website due to the expiry / non-renewal of the DSC .
I. The Bank has every right to cancel the enrollment / self upload of the DSC, if the certificate name / details on the DSC or its corresponding
Public Key does not match with the records of the Bank, or is wrongly uploaded by the Authorised Signatory user or for any other reason
whatsoever without assigning any reason thereof.
j. The Bank has every right to stop the instant facility to us at any point of time without giving any prior notice to us.
K. The Bank strongly recommends the use of Class 3 DSC to its customers. However, in the absence of extant regulatory stipulation on
the exact Class of Digital Signature Certificate (DSC) to be used for online transactions, I-net banking users are being allowed by the
Bank to register and use either a Class 2 DSC or Class 3 DSC.
In the event of any subsequent regulatory directive mandating the use of a Class 3 DSC for online transactions, all Class 2 DSC users
shall need to procure a valid Class 3 DSC for transacting on the Bank’s Internet Banking service. The Bank shall not be responsible for
any financial loss/liability to the customer accruing out of such regulatory compliance.
