Subject: Letter of award for construction and development of Civil - Structure, Electricals
works on SCO Plot No. _______ at M3M 84 Market, Sector 84, Gurugram.

Dear Sir,

This is in reference to your offer and the subsequent discussions, negotiations and meetings held
regarding the contract for the construction and development of Civil - Structure, Electricals Works
including handing over for developed SCO Plot (spread across B+G+4+Mumpty / Parapet levels)
bearing no. _______ admeasuring _________ sq. yds./ _______ sq. mtrs. (the “Said SCO Plot”), at
M3M 84 Market, Sector-84, Gurugram, Haryana (the “Said Works”).

Pursuant thereto, we, _____________________________________________ (the “Owner”) are


pleased to issue this letter of award for the award of the Said Works for the Said SCO Plot to you,
M/s. Dream Maker Construction Pvt. Ltd. (the “Contractor”) subject to and/or on the basis of the
following terms and conditions:

1. Contract Price : The total lump sum contract price for carrying out the Said Works at the Said
SCO Plot has been agreed to Rs ______________________/- (Rupees _________ only)
including applicable GST (“Contract Price”). The Contractor shall deposit the TDS on his own
and submit the challan to the Owner (“TDS”) as per the provisions of the Income Tax Act, 1961
and/ or any other taxes as per applicable law and shall be payable as per the relevant provisions
detailed in this letter of award. The aforesaid Contract Price comprises of all the components of
the Said Works.

For the avoidance of doubt, except as may otherwise be provided under this letter of award, the
Contract Price shall be inclusive of all material, labour, tools & plants, machineries, all statutory
taxes, charges, cesses, lead, lift, loading, unloading, transportation, insurances and levies
including GST, if any, applicable to/ on the Contractor and/or in relation to Said Works forming
the subject matter of this letter of award and the Owner shall not be responsible, liable and
accountable for making any payment and/or bearing any incidence of cost other than the
Contract Price to the Contractor. It is agreed and understood that the Contract for the Said Works
is a fixed price contract.

2. Advance: As agreed a lump sum amount of Rs. ___________/- including GST (equivalent to
20% of the Contract Price) shall be paid by the Owner to the Contractor as an advance towards
initiation of the Said Works which shall be utilized by the Contractor towards the execution of
the Said Works. No other advance shall be payable by the Owner to the Contractor on any
account whatsoever.

3. Virtual Completion Period: The Virtual completion period for the due completion of the
Said Works in terms of this letter of award and the Contract to be executed in furtherance
thereof shall be Eight Months (8) (the “Virtual Completion Period”) from the date when

the Owner hands over the SCO Plot to the Contractor or as may be mutually agreed in
writing between the parties. The Virtual Completion Period shall include handing over of the
duly developed SCO Plot as per the terms of this letter of award and providing the necessary
assistance and completing all formalities as may be required by the Owner for the handover
the developed SCO Plot. The Contractor agrees that he shall be responsible for timely
completion on the SCO Plot, delivery and handover of the SCO Plot with construction
thereon (to the Owner) within the Virtual Completion Period without any quality &
maintenance issue.

Time shall be of the essence in relation to the time stipulated for the execution, construction,
and completion of the Said Works and shall be strictly observed by the Contractor. No
additional time shall be given for any reason whatsoever on above agreed milestone timeline
under any circumstance.

Further, in no event there shall be any limitation of penalty/liability in event of gross


negligence or wilful omission, delay, default on the part of the Contractor and/or its agents,
representatives, employees, sub-contractors etc. The Contractor shall also be liable,
responsible and accountable for all claims and consequences on account of delay in the
execution of the Said Works on the part of the Contractor and/or its agents, representatives,
employees, sub-contractors etc., whether under law or otherwise including those towards the
Owner, subcontractors and third parties.

4. Escalation: The contract for the Said Works is a fixed price contract and the Contract Price
therefore is a lump sum fixed consideration and no escalation shall be permitted.

5. Water and Electricity : The Contractor shall at its own costs and expense make its own
arrangement for (i) water including storage and pumping thereof including statutory
compliances for the execution of the Said Works; (ii) for electricity requirement for carrying
out the Said Works including obtaining through HVPNL connection and/ or providing,
running and maintaining DG sets of suitable capacity, distribution system, cabling, lighting,
earthing etc. including statutory compliances for the execution of the Said Works; All the
approvals, compliances in relation thereto both for treated water and electrical supply both
from HVPNL/ electricity supply entity as well as DG Sets shall be the liability,
responsibility and accountability of the Contractor.

6. Free Issue of Material: No materials shall be issued and/or arranged for by the Owner.

7. Contractor’s Storage Space: Contractor shall at its cost and expenses without any reference
to the Owner make its own arrangement for storing the materials, tools, plants, machinery
including other basic infrastructure as well as including for shuttering and steel. The Owner
shall in no manner be liable, responsible and accountable for the same.

8. Space for Labour: The Contractor shall at its own risk, cost and expense without any
reference to the Owner make all arrangements for the camping of the labour for the
execution of the Said Works. The Owner shall in no manner be liable, responsible and
accountable for the same.

9. Labour & Regulatory Laws: The Contractor shall duly comply with and fulfil the requisite
requirements under the applicable Labour and Regulatory Laws including without limitation
of the government (central, state and local) rules, regulations, directions, policies,
notifications (in short collectively “Labour & Regulatory Laws”) and also the regulatory
frameworks and the rules and regulations as required for undertaking the development of the

SCO Plot in SCO 84 Market Project. The Contract Price shall be inclusive of all such
compliances under the Labour and Regulatory Laws and no additional cost shall be payable
or incurred by the Owner.

The Contractor assumes all liabilities and obligations in this regard and shall fully indemnify
and keep harmless the Owner and persons claiming through/ under it in respect of every
expense, liability or payment required to be made under applicable Labour & Regulatory
Laws existing or to be introduced and/or made applicable at a future date during till the
expiry of the Virtual Completion Period.

10. NGT Compliance and Compliance with Environmental Laws : The Contractor has to
comply with all the environment & construction related orders/ notification/ directions/
guidelines/ norms passed/ laid down by central/ state legislation, courts of law, statutory
authorities, competent authorities, government authorities including but not limited to the
orders/ direction passed by NGT, conditions of the environment clearance granted by
authorities, policies/ guidelines and the environmental laws, applicable laws etc. and
complete cost towards the said compliances shall be deemed to be inclusive in item rates and
nothing extra shall be payable in this regard.

11. Insurance: The Contractor shall without limiting its obligations and responsibilities under
this letter of award, take/ purchase and maintain adequate Workmen Compensation
Insurance cover at all times during this letter of award, and any other insurance as statutorily
required by the Contractor for the due performance of its obligations for the Said Works
before commencement of the Said Works. The Contractor shall be liable for all legal
liability for compensation and claims and other demands in respect of any accidental death
or bodily injury and/or damage to property arising out of and/or in connection with the
performance of the Said Works and the Owner shall in no manner be liable and/or
accountable for the same.

12. Safety: It would be a special term of this letter of award that the Contractor and its employees
including sub-contractors shall, whilst on site, comply and adhere with all Health and Safety
norms/ legislation and follow the safety codes/guidelines. The Contractor shall assume full
liability, responsibility and accountability for the compliance thereof and any violation/ non-
compliance shall be to the account of the Contractor and its employees including sub-
contractors for any loss or damage arising there from and shall keep the Owner fully
indemnified and harmless in this regard.

13. Taxes: Unless otherwise expressly stated the Contract Price is inclusive of all the applicable
Taxes by whatever name called including, but not limited to, Goods and Service Tax.

In addition, the Contractor shall (a) comply with all the necessary regulatory, contractual and
other compliances including but not limited to providing GST invoices and/or other
documentation as per GST law relating to the above, payment of Taxes, timely filing of
valid statutory returns for the tax period and other compliances for proper authentication of
applicable GST on the Goods and Service Tax Portal etc.; (b) indemnify the Owner in
respect of all claims of tax, penalty and/or interest, loss, damages, costs, expenses and
liability that may arise due to non-compliance, in case the Input Tax Credit of GST is denied
and/or demand is recovered from the Owner on account of any non-compliance by the
Contractor, including non-payment of GST charged and recovered. (c)It is agreed between
the Owner and the Contractor that TDS at the applicable rate shall be deducted in
accordance with the statutory requirement under Income Tax Laws from all the payment
made to the Contractor including that in respect of advance.

14. Payment Terms : Payments shall be made against certified Bills as per the progress of the
Said Works based on completion of RCC slab & other associated work floor wise as
follows:
a. Completion of Basement Roof & associated work–20% of the Contract Price including
GST, which has already been paid as advance;
b. Completion of 1nd Floor slabs & associated work-20% of the Contract Price including GST;
c. Completion of 2th Floor slabs & associated work-20% of the Contract Price including GST;
d. Completion of 3rd Floor slabs & associated work-20% of the Contract Price including GST;
e. Completion of 4th Floor Roof including Mumty & Parapet & associated work-20% of the
Contract Price including GST;

It has been agreed that the Contractor shall be responsible for depositing the applicable TDS
from the payments and submission of the TDS challan to the Owner.

15. Design Mix: Design mix agreed in tender shall remain binding irrespective of source of Cement
and other items.

16. The Contractor shall carry out the Said Works and its obligations in relation to/ for the Said
Works under the letter of award followed by the Contract in accordance with the applicable Law.

17. It is expressly and specifically clarified and made clear that the timelines and cost have been
agreed to after due discussions and after you the Contractor have duly considered and evaluated
all the factors and eventualities in relation thereto.

18. Settlement of Disputes : Any dispute arising out of or touching upon or in relation to the terms
of this letter of award including the interpretation and validity of the terms and conditions thereof
and the respective rights and obligations of the Parties shall be settled amicably by mutual
discussion. In case the Parties are unable to settle their disputes within fifteen (15) days, the same
shall be settled through arbitration as per the Arbitration and Conciliation Act, 1996, or any
statutory amendments/modifications thereof for the time being in force, by a sole arbitrator
mutually appointed by the Parties. Costs of arbitration shall be shared equally by the Parties. The
arbitration shall be held in English language at an appropriate location in Gurugram, Haryana.

19. Termination: The letter of award may be terminated pursuant to mutual agreement, in writing,
by the Parties. Further, the Owner may terminate the letter of award under any of the following
conditions with immediate effect:
a) if the Contractor is adjudged bankrupt or if it makes a general assignment for the benefit of
its creditors, or if a receiver is appointed on account of its insolvency/bankruptcy, or
b) if the Contractor fails to carry out the Said Works diligently and/ or maintain the quality, or
fails to provide enough properly skilled workmen, proper materials, equipment, tools, or
anything else necessary for the execution of the Said Works in accordance with the
approved construction schedule, or
c) if the Contractor is found guilty of a violation or breach of any provision of the letter of
award.

Upon termination, the Contractor shall also return to the Owner all unused materials, if any,
issued free of cost for incorporation in the Said Works including drawings provided to the
Contractor in connection with the letter of award.

20. Foreclosure : If at any time after commencement of Said Works, the Owner, for any reason
whatsoever, does not require the whole or part of the Said Works, the Owner shall give a written

notice to the Contractor to such effect (“Foreclosure”) and the Contractor shall not further
perform its contractual obligations and shall have no claim to any payment of compensation
whatsoever on account of any loss of profit or advantage or loss of business opportunity which it
might have derived from execution of the Said Works or the Said Works in full but which it
resultantly cannot derive in consequence of the Foreclosure. The Contractor shall be paid for the
Said Works or part thereof executed and accepted at the Site as at the date of such written notice.

Please confirm the acceptance along with the attachments of this letter of award by signing the copies
in duplicate and returning one set to us.

This letter of award countersigned by you, the Contractor shall form a binding contract between the
Parties. This letter of award and the documents forming the binding contract are to be taken as
mutually explanatory of one another and in case of ambiguities the interpretation and decision of the
Owner shall be final and binding.

ANNEXURE A: SCOPE OF WORKS

SCOPE OF WORKS FOR CIVIL AND STRUCTURE WORKS AT SCO UNIT


Note: - The Contract Price shall hold good for all heights/ depths leads, lifts and levels from foundation level to
the Top Roof Structure.
Contract Price to include all materials, labours, tools, plants, sundries, fittings, fixtures, all types of wastages,
loading, unloading, shifting, transportation, insurances, shifting, lifting, compliances etc. required to complete
the Said Works as per Indian standards/ standard practise of work.
All work to be executed as per approved drawings and as per complete satisfaction of the Owner.
Pumping of concrete is in scope of Contractor.
In Contractor Scope
Back filling of earth (available within less than 1 Kms lead). √
Dressing of sides, bottom etc. (approx. 300 mm). √
PCC work (with material) including Pumping. √
RCC work in foundation, Retaining walls, Column, Beam, Slabs, staircase slabs etc. as per √
drawings (with material) including pumping.
Reinforcement work including cost of 20 gauge MS annealed wire, PVC cover blocks, chairs, √
spacers etc. complete.
Ply Shuttering Work (for all heights and all depths as per drawings). Contractor to have one √
complete set for one individual unit. Repetition within individual unit is allowed. Repetition
within two units is not allowed.
AAC block work (dimensions of (625 mm x 100MM/200 mm.) thickness 100 mm √
conforming to I.S.: 2185(part-III) with compressive strength more than 4 N/ millimetre
square) including Chemical Mortar including RCC band in between layers (Horizontal and
Vertical) as per drawing.
Brick work in Staircase steps with cement mortar. √
Water proofing of Retaining walls (300 mm Wide for Construction joint Only). √
Any Architectural features, members, elements as mentioned in Arch. Drawings and √
Structural drawings.

A STRUCTURE WORKS
1 EXCAVATION, DISPOSAL, BACK FILLING
1.1 Dressing of sides, bottoms of excavated earth complete as per approved drawings (Owner will
provide excavation up to a level of 300 mm above the bottom level of basement floor PCC.

1.2 Filling with selected, suitable already stored excavated earth within 1 kms, in plinths, under
floor, above R.C.C raft in basement, back of retaining walls, foundations and trenches etc. and
shall be done in layers, not exceeding 20cm in depth and consolidating each deposited layer
including mechanical means ramming and watering to achieve at least 95% of maximum dry
density (proctor density) to entire satisfaction of Owner.
2 REINFORCEMENT
2.1 Providing, cutting, Laying, fabricating and fixing in position steel reinforcement in all reinforced
concrete work, including straightening, cutting, removal of loose rust, shifting from yard to work
place, bending, hoisting, laying in position to the shape and profile required at all levels and
heights as per drawing and design and/ or as directed, binding with 20 gauge MS annealed wire
etc. complete. Rate to include providing & fixing the binding wire, PVC cover blocks, spacers,
chairs etc. Spacers and chairs shall be count in reconciliation of Steel
3 CENTRING & SHUTTERING
Ply shuttering shall be used from Foundation to Top floor.
3.1 Providing & fixing shuttering for all heights & depths with approved minimum 12 mm thick film
coated shuttering (Minimum Weight 10.5Kg/sq.m. +/- 5%) plywood shuttering and centering for
the following structural concrete work in locations called for including strutting, propping,
bracing, bolting, wedging, casing, striking, removal after setting of concrete as per IS 456 etc.
complete for any size, section, thickness. Props shall consist of well -designed steel pipes
adequately braced (wooden ballies as props shall not be permitted). Rate to include cost of
providing and applying Shuttering oil, binding wires etc.
3.1.1 Foundation, plinth beam, pedestals/ bases of column, Pit, grade slab, equipment foundation,
footings etc.
3.1.2 Columns, Retaining wall, Shear wall, pillars, piers, abutments, posts and struts, offset of columns,
etc.
3.1.3 Suspended floors, roofs, balconies, shelves/ counters, stair waist slabs and landings, lintel and
floor beams, slab, column heads, RCC bands, cantilever, ramp, platform, Plinth beam, etc.
4 PCC & LEAN CONCRETE
Providing and laying plain cement concrete of (M7.5/1:4:8/As per approved drawings) pumpable
mix of specified grade as per drawings as bed concrete under foundation, column footing, under
floor, below road and pathways, ill, coping, drain, screeding at roof to required slope and other
locations as called for laid, consolidated and cured etc. complete as per specification and drawing
including the cost of centering, shuttering, at all levels and heights as per drawing and as per
direction of Owner. Rate to include pumping also.

5 RCC IN ALL GRADES
Providing & laying cast - in - place structural controlled cement concrete of required grades as
per approved drawings using concrete pump (pumping cost included) with 20mm down gauge
coarse aggregates excluding cost of centering, shuttering and steel reinforcement but including
cost of making shear keys and provision of construction/ control joints in various locations, laid,
consolidated and cured, item to include all structural elements like base raft, ramp, column,
column capitals, wall, footings, equipment foundations, fins, mullions, beams, lintels, pergola,
chajja, facia, parapet, staircases, railing, slab, trenches, drains, Closing of cutouts, sumps etc. of
any shape and sizes. The rate for all height and level. Rate to include compaction by needle
vibrator and all other tools tackles required to complete the work.
In foundations, plinth beams, basement floor slab, columns, pedestals, lift pits, grade slab, shear
walls, suspended floors, roofs, balconies, stair waist slab, landings, shelves, counters, lintel,
bands, floor beams, cantilever, etc. i.e. in all structural elements as per approved drawings.

6 MASONRY WORKS
Autoclaved Aerated Cement Blocks Masonry
6.1 Providing and laying of Autoclaved Aerated Concrete (AAC ) block masonry using blocks
having dimensions of 625 mm x 100mm/ 200 mm. thickness ranging from 100 mm to 200 mm
conforming to I.S.:2185(part-III) with compressive strength not less than 4 N/ millimetre square.
The jointing with approved block laying Ready mixed Polymer Modified adhesive mortar and
R.C.C bands at sill level and lintel level and vertical RCC bands, complete in all respect as per
the direction of Owner. The horizontal and vertical joint thickness shall be as per
recommendation of Polymer Modified adhesive mortar manufacturer. In case of partition walls
(100 mm/125 mm thick) the joint reinforcement shall be placed to be anchored properly with the
main structure. All other structural requirements like stiffening of masonry, joint reinforcement
etc. in the AAC masonry work strictly be carried out as per instructions laid down in I.S 6041 –
1985, I.S -1905.

6.2 Providing and Laying Brickwork with bricks of class designation 75 in Stair' steps in
substructure/ superstructure above plinth level, at all floor levels in Cement mortar 1:4 (1
cement : 4 coarse sand) laid in proper line & plumb including hacking of RCC at junctions,
raking of joints, curing and all leads & lifts complete to the satisfaction of the Owner.
7 Water proofing of Retaining wall
7.1 For Retaining Wall
Retaining wall to be cleaned properly so as to ensure it should be dust free and repairing of
uneven surface and cold joints with polymerized mortar. Making of Groove of 25 mm x25 mm on
horizontal and vertical construction joints.
Drilling of 20 mm holes up to 75 mm depth and fixing of GI NOZZLES WITH GP2 at a distance
of 0.75 m on all cold/ construction joints or wherever honey combing observed on wall. Nozzle
should be pressure grouting with expandable non shrink grouts PIDICRETE AM admixed with
cement with grout pumps A Coat of CICO TAPECRETE P-151 in a ratio of 1:2 with cement to
be laid on 25mmx25 mm groove. Packing the groove with Gp2.
Providing & Laying of 1: 3 protective plaster layer (300 mm wide – 150 mm both side of
Groove) admixed with CICO TAPECRETE P-151.This item also inclusive of making vata (gola)
at the interface joint.
8 Conduit for Sub main/ Circuit & Point Wiring
8.1 Providing and fixing in position the following heavy duty ISI marked rigid PVC conduit
including all accessories (i.e. clamps, hooks, binding wire, bends, socket, MS junction boxes, C.I.
deep tee, & adhesive etc.) concealed in slab including clearing the route and pulling the GI wire
fish minimum 18 SWG with paint marking on shuttering etc. complete in all respect, as per
specification or as required at site -For Slab conduiting work (Junction Box to be properly field

with Thermocool, so that no slurry enters in the conduit etc.) For Staircase and toilet areas at all
floors.
8.2 Heavy Duty PVC Sleeves from Basement floor to top floor for DTH as per drawing. Sleeves to
be plugged with PVC cap.
8.3 Heavy Duty PVC Sleeves for LV and Submains as per drawing. Sleeves to be plugged with PVC
cap.
