OVERVIEW

The changing times have brought dramatic changes on the way people see businesses
and how it is run. When it was primarily for the purpose of gaining profits and
amassing riches, businesses have seen the need for a different view and a different
way of managing their companies.

Into this changing time and ways has entered the concept of good governance of a
business so that it can engender honesty, fairness and fair play between other business
and its customers. Also, businesses now have become more aware of the importance
of becoming socially responsible. This is in answer to the attitude of the people who
have started to demand more from business other than profit.

And it is in this environment that the concept of business ethics had gained ground. Its
importance cannot be denied and the need to study it is essential for students of
business.

MODULE LEARNING OBJECTIVES

After studying this module, you will be able to:

1. Give the definition of business ethics;

2. Know the importance of business ethics;
3. Define good governance and corporate social responsibility;
4. State the effect of business ethics on a business and the society.

LEARNING NOTES

Ethics is the moral standard by which we are made aware of what is right and wrong.
Business ethics is the study of appropriate business policies and practices regarding
potentially controversial subjects including corporate governance, insider trading,
bribery, discrimination, corporate social responsibility and fiduciary responsibilities.
The law often guides business ethics, but at other times business ethics provide a
basic guideline that businesses can chose to follow to gain public approval1.

2
Business ethics are important for every company. They keep workers safe, help trade
and interactions between companies remain honest and fair, and generally make for
better goods and services. Distinguishing what a company will and won’t stand for is
not always the same for each organization, but knowing basic ethical guidelines is a
key component of company management2.

Along with the popularity of the use of business ethics in conducting business, the
concept of good governance has also gained more supporters than ever before.
Nowadays, good governance is being partnered with social responsibility. These two
exemplifies the application of business ethics in the financial world. This is because
“good corporate governance and social responsibility help corporations keep things
in good balance. It also supports the company's efforts to develop control
mechanisms, which will also increase shareholder value and promote satisfaction
with shareholders and stakeholders3.”

In a sense, business ethics is an internal movement of a business that is able to impact

and affect the outside world. The business now does not only bring financial change
to the lives of the people around it but is also changing the lives for the better of the
society and the world.
