The Brand Signature

The Huawei Brand Signature exists in both vertical and horizontal formats. Always use the preferred
vertical version over the horizontal version, except in special circumstances.The Brand Signature
includes an icon and the name, HUAWEI. The characters in the Brand Signature have been created for
our exclusive use. The Brand Signature must never be modified in any way (i.e. do not squash, stretch or
try to re-draw it). It must appear against a correct and uncluttered legible colored background. When
selecting a background color, care should be taken to ensure legibility.
Correct Proportions

The Huawei Brand Signature has been developed as a balanced whole and at no time may the shape,
configuration, or proportions be altered. Consistent use of the Brand Signature helps maintain the
integrity of the brand and ensures greater brand recognition. The grid shown here demonstrates the
correct propotions of the Huawei Brand Signature in a vertical and horizontal format.

Restricted Zone

For the Brand Signature to communicate clearly and effectively, a minimum amount of space called the
Restricted Zone is to be left around it; clear of text, symbols and other related graphic elements.

The "x" "y" height is respectively equal to the vertical and horizontal HUAWEI typeface as indicated. In
vertical brand signature, the width and height of the restricted zone is one "x". In horizontal brand
signature, the width and height of the restricted zone is "0.5y". When the signature size changes, the size
of restricted zone change accordingly.

If the Brand Signature appears on a multicolored image or background, no element should compete with
the Brand Signature or appear within the Restricted Zone.

Minimum Size

The minimum size of the Brand Signature to be used for various printing processes is specified below.
Using the mark any smaller than indicated will reduce legibility and quality of reproduction.

Corporate Governance
Shareholders

Huawei Technologies Co., Ltd. (the "Company" or "Huawei") is a wholly owned subsidiary of
Shenzhen Huawei Investment & Holding Co., Ltd. ("Huawei Holding"). Huawei Holding is solely
owned by employees of the Company, without any third parties, including the government bodies,
holding any of its shares.

As of 31 December 2009, the shareholders and their respective shareholding in Huawei Holding are as
follows:
Huawei Holding implements an Employee Shareholding Scheme (the "Scheme") through the Union,
which currently involves 61,457 employees, who are represented by and exercise their rights through the
elected representatives. In addition, the Scheme effectively aligns the personal goals of employees with
the Company' s long-term development, fostering the continuing success of Huawei.

Global Operations
Overview

After years of hard efforts, Huawei is becoming more and more internationalized. Our products and
solutions are deployed in over 100 countries and serve over two billion users worldwide.

We have set up more than 100 branch offices in order to provide quick services to our customers.

Also, we have established 17 R&D centers around the world such as in the Silicon Valley and Dallas of
the United States, Stockholm in Sweden, Moscow in Russia and Bangalore in India to ensure global
R&D with outstanding people.

In addition, we have 36 training centers worldwide to help our customers and local people to study
advanced management, technologies and so on. We firmly believe in localizing our global operations,
and make it a point to hire local employees. This not only enhances our understanding of the local
market, but also contributes to the local economy by increasing employment, especially in less
developed regions.

Research & Development

In order to meet the needs of our customers, we focus on a strategy of continuous customer-centric
innovation. The goal of our product R&D is to deliver timely solutions for anticipated and actual
customer needs by developing innovations in technologies, products, solutions and services.

The Company filed 6,770 new patents in 2009, thus accumulatively filed 42,543 patents. According to
the World Intellectual Property Organization (WIPO), Huawei ranked second in terms of patents
applications under the WIPO Patent Cooperation Treaty (PCT). In addition, Huawei is holding a leading
position in terms of essential LTE patents applications.

Huawei proactively joined, supported and made significant contribution to international standards.
Huawei has become a member of 123 standards organizations in 2009, taking 148 leadership positions.
For example, act as ITU-T SG11 chairperson in ITU, vice president in SG16 and ITU-R SG5.By the end
of 2009, we have submitted 18,000 proposals in aggregate. Huawei was widely recognized for its
contribution in this area and was the only company that received ‘2009 Corporate Award' from IEEE
Standards Association.

Despite the challenging economic environment, the Company continued to increase its R&D investment
in 2009. The R&D expenses in 2009 amounted to CNY 13,340 million, an increase of 27.4% from that
of 2008.

In the R&D area, the Company intensively promoted Integrated Product Development (IPD) process. As
a result of thorough comprehension of the needs of its customers, the Company dramatically reduced its
time to market and facilitated the success of its customers.

Based on our strong innovation capabilities, Huawei won R&D assistance from several government
programs in 2009 through competition processes, such as China' s Next Generation Broadband Wireless
Networks, Next Generation Internet and EU FP programs etc.
Management Systems
Overview

For years, Huawei has been working with leading consultancies such as IBM, the Hay Group, PwC and
FhG to carry out management transformation in order to keep abreast with international industrial
benchmarks. In terms of Integrated Product Development (IPD), Integrated Supply Chain (ISC), human
resources management, financial management and quality control, we have undergone comprehensive
transformation, introduced the industry's best practices, and established IT-supported management
platforms.

Through consistent implementation of management transformation, we have gradually perfected our


operation and management processes. In addition, we have managed to strike a balance between our
company's size, business profitability, and cultivating our expertise.

Process Realignment

With the introduction of practical industry benchmarks that are implemented through processes such as
Marketing Management (MM), Integrated Product Development (IPD), Integrated Supply Chain (ISC)
and Customer Relationship Management (CRM), complemented by the transformation of our financial
management and human resources management (Hay Group), we have completely transformed our
business processes and established an IT platform to support such transformation.

Organization Transformation

Starting from the product lines, Huawei's Executive Management Team and "Strategy and Customer
Standing Committee" strengthened the decision-making ability of the marketing system for
understanding customer requirements and planning Huawei's strategic direction and business
development. With the help of the Investment Review Board (IRB), Marketing Management Team,
Product System Management Team, Operation & Delivery Management Team and various other
supporting teams, Huawei has ensured the efficient implementation of an overall strategy that is driven
by customer needs.

Quality Control and Production Process


Huawei's production process system including the 3D warehouse, the automatic warehouse and the
entire production line layout was designed by FhG of Germany. The new system reduced the need for
transportation of materials and decreased production time, thereby increasing the all-round efficiency
and quality of production.

Financial Management

In 2007, Huawei inaugurated the IFS (Integrated Financial Service) program, addressing all essential
financial reporting functionalities from a highly responsive worldwide platform. The new IFS program
provides a uniquely strong backbone for Huawei's future business expansion and fulfillment of our
global strategic goals. IFS capabilities also fulfill the essential role of extending and deepening our
partnership with leading operators.

Supply Chain

Huawei has developed a flexible supply chain, which has enhanced our competitiveness in terms of
providing fast, cost-effective and quality supply. We have also formulated pertinent supply guarantee
strategies and built flattened manufacturing organizations that allow us to meet market demands
efficiently and flexibly. In addition, we carried out transformation of the Integrated Supply Chain (ISC)
to ensure that new processes and systems were implemented effectively, and also introduced quality
engineering technologies to continuously improve supply chain capabilities and customer service. We
have also developed partnerships with principal suppliers, enhanced purchase performance management,
and carried out supplier certification procedures based on the industrial benchmark, TQRDCE.

service advantages in our supply chain.

In addition, we will further cooperate with our industry peers on many levels to set up a future-oriented,
secure, and win-win development framework. Through this, we aim to create greater value for our
global customers. In the past few years, we have also initiated multi-level cooperation in several fields
including technology, products and marketing in order to face risks and challenges together.

Huawei has formed numerous partnerships with leading companies, and cooperates with them on the
foundation of our self-developed technologies. We work closely with leading multinationals such as
ADI, Agere, Altera, HP, IBM, Intel, Microsoft, Motorola, Oracle, SUN, TI and Xilinx to improve the
time to market of our products, and to incorporate the latest technologies and best management practices
into our company.

We have also set up a joint venture with Siemens which focuses on the research, production, sales and
services of TD-SCDMA in order to further advance its development. Jointly with Motorola, we set up a
UMTS research center in Shanghai, which is engaged in providing global customers with more powerful
UMTS products and solutions and HSPA.

To improve our corporate management, we have been cooperating with world-leading management
consulting companies such as IBM, Hay Group, PwC and FhG since 1997, introducing advanced
processes like IPD (Integrated Product Development), ISC (Integrated Supply Chain). We also carried
out radical reforms in human resource management, financial management, quality control and so on,
and have established an IT-based management system by implementing industry-leading practices.

We also join hands with a large number of prestigious companies such as Intel,Texas Instruments,
Freescale Semiconductor, Qualcomm, Infineon, Microsoft, IBM and HP and set up joint laboratories.
