March 9,2022 Notice of Termination of Parking License Agreement (United Parking SF)

The City and County of San Francisco is terminating the parking license agreement between United Parking SF, Inc. and the original licensor 2000 Marin Property, L.P. for use of parking areas at 2000 Marin Street in San Francisco. The license is being terminated effective May 31, 2022. United Parking must vacate the parking areas and remove all personal property by the termination date. Failure to do so could result in legal action from the City to obtain possession of the property.

NOTICE OF TERMINATION OF PARKING LICENSE


AGREEMENT

Dear Mr. Zira:

The City and County of San Francisco (City), as the successor-in-


interest to original licensor 2000 Marin Property, L.P. (Original Licensor),
is sending your company this notice under the above-referenced Parking
License Agreement.

The Original Licensor and licensee United Parking SF, Inc., a California
corporation (Licensee), entered into that certain revocable Parking
License Agreement dated April 29, 2020 (License) for the use by
Licensee of certain parking areas (Licensed Area) on the property
located at 2000 Marin Street in San Francisco (2000 Marin).

Pursuant to that certain Amended and Restated Conditional Land


Disposition and Acquisition Agreement dated February 28, 2020, the
City, through its Public Utilities Commission (SFPUC), acquired 2000
Marin from the Original Licensor. As a component of the acquisition, the
Original Licensor assigned the License to City pursuant to that certain
Assignment and Assumption of License dated May 30, 2020
(Assignment). Exhibit A to the Assignment incorrectly states the License
was dated April 30, 2020, rather than the correct date of April 29, 2020.

Licensee continues to occupy the License Area.

PLEASE TAKE NOTICE that the License is terminated effective as


of noon on May 31, 2022 (Termination Date). Licensee and all other
occupants must peaceably vacate the License Area and all other
portions of the City property and remove all of its storage
materials, equipment and personal property from the City property,
leaving the property in broom clean condition, free from hazards
and clear of all debris, on or before the Termination Date.

If Licensee fails to quit and deliver possession in a timely manner, the


City may pursue its legal remedies to obtain possession, and such
proceedings could result in a judgment against Licensee which may
include attorneys’ fees and court costs as allowed by law.

This Notice of Termination does not relieve Licensee of payment of any


financial obligation for payment of rent or other amounts owed until the
actual date of termination.
