Dynamic Short Circuit Test, which is a special test as per IS “IS: 2026 and disruptive in nature, even on
chargeable basis.

SCHEDULE OF COMMERCIAL TERMS & CONDITIONS

1. SCOPE : Design, Manufacturing, Routine Testing as per IS-1180 at our works.

The price quoted is net and Ex-works (Savli, Vadodara, Gujarat) basis in

works VADODARA price Our liability will cease as soon as the goods are
notified for despatch from our Vadodara Works
Unless otherwise indicated in our offer, the quoted prices are subject to
variation as per the latest applicable IEEMA-P.V.C. formula without ceiling
with base indices as prevailing on the 1st day of the calendar month one
month prior to the date of quotation. Price variation shall be applicable to
other associated components also like NIFPS, NGR etc., if ordered along with

In the event, the drawings are not approved within fifteen days of its
submission unconditionally, agreed price will not be valid and prices charged
will be those prevailing on the date of final freezing of the order.

GST shall be charged extra at actual at the time of supply on Quoted value of
transformers, Freight & Transit Insurance, Type Test Charges etc.

Present Rate of GST shall be applicable as follows:

For Billing & dispatches within Gujarat, SGST@9% & CGST@9% shall be
applicable.

For Interstate Billing & Dispatches, IGST@18% shall be applicable.

The price quoted does not include any freight or insurance charges. The
FREIGHT & UNLOADING : transformer would be despatched on freight to pay basis.
5.
AT SITE Unloading at site is not our scope of service. Detention charges of Transformer
for delay in unloading at site shall also be borne by you.
6. TRANSIT INSURANCE : Transit insurance shall be arranged by you at your cost with your underwriters.
Material will be booked through any of our approved road carriers up to
Transporters go-down nearest to the destination OR as per despatch
7. DESPATCH :
instructions from you. Please provide full despatch instruction at the time of
placing the order.
The delivery period quoted is to be reckoned from the date of receipt of your
Drawing approval 9-10 Weeks. This delivery worked out subject to, receipt of
technically and commercially clear detailed order accompanied by advance
payment as stated in clause 9 and on receipt of approval of drawings and
unconditional manufacturing clearance in writing within 15 days of drawing
submission.
8. DELIVERY PERIOD :
The requirement of delivery period will be deemed to have been met when
the equipment is notified as being ready for inspection/delivery, whichever is
earlier.

The delivery period is further subject to ‘Force-Majeure’ conditions as stated

in clause and timely availability of raw-materials

9. TERMS OF PAYMENT :
40% interest free advance of the contract value along with LOI / purchase order

60% Balance along with full taxes and duties and IEEMA variation (if agreed) on
intimation of the goods being ready for dispatch

The balance payment shall be made within five days of the intimated date of
. TERMS OF PAYMENT readiness of the equipment, failing which the Purchaser shall be liable to pay
interest charges at the rates in force and storage charges as stated in clause 10.
Advance payment made against the order will be non-refundable & non-
transferable. In the event of cancellation of order, advance will be neither
refunded nor adjusted against any future transactions.
The Seller shall have no liability for any failure to perform or delay in
performance of its obligations under the contract caused by "force majeure"
event including without limitation:
i. Natural phenomena such as weather conditions, floods, droughts,
earthquake, epidemics, Pandemic etc.
ii. Act of any Government Authority, domestic or foreign such as war,
declared or undeclared quarantines, embargoes, licensing control or
production, distribution restrictions etc.
iii. Accidents and disruption on account of fires, explosions, sabotage etc.
10 FORCE - MAJEURE
: iv. Transportation delay due to Force Majeure or accidents.
. CONDITIONS
v. Strikes and lockouts of Seller's suppliers/Seller's works.
vi. Non availability of suitable Railway Wagon/Road Trailer for the
purpose of transportation.
vii. Non fulfillment of any contractual obligation by the Buyer.
viii. Restriction like lockdown imposed due to epidemic/pandemic.
Viii Other conditions and causes beyond the reasonable control of
the supplier.
In case of any of the force majeure even the time for delivery shall be
automatically extended by a reasonable period.
Should storage of goods be necessary owing to despatch destination being
delayed due to your instructions or lack there of or non-availability of transport
11 facilities, the cost of such storage, demurrage and incidental charges at the
STORAGE :
. rate of 1% of the value of equipment ready for despatch per week or part
thereof, will be to your account and the goods shall be stored entirely at your
risk.
The transformer supplied by us will be guaranteed for a period of 12 months
from the date of commissioning OR 18 months from the date of despatch,
whichever, expires earlier. This guarantee is subject to be installation,
commissioning & operation and maintenance of the transformer as per IS -
10028.

GUARANTEE : In the event the transformer is required to be sent back to our works for
.
repairs for any manufacturing defects during the guarantee period, the
transformer shall be repaired by us free of charges; however the to & fro
freight charges and transit insurance shall be borne by you.

We shall also not be liable for any consequential loss or damages due to
problem/failure of our transformers.

In the event of an order, the transformer/s will be manufactured as per the
agreed specifications and approved drawings as may be applicable. Further
comprehensive and stringent quality control checks are applied at various stages
13. INSPECTION : of manufacture to ensure satisfactory quality and workman shop. The supplies
are also covered by our guarantee clause.
Type/Special Tests shall be carried out at an extra cost as per our offer.
Third Party Inspection cost including incidental cost shall be borne by Purchaser.
The performance figure are based on the data furnished by the manufacturers /
suppliers of major component i.e. laminations, copper, bushings, oil etc. and
14. PERFORMANCE FIGURE :
they are subject to clearance as specified by IS. However any minor deviations
from the figures should not be a reason for the rejection of the transformers.
Our quoted offer shall be valid for:

(a) 7 days for release of technically & commercially, compliant Purchase

Order.

(b) The agreed prices shall remain valid during the full execution of order or
up to contractual delivery period whichever is earlier and also subject to
written clearance to proceed for further procurement and
manufacturing, is given within 15 days of submission of first set of
drawings for approval. In the event of re-submission of the drawings, are

deletion of scope, clearance to proceed ahead is to be given within 30
days of first submission of drawings. Should there be any delay beyond
this period, the manufacturer/supplier reserves the right to demand
price increase, if any, due volatile market situation.

(c) Abnormal delay i.e. beyond 30 days due to multiple agencies involved in
approval of drawings etc. or delay due to project schedule, the agreed
ordered firm prices will not remain valid and shall be amended by
mutual discussions, failing which IEEMA price variation clause with base
date as on one month prior to final offer date shall be made applicable.
All payment instruments (of invoice value) will be released / issued by way of

arbitrators not agreeing, then to the award of an umpire to be appointed by
