Scope of Services

Project management : CTS will manage and integrate all the activities of the engineering,
procurement, and construction phases of the project. CTS will act as the client’s overall
program manager to ensure his expectations are met and acting as the Client’s single point
of contact. CTS will consolidate under one seamless execution all contractors and
subcontractors, from diverse backgrounds and scope of works, to deliver a successful
project.

Resourcing strategy: Identification of key personnel with relevant experience;


maximization of personnel with local experience and use of local/regional staff, sub-
contractors and suppliers.

Project controls: A detailed understanding of managing the project costs and schedule is
critical. CTS will enhance the project management and control capabilities.
Engineering and Procurement: CTS will give attention to details in defining the
requirements, aligning the stakeholder teams and ensuring a disciplined approach to
implementation will result in a successful project.

Construction: CTS focuses on schedule, costs, staffing, quality, methods and safety to
ensure the success of construction. CTS experience in executing dairy and food projects
allows it to develop a construction plan which manages and mitigates risks.

Commissioning: Led by the CTS team, the commissioning phase focuses on safety,
cleanliness, on time and on specifications completion. CTS experience of directly
commissioning of facilities ensures a smooth commissioning phase, recipes and product
development with easy access to advice on all aspects of the plant.

CTS will appoint a lead consultant, acting as the unique focal point of coordination and
contact with client in performing the CTS’s duties under this Agreement.

1.1. Phase 1: Concept Design


1.1.1. Scope of Services

• Set up a management structure to, define responsibilities; establish lines of


communication and reporting.
• Set up of authorisation procedures between the Project Manager and the
owner Representative.
• Visit and review the existing site conditions and the proposed location of the
new Building.
• Define project’s design brief and scope.
• Getting, reviewing and filling all necessary information and data.
• Assess the adequacy of existing information & data to identify any gaps or
differences and advice customer to complete the deficiencies.
• Provide the additional information promptly and in a convenient form to help
designers and contractors to carry out their duties.
• Establish key milestones and reference events in order to well assess and
follow-up the project progress and performance.

and assuring well understanding of all data and information by contractors
and all stakeholdersin the project.
• Management and supervision of conceptual, preliminary, detailed design as
well as construction drawings for all required disciplines & approval of
drawings from all local/statutory authorities.
• Prepare monthly report for Owner
• Assist in the preparation of technical tender document for construction scope
of works.
• Review Contract Conditions to ensure that project specific requirements are
included and well assumed.
• Ensure the implementation of cost control system for preparation and
engineering phase’s execution.
• Finalise the brief with the design team (including confirmed budgets) and
obtain Owner representative approval.

1.3. Phase3: Tendering of construction Works and

1.3.1. Scope of Services

• Facilitate and assess tender submission, and provide client with detailed
evaluation report including appropriate recommendations to preferred
contractor.
• Undertake / assist to technical and commercial negotiations on behalf or with
the client’s Representative
• Review, evaluate and validate, with the engineering team, the technical and
the commercial feasibilities of any new proposed/ integrated technical
alternative provided by contractor and make appropriate recommendations
to the Owner.
• Review, evaluate and adjust the scope of work after receiving contractor
proposals and investigate appropriate solutions to settle exceeded budgets.
• Prepare and submit documentation for project approval.
• Award Contract on behalf of or with the Owner to the successful contractor
and advise unsuccessful tenderers.
• Prepare monthly report for Owner

1.4. Phase4: Procurement and Construction Management


Once project phase 3 is completed or is in advanced state, CTS hires a multidisciplinary
and highly experienced time-served engineers to develop, review and advise on the
project construction execution plan and perform a successfully realization of the
construction works management and supervision.

With a well founded concept, design and budget established, the construction phase
commences with the award of construction contracts and ground-breaking. This phase is
primarily concerned with the build-out, and with assurance of timeliness, quality and cost
control, and safety in every facet of construction. The CTS project manager has broad
responsibilities in relation to the management of construction scope of works and will
execute many of these responsibilities by employing consultants, managing and
supervising all stakeholders.

1.4.1. Scope of Services


.
• Prepare and keep updated a master project plan. Monitor the master project
plan against contractor’s progress, and review progress at the regular site
meetings. Where delays are signalled, take recovery actions as appropriate.
• Advise the owner regarding insurance obligations on the contracted parties
and ensure that such insurances are put in place.
• Receive monthly reports from the design team confirming the status of
Request for Information, notice to contractors and site instruction issues. If
required, report these to the owner.
• Advise the Owner regarding any statutory responsibilities particularly with
regard to health, safety and environmental issues, and ensure the main
contractor has an appropriate health and safety plan in place.
• Advise the Owner on quality control actions including progressive monitoring
/ remedial actions.
• Arrange for the preparation of schedules identifying when engineering
information is required for order or for construction purposes and ensure full
co-ordination with the engineering planning.

• Assure the review and validation of all construction procedures and ensure
their adequate implementation in place.
• Assure the total management and control of any deviation against the
construction contract terms through an implemented specific procedures and
covering the validation written process by the owner or his representative
and assuring the confirmed technical and commercial feasibilities and
impacts on the project planning, budget and quality.
• Assure the management, the monitoring, the recording, the controlling and
the analyzing of project schedule progress and project cost, through specific
procedures and controlling process, in order to anticipate any eventual
execution problems or planning delays or cost exceeds and make predictive
or corrective actions.
• Fully brief, assist and coordinate all contractors and stakeholders on their
duties, on project execution procedures and on project global integrated
planning and deadlines, in order to reassure their perfect understanding and
commitment to the successful project performance.
• Assure the construction site supervision through a permanent site inspection
and site activities controlling, notably for the main project events, parts or
equipments and materials, on a weekly basic minimum periodicity.
• Monitor the construction phase and investigate appropriate actions in the
event of technical problems, delays, unforeseen difficulties, communication
lost or misunderstandings and any other events, which threaten the
planning, the cost and the safety performances and objectives of the project.
• Review, evaluate and approve subcontractor’s mobilized personnel for each
nominated trade responsibility or staff.
• Assist and manage the resolution of eventual disputes as they occur
between contractors or taking a part of the owner.
• Lease with all different contractors for the purposes of planning, monitoring
and coordinating the pre-construction phase. Upon the project moves into
the construction phase, different contractors should take their duties lead in
planning, managing, monitoring and coordinating the project while continuing
to liaise with the owner and the led consulting.

• Assure that the main contractor commitments and contractual conditions are
respected in term of required skills and experience of his mobilized staff as
well as their capability to carry out their duties and scope of work in the that
secures health, safety and quality according to international standards and
rules.
• Ensure that all contractors and stakeholders are respecting their contractual
engagements and commitment to:

 Carry out their Scope of work with high level of capability, experience
and competence as of should be.

 Implement an effective and controlled preventive and predictive


system anticipating and mitigating any eventual risks.

 Provide all necessary and adequate material, tools and devices as


well as construction, installation, mounting and testing machines, as
required quantity and quality, for the execution of the project.

 A systematic approach for healthy, safety and environment criteria’s


understanding should be implemented and all stakeholders
sensibilized and involved.

• Routine checks of site access, work areas, plant facilities and equipments,
or health risk management and assessment or escape scenarios to prevent
harm (active) and risk
• Participate/ direct site meetings on behalf of the Owner
• Organize site meetings with consultants to resolve any site issues
• Monitor progress against project planning baselines.
• Manage Other Consultant(s) and contractor(s) to ensure any technical
issues are addressed and resolved adequately.
• Check the contractor’s payment claims including checking materials on and
off site as required.

• Provide confirmation to the owner that progress payments are a fair


reflection of the value of works undertaken and therefore the certificate is
approved to the owner representative for payment. Monitor the payment
process and investigate reactive actions if any problem occurs.
• Manage and assist the negotiation process of all variations to be approved
by the owner as to be done in a timely manner, and provide all necessary
analyses, advises and recommendations about any impact of the said
variation on project budget, cost, planning and performances, during the
realisation phases of the plant as well as during future running and
production phase.
• Review, control and certify all payments in accordance with the contract
requirements.
• Continuously monitor and manage all costs of the project and, take
responsibility for the delivery of the project within the allocated budget.
• In consultation with the design team / Contractors, as appropriate, provide a
monthly summary report to the owner detailing:

 Work progress completion and advancement (current% ) against


Contractual progress (planned progress %)

 Works planned for the following month;

 The updated forecast final project cost (cost to complete);

 The status and value of variance if any;

 Payments to date;

 Retentions held; and

 A cash-flow forecast.

1.4.2. Deliverables

• Prepare Cash-flow and expenditure information.


• Submit invoices to the owner for monthly project funds.

1.5. Phase5: Commissioning Completion and Handover

1.5.1. Scope of Services

• Oversee the preparation of recipes and product development and check that
they meet with the owner’s requirements and compliance with local and
international standards.
• Ensure all incoming materials meet the high required standards.
• Oversee the preparation of a detailed systems commissioning and testing
program.
• Oversee the preparation and schedules of test reports and certificates to be
obtained, and ensure they take place in a timely manner.
• Ensure that all parties are aware of what is required and all their duties.
• Oversee the pre-commissioning phase including all non operating
adjustments, flushing, calibration, alignments, checking and verification as

well as compliance of equipments against client requirements, and design


specifications.
• Monitor the commissioning and testing program and investigate appropriate
actions in the event that delays or problems occur.
• Monitor the results of the tests and agree suitable measures with the team in
the event that failures occur.
• Oversee the preparation of the operating and maintenance manuals and
check that they meet with the owner’s requirements.
• All other duties to successfully manage the construction and commissioning
phases.
• Obtain guarantees, warrantees, as-built drawings, manuals and all specific
project documentation.
• Ensure all Design Completion Certificates and Producer Statements have
been received.
• Ensure all Codes of Compliance Certificates and Certificates of Public Use,
are obtained.
• Ensure all defects are identified and then remedied during defects
notification period or other period as agreed with the Contract.

1.5.2. Deliverables

• Provide all documentation to the Owner


• Prepare and submit all necessary documentation on behalf of the Owner.
• Submit final monthly report for Owner and relevant appendices

General

• Provide a written report to the owner, no less than monthly, regarding the
status of the project, including but not limited to meetings minutes, progress
of the project and any application for a variation, and obtain any necessary
validation.

• Initiate action in the event that any aspect of the project fails to precede
according project plan. Upon consultation with the owner, agree suitable
corrective action will be implemented.
• Quality Assurance:

 Each contractor is considered as the first responsible of quality


assurance deployment for its area of responsibility and discipline, and
shall establish, review and implement all required quality assurance
process.

 All contractual obligations relating to quality assurance and remedying


defects will be managed by the lead consulting, who will assure that
Contractual Scope Of Work have been completed according to
relevant international standards prior to issuing any completion
certificate and prior certifying final payments.

 The owner may carry out its own independent quality control checks.
However, any such checks will not obviate the responsibilities of the
contractor, the lead consulting or other consultants.
• Additional Consultants:

 The lead consulting will have a key role in the decision making
process for the appointment of all consultants (i.e. the engineering &
design teams).

The amount agreed shall be quoted as net plus statutory VAT or any tax to be paid in
addition.

The CTS staff


The CTS staff to be debuted shall be qualified and experienced in their jobs and
shall carry out the service required in accordance with the best practices and in
conformity with the conformity with the highest ethical standards.
