Advertising Agreement

THIS ADVERTISING AGREEMENT (this “Agreement”) is made and executed on this ____day of ________,
20___, by and between,

MYCOMMERCIALONTV.COM INC ., A COMPANY INCORPORATED UNDER THE LAWS OF UNITED STATES HAVING ITS
REGISTERED OFFICE AT ADDRESS: ____________________________________________. (HEREINAFTER
REFERRED TO AS "ADVERTISING AGENCY"),

NAME OF THE COMPANY, (HEREINAFTER REFERRED TO AS “COMPANY”) ADDRESS:

WHEREAS

WHEREAS, the Advertising agency is a service provider of Advertising services for a range of
Advertising mediums, including Television; and

WHEREAS, the Company is desirous to avail the Advertising services of the Advertising Agency, and the
Advertising Agency is desirous of providing Advertising services to the Company; and

NOW, THEREFORE, in consideration of the mutual covenants and undertakings contained herein, and
subject to the terms and conditions herein set forth, and with the intent to be bound, the parties to this
Agreement (“the Parties”) hereto agree as follows:

1. SCOPE OF AGREEMENT:

The Company hereby duly appoints the Advertising agency to perform the duties and
responsibilities of acting as an Advertising Agency of the Company and display the
advertisements of the Company on different mediums, including Television.
2. ADVERTISING AGENCY DUTIES AND RESPONSIBILITIES:

The Advertising Agency agrees and undertakes:


a. To make best use of the investments of the Company to display advertisements on
different mediums of communication, including Television and make maximum sales
for the Company in return of the advertisements.
b. To study the best times for the advertisements of the Company to be displayed on
different mediums of communication, including Television.

3. FEES ARRANGEMENT:

The parties agree that the Company shall pay to the Advertising Agency, a fees of USD
400 for one month in return of the services of the Advertising Agency.

4. NON-DISCLOSURE:

The Advertising Agency and the Company agree and undertake to refrain from disclosing
the terms of this agreement to any third party without express permission of the other
party. However, either party shall be authorized to disclose the substance of the deal and
this agreement to any third party, if such disclosure is critical and in the best interest of
the other party, and it is practically impossible to take the permission of the other party,
within the required time and either party has put-in sincere efforts to take such
permission, and such disclosure shall not be prejudicial to the business of the other party
in any of the foreseeable ways.

5. TERM AND TERMINATION:

The term of this agreement shall be ______ years from the date of signing by the parties.
Any of the parties may terminate this agreement by issuing a written notice of not less
than _____ days. And after the expiry of such notice period this agreement shall stand
terminated.

6. ENTIRE AGREEMENT:

This Agreement constitutes the entire understanding between the Parties with respect to
the matters referred to herein and any prior understanding or agreement shall be null and
void.

7. SEVERABILITY:

The parties agree that if any provision of this Agreement is held by a court of competent
jurisdiction to be contrary to any law, or if any of the provision of this agreement
becomes illegal because of any legislative action, or otherwise, the remaining provisions
of this agreement shall remain in full force and effect as if said provision had never
existed.
8. AMENDMENT:

The parties agree that this agreement shall be modified and amended only through a
written instrument, signed by all the parties, and amendment by any other method shall
be null and void.

9. GOVERNING LAW:

This agreement shall be governed, administered and executed by the laws of United
States and the Courts at______shall have exclusive jurisdiction to resolve and decide any
disputes arising out of this agreement.

10. NOTICE:

The Parties agree that all the requirements of Notice provided under different
provisions/clauses of this agreement shall be sufficiently discharged by communication
of the Notice to the address of the registered office of the respective party or sending the
notice through email to the notified email address of the Party.

11. ASSIGNMENT:

The parties agree that no party shall have the right to assign the rights, duties,
responsibilities, obligations, or any other terms, of this agreement to any third party
without the express permission of other party.
