1.1.1. Overview
1.2. Introduction

This Statement of Work (SOW) outlines the tasks required for Consultant (herein
referred to as "Consultant") to provide <Services For Project> to <Client> (hereinafter
referred to as "Client"). Consultant shall perform in accordance with this SOW, which
shall be effective from <Start Date>, until <End Date>. When mutually executed for
implementation, this SOW becomes contractually binding on Consultant and Client
under the terms and conditions of the Consulting Agreement, <Agreement #> effective
<Effective Date> ("Agreement").

1.3. Order of Precedence

Any ambiguity or inconsistency between or among the terms of this SOW and the
Agreement shall be resolved by giving priority and precedence in the following order:

2. Agreement

1.4. Scope/Objective

The overall objective of this SOW is for Consultant to provide <Services for Project>.

All Consultant Deliverables under this SOW shall adhere to the standards and
specifications in <Attachment I>. Client shall provide all Client Documentation listed in
<Attachment I> to the Consultant.

1.6. Contract Type of This SOW

State whether this is a firm fixed price or Time and Material type of services.

1.13. Inspections and Acceptance

Client shall inspect all Deliverables that Consultant develops under this SOW.
Consultant shall inform Client of the dates for all inspections and provide draft copies of
the Deliverable subject to inspection at least one week before the inspection meeting.
Client has the right to participate in these inspections and to review the results of the
inspections. Consultant shall document, track, and resolve all material issues resulting
from the inspections.

Invoice and payments in the amounts identified in <Attachment III>, shall be payable
when Client accepts in writing the respective Deliverable or the completed milestone.
The Final Payment shall not be paid until Client indicates final acceptance in writing of
the entire project and Consultant has returned all Client Loaned Items in the same
condition as originally loaned to Consultant.

1.35. Fixed Price (FP)

Consultant may invoice, based on the receipt of Client's written acceptance of


Deliverables and/or completion of milestones, and the Price(s) provided in <Attachment
III>.

It is estimated that the total cost to Client for the performance of the tasks contained in
this SOW shall not exceed the Not-to-Exceed (NTE) amount specified in <Attachment
III>.

1.36. Time & Material (T&M) with Not-to-Exceed (NTE)

Consultant may invoice Client for work, approved by Client in writing that is not
specifically addressed in the definition of Monthly Modifications (Changes), at a <Hourly
Rate and Terms>.

It is estimated that the total cost to Client for the performance of the tasks contained in
this SOW shall not exceed the Not-to-Exceed (NTE) amount specified in <Attachment
III>.

1.37. Maintenance and Support

Consultant may issue invoices according to the schedule and amounts identified below
and in <Attachment III> for Ongoing Reports and Maintenance that Consultant provides.
Client may extend the Ongoing Reports and Maintenance for additional <months> upon
written notice <days> prior to the expiration of this SOW.

Liquidated Damages for Delayed Delivery

Provided however, in the event that Consultant fails to deliver in accordance with
the above schedule, payment shall be reduced per the table below.
