THIS DEED OF POWER OF ATTORNEY (hereinafter referred to as the “Power of Attorney”) made on this

M/s SUBH-E-NOOR, a proprietorship concern through its sole Proprietor Mr. Tariq
Mehmood Munawar S/o Munawar Hussain Gill CNIC: 31203-1700753-7 , R/o
H#10-A, Chuk#62 Hasil Pur District Bahawalpur (hereinafter referred to as the
“Principal” ,which expression shall where the context so requires or permits or unless it be repugnant
thereto or inconsistent therewith be deemed to means and include its legal heirs, administrators,
executors, legal representative, successors-in interest and assigns) OF THE FIRST PART.
IN FAVOUR OF;
Mr. Malik Fayyaz Anwer s/o Malik Anwer Hussain holding CNIC no.35202-1577935-3
resident of H#291-A, New Muslim Town, Lahore (hereinafter referred to as the “Attorney”,
which expression shall where the context so requires or permits or unless it be repugnant thereto or
inconsistent therewith be deemed to means and includes its legal heirs, administrators, executors, legal
representatives, successors-in-interest and assigns) OF THE SECOND PART.
WHEREAS, the Principal being sole proprietor of M/s SUBH-E-NOOR is engaged in the business of
Trading and hence is providing power of attorney.
WHEREAS, upon request of the Principal, MCB Islamic Bank Limited, having its registered office at 59-T,
Phase II, D.H.A, Lahore and a branch/office amongst others at Shan Arcade, Barkat Market, New Garden
Town, Lahore(hereinafter referred to as, the “Bank” which expression shall where the context so
requires or permits or unless it be repugnant thereto or inconsistent therewith be deemed to means and
includes its legal heirs, administrators, executors, legal representatives, successors-in-interest and
assigns) has granted and/or agreed to grant to the Principal from time to time a finance facility (ies) i.e.
Murabaha Hypo/TR (Import & Local), LG, Murabaha (AAFM/Spot/Finished Goods) – Pledge, and LC –
Sight (Foreign) up to Rs. 800 Million/-(Rupees Eight Hundred Million Only) (hereinafter referred to as
the “Finance Facility”, which expression shall include every amendment and / or supplemental and/or
any finance facility or finance facilities have been granted and / or to be granted by the Bank in
substitution, extension, renewal, restructuring and / or otherwise to be granted any other new
facility(ies) thereof.
AND WHEREAS, the Principal has already executed Finance Agreements, other ancillary documents,
mortgage related documents i.e. various Finance Agreements/charge documents etc. for availing the
financial facility as well as securing the repayment of the same in favor of the Bank;
AND WHEREAS, the Principal due to his multiple business activities in Pakistan as well as abroad has
authorized his real son i.e. the Attorney, by virtue of this Irrevocable Power of Attorney to sign and
execute from time to time and in favor of the Bank with respect to the above referred Finance Facility,
the request letters for disbursement and supporting transactional documents like Shariah related offer &
acceptance, LC opening forms, stock reports, counter guarantee for and on behalf of the Principal.
AND WHEREAS, the Principal has further agreed to execute a Irrevocable Power of Attorney in favour of
the Attorney to enable it to do or execute all or any of the things hereinafter specified; and
NOW THEREFORE, in consideration of the Finance Facility provided or to be provided to the Principal by
the Bank under the Agreement, the Principal hereby make, constitute, ordain, nominate and appoint the
above named Attorney as true and lawful attorney for and in the name and on behalf of the Principal to
do or cause to be done the following acts, deeds and things stated here below:
1. To sign and execute following documents for an on behalf of the Principal with respect to the
above referred Finance Facility.
a. Request Letters for disbursement and supporting transactional documents as listed below:
c. LC Opening Forms
d. Stock Reports.
e. Counter Guarantee
2. AND to do all such acts, deeds, things and functions and execute and register such documents as
may be necessary or desirable for carrying out the above stated functions and to give full force
and effect to the powers hereby conferred.
The Principal agrees that the Attorney may exercise any or all of these powers in such manner as the
Attorney shall think fit for the said purpose and the Principal accepts full responsibility for any act or
omission, fault or negligence or inefficiency of the Attorney and shall not hold the Bank responsible for
any losses, harm or detriments that may occur in consequence thereof.
Any and all acts, deeds and things that may be done by the Attorneys in exercise of the powers hereby
conferred shall be binding on the Principal and shall at all times be deemed to have been duly confirmed
and ratified by the Principal without any need for any reference and no person or authority shall be
entitled to question the validity of the exercise of any of the powers hereby conferred.
The Principal de hereby declares, admit and acknowledge this Power of Attorney shall be irrevocable and
continue to remain in full force and effect and shall be binding on the Principal and its legal heirs,
Administrators, and assigns until entire outstanding liabilities have been repaid up to the satisfaction of
the Bank and until a dues clearance certificate is issued by the Bank confirming that all the outstanding
dues due and payable by the Principal has been paid to the Bank against the Facility.
