INVESTMENT CONTRACT

KNOWN ALL MEN BY THESE PRESENTS:

This investment contract made and executed into this 4th of July 2018, by and between JAY
FRANCIS O. TALPLACIDO AND JOEL B. TALPLACIDO, both of legal age, Filipino Citizen
and with postal address at B12, L7, LA TIERRA SOLANA, BACOLOR, PAMPANGA, owners of
EM PAULE CONSTRUCTION & TRADING INC., hereinafter referred to as the FIRST PARTY.
-and-

EMILIO P. CASTILLO, of legal age, married, Filipino citizen and with postal address at Ubaldo
Street, Barangay, Legaspi, San Manuel, Tarlac, hereinafter referred to as the SECOND
PARTY.

WITNESSETH:

This contract certifies that EMILIO P. CASTILLO is making a venture with EM PAULE
CONSTRUCTION & TRADING INC., and the invested amount shall be used to fund the
construction of DIDIPIO WATER SUPPLY SYSTEM at Brgy., Didipio, Kasibu, Nueva Vizcaya.

NOW THEREFORE, the parties herein agree voluntarily to enter into this investment
contract, under the following terms and conditions:

I. AMOUNT TO BE INVESTED BY THE INVESTOR

Two Million Pesos Only. (Php 2,000,000.00).

IV. PERIOD OF CONTRACT

This contract shall be effective from July 3, 2018 to November 5, 2018.

V. PROFIT

A.) The FIRST PARTY hereby acknowledge the receipt of the amount of TWO MILLION
PESOS from the SECOND PARTY as investment in EM PAULE CONSTRUCTION &
TRADING INC..
B.) The the parties agreed that the said investment shall earn a fixed amount of ONE MILLION
SIX HUNDRED THOUSAND PESOS (Php 1,600,000) to be given on two different dates.

C.) The FIRST PARTY undertakes to pay the full amount of investment of the SECOND
PARTY amounting to TWO MILLION PESOS ONLY (PHP 2,000,000) on August 15, 2018.

C.) The SECOND PARTY, must be paid his first share of the profit amounting to EIGHT
HUNDRED THOUSAND PESOS (Php 800,000) on September 5, 2018.

D.) The SECOND PARTY, must be paid his second share of the profit amounting to EIGHT
HUNDRED THOUSAND PESOS (PHP 800,000) on November 5, 2018.

VI. CONDITIONS

A.) The investment collaborator shall be required to present approved updates to the investor
on the status of the venture periodically.

B.) The FIRST PARTY undertakes to issue one check in favor of the SECOND PARTY
amounting to TWO MILLION PESOS ONLY as a security for the payment of the capital
investment.

C.) That in case of breach of this contract, the FIRST PARTY shall be liable to the SECOND
PARTY for all criminal, civil and administrative complaints.

D.) That both parties agreed to comply with the agreement faithfully and religiously, the same
being not contrary to law public policy, public order and morals.

VII. TERMINATION OF CONTRACT

A.) Shall the SECOND PARTY decide to withdraw the investment contract, the latter is
required to give an advance notice of ninety (90) days prior to withdrawing the investment, the
withdrawal shall be in writing.

B.) In the event that the company has to be dissolved due to bankruptcy or declared with
supporting documents that there was no net gain before or after the end of this contract, the
investment collaborator shall release the amount of the capital investment to the SECOND
PARTY in the amount of TWO MILLION PESOS ONLY (PHP 2,000,000).

VIII. VENUE

Any suit that may be brought by the reason of the breach of this contract or enforcement of the
conditions shall be brought only with proper courts of SAN FERNANDO, PAMPANGA.

IN WITNESS WHEREOF, the parties have signed this instrument this 4th day of July
2018 at SAN FERNANDO,PAMPANGA.
