OFSTOCKLISTEDANDTRADEDTHROUGHTHESTOCKEXCHANGE,FURTHERAMENDINGFORTHE
PURPOSESECTION199OFTHENATIONALINTERNALREVENUECODEOF1997,ASAMENDEDBY
REPUBLICACTNO.9243,ANDFOROTHERPURPOSES

BeitenactedbytheSenateandHouseofRepresentativesofthePhilippinesinCongressassembled::

Section1.Section199oftheNationalInternalRevenueCodeof1997,asamendedbyRepublicActNo.9243,is
herebyfurtheramendedtoreadasfollows:

"SEC.199.DocumentsandPapersNotSubjecttoStampTax.TheprovisionsofSection173tothecontrary
notwithstanding, the following instruments, documents and papers shall be exempt from the documentary
stamptax:

"(e)Sale,barterorexchangeofsharesofstocklistedandtradedthroughthelocalstockexchange."

Section 2. Implementing Rules and Regulations. The Secretary of Finance shall promulgate and publish the
necessaryrulesandregulationsfortheeffectiveenforcementofthisAct.

Section3.SeparabilityClause.IfanyprovisionofthisActisheldunconstitutionalorinvalid,allotherprovisions
notaffectedtherebyshallremainvalid.

Section4.RepealingClause.Alllaws,decrees,executiveorders,rulesandregulationsorpartsthereof,which
areinconsistentwiththisAct,areherebyrepealed,amendedormodifiedaccordingly.

Section5.Effectivity.ThisActshalltakeeffectonMarch20,2009orimmediatelyupontheexpirationofthefive
(5)yearexemptionfromthedocumentarystamptaxonthesale,barterorexchangeofsharesofstocklistedand
tradedthroughthelocalstockexchangepursuanttoRepublicActNo.9243.
