    The Parties are currently engaged in business negotiations that may lead to a separate definitive
    business agreement. During such negotiations and prior to the conclusion of any such
    negotiations, the Parties may conduct business between them. It is the intent of the Parties that any
    such limited business engagement shall be subject to certain terms and conditions indicated below
    in this Memorandum of Understanding (MOU).
    1.
    Term. This MOU is effective as of the date executed by CEDPM, (Effective Date) and
    shall remain in effect for the earlier of the execution of a definitive supplier agreement between the
    parties or six (6) months from the Effective Date (Term). This MOU shall not be extended.
    2. Definitive Agreement. The parties will negotiate in good faith with a view to entering into
    definite agreement(s) providing for the establishment of the business relationship(s) outlined
    herein. The Parties acknowledge that all negotiations shall be non-binding until such time as the
    Parties enter into a definitive agreement, executed by authorized agents of both Parties.
    3. Payment Terms. To the extent that the Parties engage in business while negotiating a definitive
    agreement, the following payment terms shall be in effect:
    a.

    CEDPM shall pay Supplier for all valid and uncontested invoices within forty-five
    (45) days of invoice date unless early payment discount options apply. CEDPM shall
    receive a minimum of 2% prompt pay discount for all business (excluding pass-through
    items such as freight) paid with postmark no later than twenty (20) days from invoice date.
    CEDPM has the right to offset such payments with any past due amounts owed to CEDPM
    by Supplier. If Supplier pays any applicable discount via credit memo, CEDPM retains the
    right of the 2% early pay discount.

    4. Supplier Rebate Program. In addition to the early pay discount described above, the following
    rebate provisions shall apply for the duration of the Term:
    CEDPM shall receive a volume discount of 4.5% from dollar one spend.

    5. General Terms.
    a)

    Sections 1 (Term), 3(Payment Terms), 4 (Supplier Rebate Program) and 5


    (General Terms) shall be binding upon the Parties for the duration of the Term. All other
    Sections of this MOU represent subjects to be negotiated between the Parties and
    shall not be binding upon either Party. CEDPM is under no obligation to purchase
    any product or service from Supplier.

    b)

    Section headers are for the convenience of the Parties and shall not be
    used to construe the intent of the Parties.

    c)

    This MOU shall be governed by and construed in accordance with the


    laws of the State of Colorado, excluding its choice of law provisions.

    The Parties have read the foregoing and hereby accept the provisions as written. Please print two
    (2) copies of this MOU, and submit to CEDPM Strategic Sourcing. A signed copy will be returned
    to you at the address indicated by Supplier on Page 1 of this MOU.
