Friendly, NW 00065 Re: Helen Anderson File No: 201-789 Dear Mr. Anderson: Our office represents Mrs. Helen Anderson who is a minority stockholder in the corporation of Lodestar, Inc. The purpose of this letter is to demand that you, Kenneth Anderson, as chairperson call for the holding of the annual shareholder meeting that happens on the first Monday of May every year. Mrs. Anderson is a minority stockholder in the coming Lodestar, Inc. and as a stockholder she is entitled to be able to attend the meeting that is held on the first Monday of every May. Since Mr. Anderson has refused to hold a proper meeting with the shareholders this May this has caused a failure of Mr. Andersons duties as Chairperson. Section 77-11-18 of the New Washington Statute Annotated specifically states that meetings of shareholders may be held at any place within or without this state. If no other place is designated in then the meetings shall be held at the registered office of the corporation. The statute also states that an annual meeting of the shareholders shall be held at the time designated. If the annual meeting is not held within any thirteenth-month period, the district court may, on the application of the shareholder, order a meeting to be held. In compliance with the statute stated above there was a breach of Mr. Andersons duties of failing to call an annual shareholders meeting. In light of the fact that Mr. Anderson failed to call the annual shareholder meeting, we demand that you comply with the New Washington law and arrange a properly scheduled shareholder
meeting immediately. If Mr. Anderson does not act in accordance with this letter within 30 days, we will assume that he does not intend to comply with the statutes stated above and we will pursue all legal remedies available under the law. Also, a lawsuit will be filed in the district court seeking an order directing that the meeting be held and we will request any fees and costs that may incur in pursuit of the litigation.
