"Hey Jeff, If you're a VC leading a round via a SPV, should you be the biggest investor in the group or does it matter?" I mean, if you're charging fees and carry then it doesn't make much sense to be the biggest investor, but I would assume that they would want to be as it shows the other investors that you're going big on the deal and not just taking a flyer. For a $1 mil. SPV I'd assume that they'd put in AT LEAST 20-30%. Depending on what type of fund they are will depend on how much they put in as well. If they are Pre-seed and Seed $50 mil. fund, I'd assume that check sizes are $250k up to $2-3 mil. so on a $5 mil. deal expect at least $1 mil.

Really great panel discussion at the Speedinvest #MPC - “From pre-seed to Series B: how to raise over $50m in less than 2 years from top tier investors” - with Nicolas Heymann and Magnus Karnehm moderated by Mathias O. For #founders, it is important to remember that whilst the negotiation after signing a term sheet might be relatively quick, the process often starts 12-24 months beforehand - you need to plan ahead and work out your timing and financial requirements. Sometimes, if you’re lucky, it can be beneficial to raise before you need it. That can also reduce some of the pressure from the negotiation so you can discuss terms (including amount and valuation) with confidence that you have a “Plan B”. Interestingly, earlier rounds can be more difficult for founders than later stage rounds - the learning curve about terms and process is very steep at the start; as you progress, hopefully you can put those initial learnings to good use to push things along and get the money in the bank quickly. For #investors, there is a big focus on trust in the founders - it is a good sign if a founder says they’ll do or achieve something, then actually do it (which also highlights the importance of keeping in touch with investors even if you hear “no” when first asking for cash). It is also crucial to have vision fit - all parties should be aligned on what the company wants to build. #fundraising #venturecapital #investment
