💰Anicut Capital Secures $11 Million via GIFT City Structure for Private Credit Fund 3 💰 Anicut Capital, a multi-asset investment firm, has announced the receipt of $11 million in dollar-denominated investments via GIFT City Structure in its Private Credit Fund 3. This milestone reflects strong investor confidence and a growing investment appetite for Indian private credit among a global investor base. ● The investment structure aims at attracting dollar-denominated investments into India from a diverse group of institutional investors, family offices, and high-net-worth individuals (HNIs) from key global markets including the US, UK, Europe, and the Middle East. ● In private credit, Anicut aims to bridge the gap in funding for requirements such as acquisitions, promoter buybacks, bridge financing and other growth capital requirements. The funds received via GIFT City Structure feed into the overall corpus of INR 1,500 crore that Anicut Capital is currently raising for its third private credit fund. In private credit, Anicut has deployed INR 3,200 crore to date across mid-sized enterprises since inception. Anicut’s funds have helped companies in accelerating strategic expansion, fostering high-potential businesses, and enhancing leadership in India's investment landscape. Let's understand 💡 section 25 of Companies Act 2013. A brilliant young entrepreneur Mr.Ritesh wanted to raise funds for his venture named OYO. He went to a renowned PCS Mr. Pravin 😜 for consultancy services in regard to issuing of securities of his venture to public. Mr. Pravin explained the requirement under the provisions of Companies Act to issue prospectus(a document) when shares are issued to public at large. Mr. Ritesh applied his brilliant mind and thought he found a loophole by which his venture need not issue prospectus to public.He told Mr. Pravin that his company will issue the securities to any private house or partnership firm who will further issues shares to public through public notices, Circulars etc. and will surpass the requirement of issuing prospectus. Mr. Pravin disregarded his claim by explaining Mr. Ritesh the concept of deemed prospectus under section 25 of Companies Act 2013. Pravin explained that such notices and circulars or advertisement issued by partnership firm or individuals will be treated as deemed prospectus and all the liabilities regarding misstatement or omission will be applicable on the company for such prospectus & it will be considered that the person who bought these shares through such document has bought the shares from company directly. Mr.Pravin Further added that the said document issued by company to the firm or individual will be considered prospectus if 1) allotment made but complete consideration not received by co. 2)if an offer to sale such securities(which were earlier allotted through such document)is made to public within 6 months from their allotment.
