OK #agency peeps, we've chatted about $0-$10K/mo, $20-$50K/mo, $50-$150K/mo, $150K-$500K/mo & how to know if you might be ready for an exit (link to all in comments). Today, we are continuing with the series...#agencyacquisition - how to find a buyer. Things to know: 1. Selling your #marketingagency is not fun. (Apparently, I was on vacation with my family at the tail end of my 1st acquisition...truly, I do not remember a minute of it, and I don't recognize any of the pictures of me from that vacation). 2. Selling gets easier when you know what you want to get out of the sale. The chances of getting FU money is pretty low. But you can absolutely get money that will change your life. So you need to start with what is the minimum amount of money that it will take for you to stop chasing your dream and start supporting someone else's. Assuming that you know what your floor is, there are a couple of buyers types to think about: 1. Strategic: You do something they don't, or you serve a complimentary market that they don't. Usually, you get the best acquisition terms here. 2. Marketshare Buyer: This is a buyer who does what you do, and they want your top line revenue. This is usually the easiest kind of sale, but they tend to be less lucrative. The strategic buyer will likely want you, as the CEO of the biz, to hand around and lead the team since they don't do what you do. The marketshare buyer probably wants you to go away. When you are searching for a potential buyer, sort the world into two --> Strategic Buyers & Marketshare Buyers. Getting a buyer to know you exist isn't complicated. Just email the CEO or Corp dev or head of sales...they will get you in front on the right person. But generally speaking, before you need to talk to anyone, you should have a sense of: 1. Their size (if they aren't at least as big as you are, it is going to be hard to swallow you) 2. How you fit: • Marketplace buyer is pretty simple - we will take your revenue from X to Y, and add $Z in EBITDA to your biz • Strategic buyer is harder - you need to create a story about how your service aligns with what you do, and how easy it would be to cross sell what you do to their existing clients and vice-versa. A great place to look for a marketplace buyer is anyone that is bigger than you are that you respect. But they can't be too much bigger - a $1mm agency means nothing to a $15B agency holding company. Start looking for strategic buyers amongst the other agencies and service providers at your existing clients - that shared connection makes for an easy starter convo.

There are certain agencies I consistently hear terrible things about. There are certain agencies I consistently help brands move away from. Still -- I don't think those agencies are 'bad' agencies. They are bad for those clients though. Better for others, presumably. And, even "the best agency in the world" to some of their clients, too. I don't want to work with them. And I wouldn't recommend them. But, the point is this. Finding an agency is easy. Finding the right agency is hard. Agencies should be more selective in who they take on. Agencies should be more graceful when they lose clients. Agencies should stay in their proverbial lane. Brands should communicate their needs better. Brands should be more transparent with their agencies. Brands should invest more into their agencies. *not necessarily $$. Good agencies exist. Bad agencies exist. Great agencies exist. Good to you, may be bad to another. Great is the goal. Ya just gotta find them. ..ya may have to kiss a few frogs first, too.

The macro-view lessons you can learn from your own Google Search Console data is really interesting. Here's a random view point - from being on page 1 for "Does SEO work in a recession": The search phrase has gone up 2X in the last 28 days

Your actual CAC is much worse than your blended CAC. Usually, CAC (customer acquisition cost) is calculated as: [Marketing Costs / New Customers] So if you spent $10k on ads, paid an agency $5k, and spent another $5k on various martech functionality, your total marketing cost is $20k. And if you acquired 200 customers in that period, your CAC is $100. ($20k/200). Nothing special so far. If your business ran an LTV analysis and determined that they need to be at $120 CAC or less to be profitable, then a blended $100 CAC is technically profitable (you're making essentially $20 of profit per customer). Here's where that logic breaks down: This assumes that ALL new customers are being acquired through marketing expense. Most brands know this isn't the case, but the way they calculate it is still just to "cover their bases." But how many of your new customers are actually incremental from your ongoing marketing efforts? How much are baseline? How many from word of mouth? How many from organic social content being created by your customers? Let's say it's half. (Typically we see marketing drive somewhere between 20-40%, but I'm being generous in this example). So in the same above scenario: • $20k marketing costs • 100 incremental new customers (half of 200 total) • $200 blended CAC!! Now you know from your previous cohorting that your customer only contributes something like $120 pre-marketing margin. So now, instead of making $20 of profit per customer, you're actually losing $80. How can businesses not notice this? Well, because they're just looking at things in big aggregate chunks. This is fine for P&L management, but, if the actual objective is that customers need to be profitable within whatever period the "lifetime" is (the buyback) then you have to break those components apart. Taking it a step further, not all customers are created equally. Maybe that $120 is just the aggregated average of all customers, but it is very unlikely that $120 is the "right" answer. It's probably more like: • 75% of customers at $80 • 20% of customers at $100 • 5% of customers at $800 This still gets you to an average of $120, but a vanishingly small percentage of customers actually even hit $120. 95% hit less than $100! So now knowing what your "typical" customer looks like, you'd have to reduce your target profitable incremental CAC even lower, say to $95. That means that your blended CAC is going to be significantly reduced, probably something like ~$47. I'm always shocked by how few brands understand and manage their customer economics this way. #cac #dtc #pnl #incrementality

This is not an attack on agencies, but... I often hear CMOs and CEOs saying: "If we want to scale this channel, let's hire an agency." Let me be clear: this is (often) not the best way to scale any channel. Here's why: 1. Resource allocation While agencies may look experienced and know what they're doing, you'll rarely have their best talent managing your account. The reality? You often get junior profiles learning on your budget. 2. Time investment Because of agencies' business model, they will never invest as much time as you want in your account. Think about it: is 2 to 4 days of work per month enough for a core marketing channel? 3. Strategic alignment After working with numerous agencies, I can tell you that the best and only way to scale a channel you're serious about is to run it yourself. The solution? → Hire someone who is a field master and give them full ownership → If you're early stage and can't afford a specialist yet, working with an agency can be a temporary solution → But once you find traction, it's time to bring it in-house 🔍 How to make the right decision: Agency vs In-house When to consider an agency: - Early-stage with limited budget - Testing new channels before committing - Non-core marketing activities - Need for specific expertise on short-term projects - Geographic expansion requiring local knowledge When to go in-house: - Core marketing channels - Need for deep product/market knowledge - Long-term strategic importance - Budget allows for dedicated expertise - Need for rapid iterations and testing 💡 Pro tip: Before making your decision, calculate the real cost of both options: Agency costs: - Monthly retainer - Additional fees - Management overhead - Knowledge transfer costs - Platform access fees In-house costs: - Salary & benefits - Tools & training - Recruitment costs - Management time - Team integration 🤔 Your turn to share!
