All VCs are founder friendly – we all collectively understand that without founders, we don’t have a reason to exist. However, being founder friendly means a lot of different things. We at Touring Capital take pride in being the first call when founders need a second pair of eyes as they view us as non-judgmental board members who can problem solve together. We also look out for founders by preserving founder dilution and raising the right amount of capital needed for the business. We don’t force founders to take a specific amount of capital because of our fund size. In fact, capital efficient founders self-select us as we work with them to minimize dilution and preserve optionality. If they want to go all the way and build a massive business with a view to a public market exit, then more power to them. We have backed founders like Eric S. Yuan at Zoom and Johan Brand, FRSA at Kahoot! which were able to go public with significant founder ownership. However, if our founders decide to team up with a larger company earlier in their journey, they still own a large chunk of the company and are rewarded with a lifechanging financial outcome. Founders like Ankur Singla and Tasso Roumeliotis decided to partner with larger companies in their first forays and are now back in the game with their next acts, Exaforce and Numa respectively (and we are lucky to back them the second time around). Here’s a question investors are often asked: When evaluating early stage companies, how much time do you spend on due diligence around future exits? It’s not surprising we hear this question a lot. Also not surprising: it’s got a wide range of answers depending on the firm. Some don’t spend much time here at all. Others make it a point to put meaningful time in as part of their process. Our current thinking: take the time to do the work on public market comps. At Alpaca VC, we spend significant time understanding how public market investors will  realistically value a business based on margin profile, product, business model & TAM. In short, we want to know: how will this company be valued at scale when we get taken out? Yes, we can acknowledge that the journey toward exit is a windy road and that there may be pivots along the way, but there are still public market companies that have a business model similar to the early stage company you're evaluating. And you can always look at gross profit multiples if you think the margin profile will change over time. So we still do the work on the comps. Quantitative metrics we look at when making the comparison to public market comps include EBITDA multiple, revenue multiple, Gross Profit multiple or all of the above. As part of this process, it’s also important to factor in the public market company’s year-over-year revenue growth as this will also significantly impact the multiple it trades at. Simple example: if you have two public market companies with similar business models and similar margin profiles, but one's growing 100% year over year, and one's growing 50% year over year, then obviously the DCF (discounted cash flow) analysis is going to spit out a very different valuation for the one that's growing faster. Why this matters: When you take all of that information into account as you evaluate an early stage business, you can begin to create a realistic picture of how this company will be valued in the public markets at exit - or how an acquirer will value the company for an acquisition. Strategic acquirers may, of course, pay a premium, but we won’t underwrite for that. This allows us, for example, to form conviction around valuation based on revenue and gross profit predictions. If we think they can do $100M of revenue five years from now, we use this diligence process to form a thesis about whether the characteristics above (product, margin, business model, etc.) will cause the company to be valued at $200M vs. $500M vs. $1B at exit. Curious how other early stage investors think about underwriting an exit and how much time they’re spending on public market comps even though these companies are in their infancy.

I’m a strong believer in the idea that leading is largely about building empathy. The job isn’t just helping others understand the mission - it’s helping them complete the mission and building alignment through personal context. To take it a step further, you can’t be empathetic if you aren’t curious. Curiosity drives us to ask deeper questions - those questions build empathy and, then, we become more aligned.

A new era of deep tech has emerged. First time funds will raise “unheard of” amounts of capital to fuel next gen deep tech startups - producing outsized, superior returns for LP’s compared to the rest. Prudent investors will act on this data and shift investment strategy as LP’s or risk being left behind savvy wealth managers and CIO’s / FO’s who saw this trend begin 4 years ago.

As the IPO window remains shut and other paths to liquidity (buyout and M&A) remain compressed, the Cerebras Systems S-1 filing is a cautious welcome sign for the venture capital asset class. As the first "pure play" generative AI company to go public since ChatGPT's release, this marks what could the beginning of a new technology IPO wave. The company is making the bold attempt to take NVIDIA head on: ✅ Cerebras has developed a novel wafer-scale AI chip that is 57x larger than a GPU with 7,000x the on-chip memory  📈 Revenue grew a an incredible 1,122% YoY to $70M in latest quarter 💰 Blue-chip technology investors including Benchmark, Coatue, and Altimeter But the S-1 filing also reveals some notable challenges and risks: 🚩 83% of revenue came from a single customer in 2023 🗳️ Possible CFIUS scrutiny over their relationship with an Emirati company 🧑‍💼 CEO named in prior SEC enforcement action in early 2000s We will continue to keep an eye out for more details in the coming months around IPO pricing and the company’s regulatory squabbles, but in the meantime, please enjoy the full essay below.

Board of Directors - insights from "The Essays of Warren Buffett" Buffett’s principles for Boards of Directors emphasize the importance of independence, accountability, and a focus on long-term shareholder value: - Long-Term Focus: Boards should act in the long-term interest of shareholders - Board Composition: Boards with mostly outside directors and select members for business savvy, not prominence or diversity (PE insight: CROs on the Board) - Regular Evaluation: Outside directors should meet without the CEO to assess performance True Independence: Directors must have equity in the company to align with shareholders' interests P.S. As folks like to say, VC is a repeat game. Yet, in my time as a VC I've witnessed behaviors that run counter to that premise, oftentimes from the people who have the most leverage. So, I was interested/delighted to see that the Founder's Institute has created and is promoting an analog to the Hippocratic Oath for VCs and finance professionals - called the Mensarius Oath (https://lnkd.in/exmEuzUN). Count me in as a supporter of the Mensarius Oath for ethical investing. #MensariusOath

SPVs → just a step in the overall VC Fund Manager Goal It is my belief that many people start syndicates to go on and raise a traditional venture fund. Most folks want to raise capital from institutional/higher net worth LPs, have capital they can deploy at their discretion, and also be able to make a living and build a true VC firm with management fees (remember, syndicate management fees are minimal). After all, this is how traditional venture capital works and what many, I would say most folks in venture, strive to do. It should not come as a surprise that many syndicate leads start with the SPV ecosystem to build a track record and an LP-base to level-up to go on and raise a fund, where the GP can have full capital deployment discretion and take larger management fees. Most syndicates are likely unable to raise a fund, therefore, only the higher quality syndicates put in the work to position them to go on to raise a fund. Even though I've been excited to double/triple down on syndicates, I equally can understand the rationale to wanting to build a traditional venture fund, and institutionalize your firm. As a reminder, we see many folks enter the syndicate ecosystem because it is a good place to establish yourself as a potential fund manager. Starting with SPVs allow for: 1. Faster way to start investing with outside capital 2. Way to build a track record (with outside capital) 3. Gain experience w/LPs & learn to operate (in some ways) similar to a traditional fund 4. Start building relationships with potential fund LP’s, VCs & founders. 5. Better pricing & flexibility of an SPV versus a traditional Venture Fund. Those who leave the syndicate ecosystem to raise a venture fund have graduated from the syndicate ecosystem (i.e the minor leagues) into the big leagues. So, while they may be gone (or less active) in syndicating deals, they have made it to the destination they were looking to achieve. During our Annual Investor Day, we discussed a trend we’ve been observing in the VC market: Funds increasingly using “extra downside protection” to compensate for slow growth & inflated valuations of companies. We’re now starting to see some skeletons come out of the closet (and, ironically, they might be the driving force that will re-open the IPO window). First one out: ServiceTitan https://lnkd.in/eNMuPAe6 ps: despite the compounding IPO ratchet structure, I believe ServiceTitan is a solid company and, at the right price (factoring in all adjustments), it's a great deal!

Big announcement below! 👇 Let's talk about the current state of GP-LP affairs: 🤯Emerging VC managers have absolutely exploded over the past 5 years. 📈 At the same time, more and more data has surfaced that shows that emerging VC firms tend to outperform larger, established firms. 🤔 All of this has made it intriguing but tough for LPs to know where to direct their attention. 🛍 GPs frequently meet LPs at conferences who are window shopping but not committed to the asset class or emerging managers. 🧾 And both crews get overwhelmed by transactional convos. So Sydney Paige Thomas and I created Abundance. Abundance is a private, nomination-based retreat for active LPs and top emerging GPs to form new experiences together and build lasting relationships. Why Abundance? Abundance is knowing that there is more than enough for more than one to succeed. And a single win within a community is a win for the community itself. The journey of an emerging VC manager from 1st close to final close or Fund 1 to Fund 2 is (1) communal and (2) requires an abundant mindset. LPs look for structure and confidence to feel comfortable investing in early VC firms. Some of the best events I’ve attended have been intentionally non-transactional, e.g. Camp Hustle, Recast Summit, and other GPs’ AGMs. The fundraising success stories we see usually involve a community (usually of other GPs & LPs) coming together to support and open doors for the emerging GP.
