WAYMO -- WAYCOOL or GHOST RIDER? If you preside in San Francisco, Santa Monica or Phoenix you are now seeing driverless Waymo taxies making their way through town on an ever-increasing basis. The network is expanding, and I can honestly say that in the Santa Monica / West Los Angeles area I have not driven anywhere in the last two months without seeing one of them on the road every time. In fact, sometimes they are so prevalent that there might be three in a row waiting at a stop light. It still is kind of spooky seeing cars moving around with no driver, or anyone for that matter, in the front seat. It's not exactly the same as the Headless Horseman but it does conjure up that image in my imagination. I have not taken a ride in one, but several family members have and report their satisfaction. Waymo is a division of Alphabet (GOOGL). I have not seen any visible evidence of General Motors (GM) Cruise vehicles which I understand are still being road tested, while Tesla (TSLA) has been projecting their autonomous vehicle vision for some time. For now, Tesla seems to be behind but that could change quickly. GM is likely to use their own branded vehicles, and it would seem that Tesla will likely do the same. However, Waymo technology could be outfitted on any cars. That seems like a big advantage, staying out of the car business and just being like the "Intel/Microsoft" inside personal computers which is a much higher margin business. There has been a lot of noise in the business journals and chat rooms about a Waymo initial public offering but nothing from Alphabet itself. They recently concluded a $5.6 billion investment round; see TechCrunch post below. The autonomous race is on, and it will be expanding rapidly from here on out. I just wonder if we will ever see an autonomous police vehicle stop a wayward autonomous taxi and write it up for some violation as yet unknown. On June 6th our small and mighty California Senate Bill 54 team was honored on the floor for our groundbreaking work introducing data transparency to the venture capital industry. Participating in our regulatory process was life-changing for me. Everything was a novel experience: initial ideation, writing a bill, collaborating with Senators I deeply respect, testifying in front of the Judiciary Committee, and the tumultuous period before Governor Newsom signed it into law. I'm immensely proud of all of us for our work, collaboration, and impact. Standing on the Senate floor surrounded by my friends, colleagues, and family left me lost for words (and that's hard to do). We took part in our country's democratic process and made history. I was truly inspired. Regardless of your political "side," it's easy to feel helpless and revert to inaction. It's easier not to act. It also makes you feel scared and empty. I urge you to take action however you can. Once you start, the small steps turn into big ones. You'll feel in control and fulfilled. Legislators are people and they need to hear from you so they know what their constituents want. Here are some ideas: 👉 Look up your district Representative and Senator. Read their short bios and check out what Committees they're on. Write each one an email to introduce yourself as their constituent and list issues that are important to you. 👉 If you run a company, invite your Representative and Senator to visit, learn about what you do, and share what issues impact your business. 👉 Look at bills introduced by legislators in your state (they don't have to be your district) and follow the people you align with. If they introduce a bill you support, ask for an email template you can send to your Rep. This is super easy and truly makes a difference. So many people ask me how to get involved in advocacy. There's no magic here. Say what you think publicly and take action. Boom. You're involved. Even in a challenging funding market, venture capital funding continues to expand globally, as detailed in this TechCrunch article - featuring Endeavor CEO Linda Rottenberg. From the article: "Venture capital has become a more global industry as the tech sector slowly decentralizes. In 2022, more than 50% of VC deployed globally was invested in startups outside the U.S., according to data available from the National Science Foundation (NSF) — a stark contrast to 20 years ago, when nearly 80% of the world’s venture capital went into U.S. companies." Obviously, great ideas paired with great businesses are not limited to the Bay Area. However, historically, funding has been focused there. Seed VCs are turning to new ‘pro rata’ funds that help them compete with the big firms Alpha Partners, SignalRank and now SaaS Ventures help seed VCs pay for shares when big VCs try to price — or push — them out Lee Edwards, partner at Root VC, has a saying at his firm that “pro rata rights are earned, not given.” That may be a bit of a stretch since pro rata refers to a term that VCs put in their term sheets that gives them the right to buy more shares in a portfolio company during consequent funding rounds to maintain an ownership percentage and avoid dilution. Still, while these rights are not exactly “earned,” they can be expensive. An interesting article below, that demonstrates out how San Diego is punching above its weight.  And how Connect's strategy and execution over time, contintues to be central to that success. The article describes the current state of the market in Seattle.  (And i love Seattle.) It's a market that we tend to track with relative to venture fundings.  They used to kick our butts, we outraised them each of the last three years.  This despite the fact they have 3x as many funds there, and 9x the amount of resident capital there. (per pitchbook) Some key takeaways:  * They continue to compare themselves to SIlicon Valley. Instead, we leverage our proximity. *They whine there's not enough local investors (see note above - they have more than us). We bring over 200 VCs to SD annually! * They say founders are not connected with one another. We bring CEOs together regularly, in a variety of ways - private dinners and through our Springboard program. * They say they need to elevate their image on a national & international stage. Why we created and continue to build Five.Ten.Thirty (aka Inno Day).  * And the last paragraph - they need to concentrate on making their region a great place to live. Our mantra: "It's about Better, not Bigger." In the aftermath of the March 2024 failures of Silicon Valley Bank and Signature Bank, and the acquisition of First Republic by J.P. Morgan in May, I've become increasingly intrigued with proxy statement disclosures regarding compensation metrics and risk. As a board director, it's essential to examine how compensation is helping organizations move forward positively to create stakeholder value. JPMorgan's compensation packages, for example, incorporate profit metrics such as managed revenue, pre-tax income, net income, and ROTCE in addition to risk metrics like a capital ratio hurdle. The disclosure that the JPM Compensation Management Development Committee meets annually with the Risk Committee to review compensation also caught my eye! Essential Compensation Questions Board Directors Can Ask Senior Executives 1. How does the firm integrate risk, controls and conduct considerations into key HR practices including performance development, compensation and promotion? 2. Are compensation features and elements designed to discourage imprudent risk-taking (e.g., multi-year vesting, claw backs, prohibition on hedging, etc. ? 3. What critical regulatory updates have impacted or may impact HR practices in the future? Earlier this month, PitchBook reported that "13 percent of venture GPs don't plan to raise another fund as the LP pullback spoils fundraising efforts, according to PitchBook's semiannual VC Tech Survey. That's double the rate in H1 2023, when 6 percent said they had no plans to raise another fund. Prime Coalition has long taken a different tack to climate finance compared to its for-profit brethren. It makes the usual venture-style investments in startups through Azolla Ventures and also helps philanthropists direct their money to climate-related projects that it deems high impact. Trellis Climate follows the latter model with a focus on middle stages, where capital has grown scarce. #climatetech #climateVC #climatefinance

LP Tip #20 out of #50: To re-up or not to re-up A re-up refers to an LP making an additional investment in a fund where they previously invested. Before we dive in I want to share that there are reasons an LP may not to re-up which are not in your control. Here is a short list: ➡️ The LP may have evolved their strategy and needs to scale back the #️⃣ of funds they invested in.   ➡️ The LP was never set up to re-up in the first place. ➡️ The LP could be an individual that found themselves in a cash crunch and overly exposed to venture.  I'm assuming that when you got your investment that the LP explicitly told you they do re-ups. Please do not assume they do. My expectation is also that the LP dug in to properly underwrite the fund. 🏴 Re-ups are not automatic. An LP will have to re-underwrite each fund. The speed of the re-up also depends on how much work was done in the initial investment, who led the investment, level of confidence there existed when that investment was done, and current pipeline of funds. There are 4 flags that may cause an LP to walk away. 1️⃣ Partner Breakups/Changes and Team Turnover:  The biggest risk in Partnerships are whether the Partners will stay together. One LP gave me a framework on how to think through this issue that has stuck with me. Partnership is like a marriage. If one feels there is potential for a breakup, does one believe it will be an amicable breakup? Or, does one believe the spouses will never talk again? If it is an amicable split that is manageable. The Partners can find a way to support the fund. Then the question becomes whether the LP wants to back the Partner/s that remain.  If there is high team turnover. The LP will want to investigate because team stability is used as a proxy for firm sustainability and ability to scale. 2️⃣ Fund Does not Execute on what they Sold the LP:  The LP “bought” something specific and typically it is because they were missing this strategy or wanted exposure to a strategy for the portfolio they were constructing. An institutional LP will invest and write a detailed investment memo flagging all the things you said you were going to do and then go back and compare when you come back to ask for money. If for example you pitched a generalist seed stage fund and you show up asking for money sharing that you invested in deeptech at A that will cause alarm. The same can be said for the number of companies you promised to invest in or check sizes you wrote. If there are big differences LPs will want to know why. 3️⃣ Bad Actions  The fund manager/s does something that is unethical. This is a no go for an LP.  What if the situation is not clearcut? This is different for everyone and requires discussions b/w GP and LP, but most LPs don't want headline risk. 4️⃣ Continuous Underperformance  If it's early days an LP will look at some key indicators to see how you are progressing over time.
