Last week, I had the pleasure of moderating a discussion on navigating FOAK in climate tech at the Greentown Labs Summit in Boston (which had >600 people!!). Here’s a quick rundown of what was shared by Katherine St. James of Spring Lane Capital, Paris Smalls, PhD of Eden GeoPower, and Hannah Friedman of Planeteer Capital: 🌱 What is the definition of FOAK? We discussed how the term can be controversial - it's almost too general because it doesn't identify what kind of "First" FOAK refers to - first team project? First geography? First of a technology in a sector? First time for the integration of a system? It's also too specific because it has the word "first" in it, which can be anathema to later stage / project finance investors. 💰 Partnerships for Funding FOAK Projects We discussed how important it is to build a blended capital stack & use off-balance sheet capital for a project so you're not using the most expensive equity dollars to fund an infrastructure project with low-ish IRR. We also talked through being creative about using corporate partners to provide in-kind services or ink some agreement (at least an LOI) to attract this funding. 🏛 Role of Government We talked about how government capital is seen by investors & how it can be catalytic for FOAK. Government capital can provide validation that a startup has passed a rigorous diligence process by a third party - and incentives like grants or credits can help improve returns for the first project- but it's important to be doing this in conjunction with getting customer validation and to be able to present line of sight to competitive economics without concessionary capital. 👥 Advice for FOAK startups The panelists offered some very specific pieces of advice for startups going through FOAK: how to get creative with things like revenue sharing agreements or convertible notes, getting smart with project development early on (like with DeveloperU), being careful about using FOAK too liberally with certain investor groups, getting the right commercialization / FOAK talent in and around you early Huge thanks to the panelists and the team at Greentown Labs (Jill Kirkpatrick, Julia Travaglini, Aisling Carlson, etc you rocked it!!) for hosting this discussion on bridging the FOAK gap. The Rise of SPVs in AI Startup Investments Special Purpose Vehicles (#SPVs) are increasingly popular among small investors, allowing them to pool their money to invest in coveted #startups like Anthropic, Groq, OpenAI, Perplexity, and #ElonMusk's x.AI. SPVs are formed by #investors with direct access to shares of these startups, who then sell a portion of their allocation to external investors, often charging significant fees and retaining a profit share. Early backers in sought-after #AI #startups exercise their pro-rata rights, creating opportunities for SPVs to acquire shares. VCs may offer access to SPVs to existing #limitedpartner investors or use brokers to reach a broader pool of potential investors. Some SPVs are formed on top of others, leading to complex layers of investment. Shares in certain startups, like Anthropic, became available due to events like FTX's bankruptcy auction, flooding the market with shares. SPVs can be formed alongside primary fundraising rounds, allowing small investors to participate simultaneously with major investors. While SPVs provide access to otherwise inaccessible investments, they come with high risks, as backers do not receive direct information about the companies. 🚗 Jeremy A. is an engineer and early stage startup operator who fulfilled his childhood goal of living & working in Boston, building his career where the rubber meets the road, friction and all 🚗 It's W1 / Q1 / 2025 and this week in our MGMT Boston up & coming operator series we’ve got Jeremy,  the Head of Enablement at Seed stage consumer marketplace & shop management platform TireTutor. In this role he owns technical partnerships and is responsible for setting the strategy for how they go to market as a team. He helps set the operating budgets, working closely with Founder & CEO Jason Abrahams and their investors. Jeremy also owns operations & enablement in terms of how their GTM team sells, packages their offerings, and how they deliver their service for customers from strategy to content to better achieve their goals. Heading into 2025, the TireTutor team is highly focused on operations after launching the first true all-in-one POS at the end of 2024, focusing on the key metrics that drive their business. 🗺️ 🧭 Navigating Tough Situations Drives Strategic Success 🧭🗺️ Navigating tough situations is a fundamental part of life in early stage startups. Jeremy’s hard won recipe for success? Get really close to customers, stay close to them, and live in your function. When TireTutor set their early GTM strategy, it was critical for them to be able to “talk the talk” of their customer base. More generally known as “domain expertise”. It was Jeremy’s experience, both by inexperience and logging all of those hours, that having a consistent “ground game” is what drives strategy. Not the other way around. Strategy comes from talking to 100s of customers and properly segmenting your market successfully because not all prospects and customers are created equal. TireTutor found that there were specific tire focused shops that fit their early platform really well. Then, over time, they also grew to serve shops who sold tires in addition to repair work. Each has a unique way of being prospected, closed, and serviced. 3 Career Insights / Learnings 🚪 Leave Ego at the Door - “Leaving your ego at the door and being open to what it means to be good at something and not so good at something is an important first step to succeeding in a startup environment. It took me time to embrace that!” 😤 Having Thick Skin - “Startups aren’t easy. You might get yelled at by your customers some days! Having thick skin is about being able to work through those challenges and around them each day to achieve your long term goals” 😅 All Problems Aren’t Problems - “We all have problems that we deal with. But just because there are challenges, doesn’t mean it's the end of the world. Not all problems need to be or can be solved. Someone broke down the estimated costs of a $15 Sweetgreen salad. We need these cost graphics for digital health to help future founders. Especially for tech enabled cos, the greatest cost is labor. Much of the "value created" is in curation and matching, which means the gross margins are reliant on labor arbitrage. Pay someone $X, but get paid $X+Y% per visit. The challenge with healthcare is that you often have to pick one of two business models: 1. specialized, low volume, high cost, low gross margin % 2. generalized, high volume, low cost, high gross margin % I'd argue founders should focus on gross dollars over the lifetime of the customer (like Jeff Bezos said) instead of gross margin %'s, but we'll leave that for another time. The challenge is that many tech enabled digital health cos have high cost of goods sold (labor) and moderately high product, design, and engineering budgets. We must build differentiated solutions for patients, clinicians, and clients to be out incumbents, however, we're realizing that companies are ultimately valued on the discounted value of future cash flows. And the high SG&A costs at most organizations might be inbalanced to the unit economics of the business. I'm not sure the math pencils out for everyone unfortunately. But I'm just a guy on the internet, would love to hear the thoughts from those smarter than I (you!). Comment below. --- p.s. I recently saw this metric from Carta’s 1Q24 VC Fund Report, which is very concerning. DPI... is nowhere to be found in earlier vintages that probably should start showing DPI. Funding early-stage projects is great, but ultimately, these venture dollars need to exit their investments and pay back their limited partners. That’s where the metric Distributed to Paid-In Capital (DPI) comes in. While managing a fund, we get interim measures during the life of the fund (e.g. IRR, MOIC), but ultimately, “you can’t eat IRR.” If you want to build a lasting venture capital organization, you need to start showing DPI for your fund. Keep in mind that this is traditional VC data from Carta, and is not strictly crypto venture. Crypto venture tends to get liquidity earlier (tokens) and things tend to go parabolic sooner (faster, more unicorns) - but I’d wager that the data here is somewhat similar for Crypto VCs… Not as much DPI as there should be from these earlier vintages. Why Buying Your First Business is the hardest & Financing The Fear is Being seen as too risky by lenders and investors. The Solution: Prepare a solid business plan with detailed financial projections. Work with a financial advisor to enhance your credibility. Consider alternative financing options like SBA loans or seller financing.
