Failing to conduct an effective privilege review can have dire consequences -- from exposure of highly confidential information to even waiver of the privilege. While identifying an attorney-client communication or attorney work product would seem to be an easy task, marked by clear indicia of confidentiality and when an attorney is providing legal advice, in practice, that is not always the case. Privileged documents are often not marked as such, and it is not always easy to tell who is an attorney or when an attorney is providing legal advice, especially when dealing with communications between a large company’s employees and their agents and advisors." BREAKING FCC TCPA NEWS The FCC has set dates for key regulatory updates to phone and text opt-outs. The previously delayed TCPA consent revocation updates will take effect April 11, 2025. In short, the updates are: 1) You must allow consumers to revoke consent in "any reasonable manner." 2) Opt-out requests must be processed within 10 business days. 3) You can send a one-time message within five minutes to confirm/clarify an opt-out (Already effective April 2024). On Nov. 12, the Consumer Financial Protection Bureau (CFPB) released a report examining federal and state privacy protections for consumers’ financial data. The #CorporateTransparencyAct (“CTA”), enacted by Congress in 2021 as an initiative to prevent illicit finance, went into effect on January 1, 2024. The CTA establishes disclosure requirements for “reporting companies” in the United States. Because failure to meet these disclosure requirements could result in civil or criminal penalty, we encourage any business entity to determine whether it is subject to the CTA and, if so, to take steps necessary steps to comply with the CTA’s requirements. The U.S. Department of Commerce’s Bureau of Industry and Security (BIS) issued a final rule that revises certain provisions related to the voluntary self-disclosure (VSD) process for exporters who believe that they may have violated the Export Administration Regulations (EAR). This final rule, which took effect September 16, 2024, also provides guidance on charging and penalty determinations in settlement of administrative enforcement cases. Separately, the U.S. Department of the Treasury’s Office of Foreign Assets Control (OFAC) also issued an interim final rule amending its Reporting, Procedures and Penalties Regulations by extending the recordkeeping requirements for certain transactions from five to ten years. This change is consistent with the updated statute of limitations for civil and criminal violations of U.S. sanctions enacted earlier this year.
