AUTUMN BUDGET ’24: CGT & BADR CHANGES 💼 From yesterday, the lower rate of Capital Gains Tax (CGT) will increase from 10% to 18%. The higher rate of CGT will increase from 20% to 24%. The rates for sale of residential property remain unaltered. The ‘carried interest’ CGT rate is increasing to 32% from April 2025, with further reform from April 2026 to tax it under income tax. ‘Carried interest’ is a share of the profits generated by an investment fund, paid out to the fund’s investment managers. Business Asset Disposal Relief (BADR) stays at 10% for 2024/25, then 14% from 2025/26, then 18% from 2026/27. The 14% difference between sales qualifying for BADR and the new main rate of CGT should be an incentive to move sales forwards to before April 2025. Company cash flow, or the lack of it, is the most common cause of limited company failure in the UK. When the cash in the business becomes squeezed, it becomes difficult to pay your debts on time, order raw materials, pay staff, fund marketing campaigns and operate effectively. Without additional funding or a customer payment to resolve the shortfall, the company can quickly become insolvent. At that point, you have a legal duty to act in the best interests of your creditors, which can lead to your company’s liquidation. Clearly, this is something you need to keep a close eye on. This time last week I was at A&M's EMEA Tax offsite meeting, embracing disruption. Also, this time last week, the Court of Appeal embraced disruption to VAT recovery on sell-side transaction costs by reversing the FTT and UT decisions in Hotel La Tour and taking us back to BLP some 29 years ago. Let me explain. HMRC v Hotel La Tour [2024] EWCA Civ 564 concerns whether VAT chargeable on sell-side transaction costs (e.g. advisor fees, marketing costs etc) can be recovered when the costs relate to a sale of shares, the proceeds of which are used to fund downstream business activities that are subject to VAT. This judgment has a significant impact on businesses engaged (or intending to be engaged) in corporate fund-raising through share disposals. More detail can be found in the attached case summary. EBITDA – a random collection of letters, a character from Star Wars or yet more accountancy jargon? 😉 If you’re a sole trader or small limited company, you might not be familiar with the acronym EBITDA.   It stands for Earnings Before Interest, Tax, Depreciation and Amortisation.   It measures company performance which strips out the effect of the tax and financing situation of a business.   Why does it matter?   EBITDA may be used – • by investors to compare different potential investment opportunities • by lenders to assess your company’s ability to pay back loans.   As with many accounting terms, it can be confusing so if you’d like to understand your company’s financial ratios and KPIs better, get in touch with us at Accounts Navigator   #profit #business #AccountsNavigator
