New Measures for Employee Ownership Trusts (EOTs) The government has introduced new guidelines for Capital Gains Tax relief when selling a controlling share to an EOT. Key highlights: 1. Ensuring former owners don’t retain control post-sale via the EOT. 2. Mandating UK residency for EOT trustees. 3. Requiring that sale prices to EOTs don’t exceed fair market value. 4. Adding information requirements for relief claims, with expanded timelines for relief withdrawal if EOT conditions are breached. 5. Clarifying tax treatment for EOT funds used to repay sellers. 6. Allowing directors to be excluded from EOT bonus distributions. 7. Adjusting conditions for Inheritance Tax exemption on transfers to Employee Benefit Trusts. There seems to be a cycle of around 3 years for calls to abolish BPR on AIM shares and to limit / restrict / abolish APR and/or BPR altogether. I can readily think of 'real' farming businesses which I've seen passed on under BPR and where there would be a forced sale or breakup of the land if tax had been payable. And also of cases where armchair investors have enjoyed considerable benefit from reliefs probably not targeted at them. There are no easy answers, and all systems have winners and losers. It is slightly disappointing to see the (factual, informative, and well respected) IFS using the rhetoric of 'closing loopholes' in their headlines, when what they mean is structuring affairs to make use of deliberately enacted statutory exemptions and reliefs.

It's led by Steve Rigby along with Irene Graham OBE Sam Smith Emma Jones Chris Hulatt and others who can put weight behind the findings. #NEentrepreneurs They are seeking the opinions and evidence from entrepreneurial businesses in the following 4 key areas: 1. Access to funding - government grants, loans, VC funds and barriers to accessing cash. 2. Tax incentives - how can tax regime be reformed to make UK more attractive for businesses aiming for growth 3. Growth and capital markets - improvements to capital markets including IPOs, liquidity and access to institutional investments 4. 📊 UK bank lending is set to return to growth this year.   According to our latest EY ITEM Club Outlook for Financial Services, signs of economic recovery are increasing the appetite of UK businesses and households to borrow, which should drive steady lending growth from 2024 to 2026.   But, as ever, optimism should remain measured. If history has taught us anything, it’s that market shocks can come at any time. There definitely appears to be continued encouraging signs in the M&A market. The latest BDO PCPI showed that deal volumes in the UK in Q2 of this year were at their highest since Q3 2021. Our latest 𝗠𝗮𝗿𝗸𝘁𝗹𝗶𝗻𝗸 Monitor also showed confidence amongst entrepreneurs, with 72% of European SME owners expecting the value of their business to increase in the coming year. It's therefore important for business owners to be aware of what opportunities may be available to them, whether they want to seek them proactively or should they come knocking. With our Monitor also showing that 40% of business owners aren't aware of the value of their business, there is a knowledge gap that holds back entrepreneurs from taking advantage of opportunities that may arise. Many could argue the tax rates in Silicon Valley is considerably higher than in the UK, but it comes with its own perks I guess. Which has been a big concern addressed by former Chancellor of the Exchequer Jeremy Hunt MP and LSEG (London Stock Exchange Group) whether stock market is struggling to attract new companies and that the most significant companies listed in London are "old economy". New HMRC Stats: Are you missing out on Patent Box relief? 💡 HMRC recently published their 2022-23 stats on R&D and Patent Box claims, and the findings are eye-opening. While 65,000 companies claimed R&D relief, only 1,600 elected for Patent Box! Lots of chatter on here about the potential abolition of Entrepreneur’s Relief in the upcoming Budget. BADR (Entrepreneurs’ Relief in old money) gives business owners a favourable 10% tax rate on their first £1m of gain on the sale of qualifying shares. It is widely considered to be a poorly targeted relief that does little to encourage entrepreneurship. There have been a few reports on this. Founders: you've issued new shares to your SEIS/EIS investors after receiving the investment funds - congrats! Now don't overlook the crucial company books 'housekeeping': 1 Update the share register 2 Issue share certificates 3 File form SH01 at Companies House (taking care with dates, £amounts etc) 4 SEIS / EIS compliance statements to complete and file with HMRC (further down the line) Your investors will expect you to get everything 'ship-shape' (and so will HMRC). Trust me, your future self will thank you for getting all the docs right from the start. (Feel free to reach out if you need any help)
