A topic keeps on coming up at the boards of many scale-ups who raised big rounds in 2021: “𝑶𝒖𝒓 𝒕𝒆𝒂𝒎 𝒒𝒖𝒆𝒔𝒕𝒊𝒐𝒏𝒔 𝒐𝒖𝒓 𝒍𝒂𝒔𝒕 𝒗𝒂𝒍𝒖𝒂𝒕𝒊𝒐𝒏 𝒂𝒏𝒅 𝒊𝒔𝒏’𝒕 𝒔𝒖𝒓𝒆 𝒉𝒐𝒘 𝒕𝒐 𝒂𝒔𝒔𝒆𝒔𝒔 𝒕𝒉𝒆 𝒗𝒂𝒍𝒖𝒆 𝒐𝒇 𝒕𝒉𝒆𝒊𝒓 𝒐𝒑𝒕𝒊𝒐𝒏𝒔—𝒉𝒐𝒘 𝒅𝒐 𝒘𝒆 𝒓𝒆-𝒂𝒍𝒊𝒈𝒏 𝒂𝒏𝒅 𝒓𝒆-𝒊𝒏𝒄𝒆𝒏𝒕𝒊𝒗𝒊𝒛𝒆 𝒕𝒉𝒆𝒎 𝒅𝒆𝒔𝒑𝒊𝒕𝒆 𝒕𝒉𝒆 𝒉𝒆𝒂𝒗𝒚 𝒍𝒊𝒒𝒖𝒊𝒅𝒂𝒕𝒊𝒐𝒏 𝒑𝒓𝒆𝒇𝒆𝒓𝒆𝒏𝒄𝒆𝒔 𝒐𝒏 𝒐𝒖𝒓 𝒄𝒂𝒑 𝒕𝒂𝒃𝒍𝒆?" If you are in this situation, and believe your company hasn’t grown into its past valuation, here is what you should do right away (special thanks to our resident compensation expert Isaiah Baril-Dore for the recommendations): 1️⃣ 𝐑𝐞𝐩𝐫𝐢𝐜𝐞 𝐢𝐟 𝐲𝐨𝐮 𝐡𝐚𝐯𝐞𝐧'𝐭 𝐲𝐞𝐭. Keep the vesting schedule, option count, and award terms unchanged, but amend the strike price to reflect the latest 409A. One caution: this is more complex in some geographies, so you’ll want to do a tax/ESOP review first. 2️⃣ 𝐑𝐞𝐯𝐢𝐞𝐰 𝐜𝐚𝐬𝐡 — 𝐞𝐬𝐩𝐞𝐜𝐢𝐚𝐥𝐥𝐲 𝐟𝐨𝐫 𝐥𝐨𝐧𝐠-𝐭𝐞𝐧𝐮𝐫𝐞𝐝 𝐞𝐦𝐩𝐥𝐨𝐲𝐞𝐞𝐬. When base salary adjustments happen in later funding rounds, early employees tend to get left behind. Make sure you’re paying them fairly for the role they’re doing today. This isn’t about an annual bonus; it’s about setting clear, competitive salary bands and expectations. 3️⃣ 𝐃𝐨𝐮𝐛𝐥𝐞 𝐝𝐨𝐰𝐧 𝐨𝐧 𝐩𝐞𝐫𝐟𝐨𝐫𝐦𝐚𝐧𝐜𝐞. Your share pool is limited. Launch a talent review, encourage leaders to work with HR to identify top performers, and focus your equity grants on this group. Rather than granting equity yearly to 80% of your team, consider awarding it semi-annually to your top 20%. 4️⃣ 𝐑𝐞𝐭𝐡𝐢𝐧𝐤 𝐧𝐞𝐰 𝐡𝐢𝐫𝐞 𝐠𝐫𝐚𝐧𝐭𝐬. Are all roles eligible for options? Do you need to change vesting schedules to reduce ESOP burn (e.g., one-year grants or front-weighted, smaller awards)? 5️⃣ 𝐓𝐫𝐢𝐩𝐥𝐞 𝐝𝐨𝐰𝐧 𝐨𝐧 𝐞𝐱𝐞𝐜 𝐩𝐞𝐫𝐟𝐨𝐫𝐦𝐚𝐧𝐜𝐞. They have the highest “opportunity cost” of staying, so review their ESOP holdings closely. Make meaningful grants with clear performance triggers that drive value for them, the business, and investors (think profitability and exit-related milestones). 6️⃣ 𝐂𝐨𝐦𝐦𝐮𝐧𝐢𝐜𝐚𝐭𝐞 𝐨𝐩𝐞𝐧𝐥𝐲 𝐰𝐢𝐭𝐡 𝐬𝐭𝐚𝐟𝐟. If your last valuation was in 2021 and you’re still using it as a baseline for ESOP grants and employee bands, reassess and reset your valuation. Talk candidly about why this change is happening and share your plan for moving forward. 7️⃣ 𝐑𝐞𝐭𝐡𝐢𝐧𝐤 𝐡𝐞𝐚𝐝𝐜𝐨𝐮𝐧𝐭. To manage burn and maximize impact, your talent bar needs to be higher than ever. Gone are the days when boards were comfortable with 4-7% annual ESOP burn rates and yearly valuation doubles. Invest in your top talent through ESOP and stretch opportunities. Understanding the Rule of X for SaaS Scaleups For SaaS scaleups, the Rule of X offers a straightforward framework to estimate revenue multiples. It was originally developed by Bessemer Venture Partners and supplemented with data last week by Dealroom founder Yoram Wijngaarde. It emphasizes that growth significantly outweighs profitability, even amid VC crunches. However, when growth is constrained, profitability becomes essential. Framework Overview: The Rule of X combines growth rate and free cash flow (FCF) margin to evaluate company value, using a multiplier (typically 2-3x) on growth. Datadog Example: With a 25% growth rate and a 25% EBITDA margin, Datadog achieves a Rule of X score of 100%, implying a 15x revenue multiple for 2024. Importance of Growth: Growth has a compounding impact on valuation, significantly outweighing FCF margins. Ask my partners Evan Allen Blair Merlino JT Benton and they'll tell you I'm a glutton for asking and figuring out not just what works, but how things work, and why. Perhaps it's the researcher side of me, but I get uneasy relying on heuristics/patterns without knowing what's causing it, not just for an intellectual curiosity standpoint, but because it introduces uncontrolled risk into the business. Power law is a classic example of this. Sure, it tends to work for large enough funds over a long-enough duration. To the degree that trend holds, everything is fine. If the trend all of a sudden breaks (some evidence suggests that may be happening in real time), then all of a sudden a lot of GPs and LPs are going to get crushed and no explanation or understanding as to why. As studio builders we don't rely on power law. We constantly develop and fine-tune our ventures to learn and master what is driving their value. We are by no means perfect, but in our estimation we're asking the right questions and seeking the right answers versus relying on a trend and hoping for the best.

𝗔𝗿𝗲 𝘃𝗲𝗻𝘁𝘂𝗿𝗲 𝗰𝗮𝗽𝗶𝘁𝗮𝗹𝗶𝘀𝘁𝘀 (𝗩𝗖𝘀) 𝗳𝘂𝗻𝗻𝘆? While brainstorming for a light-hearted April Fool's article, my editor and I debated on Slack whether VCs are inherently funny. The concept of venture capital itself often seems humorous, as demonstrated by HBO's Silicon Valley, where VCs deliver some of the show's funniest lines. But when it comes to VCs being funny in and of themselves, it's subjective. While I find some VC-created content humorous, other attempts, such as certain VC podcasts or holiday music videos, can come across as forced or even smug. However, not all VC humor misses the mark for me. The mockumentary series Bubbleproof is a notable exception, providing genuine laughs, particularly with its insider jokes and surprisingly competent performances from its VC cast. When I asked if VCs think of themselves as funny, Bessemer's David Cowan replied that they do, but often in a self-deprecating way. This perspective is consistent with the inherent risks of venture capital and mirrors the risks that comedians take with humor. So can VCs be funny? It seems so, especially given the unpredictable nature of the startup world. The funniest moment for me came from a conversation with an investor about the most absurd startup pitches, proving that humor often finds its way into the venture scene. #VC #SiliconValley #Investing #Fintech

The “More Fundraising” Trap 🎣 How can VCs build their track record if they usually aim to exit after 5 to 7 years (as promised to their LPs)? By valuing their portfolio. And to show that their portfolio’s value is increasing, they need two things: They need startups to raise another round of funding at a higher valuation. They need a liquidity event to exit (the startup being acquired, going public, or selling to other investors). So, they want you to take on the maximum possible risk because they accept losing 7 out of 10 times. Meanwhile, founders are playing an “all or nothing” game because the startup is everything they have. You need to ask yourself if you’re ready to take on that level of risk, knowing that you might have more control and a better chance of success if you grow on your own without external funding. P.S: I have nothing against the VC-backed path, As I am currently raising funds from VCs for the Startups I’m on the Board of Directors of, And I’ve seen the great benefits of having VCs involved.
