Sharing an interesting report from KT&Partners who published an analysis on our company and stock prices. One of the biggest values we add to our customers is the transparency, the regulation and fair analysis of the work we do at Cloudia Research. As we start in Valencia, we are looking to expand our partnerships, delivering value for our customers and continue growing with them as we go forward. "Fair Value changed to €4.05p.a. (from €5.39), potential upside of +100% on the market price, ADD rating. Cloudia Research inaugurated in May 2024 in Spain, in Valencia, the new Innovation Hub, a reference point for innovation and professional training for internationalization. Through the Academy project, launched in Messina in 2021 and replicated in collaboration with the University of Valencia, the new Junior members of the team will be recruited. After the close of the first period of exercise of the warrants (from 17 to 21 June), 964,891 warrants out of 2,388,000 (approx. 40%) were converted, and an equivalent number of new shares were subscribed at a price of €2.185 for a value of €2.1mn. After conversion, the total number of shares outstanding increased to 5,319,891, with Finaime Srl at 42.3% (51.5% of voting rights), Eiffel Investment Group at 8.4%, Algebris Investments at 6.4%, treasury shares at 2.8% (buy-back concluded in October) and free float at 40.1%. The final exercise window is scheduled for June 2025, with a strike price of €2.85. In 1H24 Cloudia Research reported sales revenues of €3.1mn, +6% Y/Y. Total revenues amounted to €4.2mn, +24% YoY, due to the greater focus on direct sales to customers (73% of total sales vs 45% in 1H23). EBITDA was €0.5mn, impacted by higher governance and personnel costs from the IPO and expansion. Net profit stood at €0.33mn, +45% y/y after deferred tax assets. The NFP improved to €1.5mn of net cash, thanks to the exercise of the Greenshoe option and the conversion of warrants."

For established companies who want to explore platform business models, you do not have to drop everything and become a platform. By adopting what Daniel Trabucchi and Tommaso Buganza call "Platform Thinking," you can create a platform in your existing linear value chain company. In fact, established companies have some advantages over startups when it comes to creating platform models. They have customers, a brand, knowledge, relationships, and data that give them a leg up over companies starting from scratch. Take NVIDIA for example. Satispay Raises €60 Million to Drive Expansion and Secure Market Leadership Satispay raises €60 million to fuel growth, expand into new services, and solidify its position as a paytech leader. With new funds, the company plans strategic acquisitions, further user growth, and a record hiring drive as it pursues market leadership in welfare services. November 1, 2024 – Italian paytech leader Satispay has secured an additional €60 million in funding, bolstering its status as a unicorn. This latest capital infusion follows previous rounds of €90 million and €320 million, elevating the company’s valuation and growth potential. According to Il Corriere , the funding once again comes from top investors Addition, Greyhound Capital, and Lightrock, with approval from the Italian government under Golden Power regulations. A Strategic Boost for Growth This new funding will enable Satispay to accelerate its ambitious plans for acquisitions, grow its customer and merchant base, and significantly expand its tech team. From just 280 employees at the end of 2022, Satispay now has 670 team members, with plans for the largest hiring drive in its history next year. Expanding into New Sectors and Services In 2023, Satispay made key moves by entering the meal voucher market and launching fringe benefits, positioning itself to provide a full spectrum of welfare services. With a target to lead the market within five years, the company is set to further innovate and enhance its offerings. Financial Milestones and Governance Enhancements At the start of 2024, Satispay had €90 million in cash and was executing an approved investment plan despite projected losses of €55 million. Impressively, losses came in under €45 million, and with this fresh capital, the company’s cash reserves are projected to exceed €100 million. Alongside the financial expansion, Satispay’s governance has evolved: the three founders—Alberto Dalmasso, Dario Brignone, and Samuele Pinta—will regain majority control through a change in voting rights, moving from three to five votes per share. Additionally, 15% of the company’s value has been allocated to employees through stock options. Record Growth in Consumer and Corporate User Base Satispay’s momentum is visible in its expanding user base. Corporate clients using its welfare services have surged from 5,000 to 12,000 since January, while employee users rose from 12,000 to 50,000. The app’s consumer base has now exceeded 5 million users, with net revenues expected to reach €45 million by year-end, a 60% increase from €28 million last year. This latest funding underscores Satispay’s commitment to leading the paytech space, bringing cutting-edge financial solutions to consumers and businesses alike.
