CCI: CLOSES DOMINANCE ABUSE COMPLAINT AGAINST ATOMIC ENERGY DEPT.; CITES EXEMPTION UNDER PURVIEW OF ‘ENTERPRISE’ CCI closes complaint filed by Metallurgical Products India Pvt. Ltd. (Informant - engaged in converting & processesing ores) against the Dept. of Atomic Energy (OP 1/DAE) and IREL India Ltd. (OP 2, mines rare earth minerals), inter alia alleging abuse of dominant position by the OPs by following discriminatory practices of arbitrarily foreclosing the market and not granting import license to the Informant but allowing public sector units to carry out the same activities; The Informant's grievance pertained to violation of Sec. 4 of the Competition Act, 2002 by the OPs, regarding - (i) refusal to renew the off-take agreement after 2017 for processing of Uranium contained Leach Residue, (ii) rejection of import licenses applications for Columbite and Tantalite ores, (iii) refusal/non- approval of an alternate disposal plan, and (iv) conduct of OPs resulting in limiting the Informant’s business and operations, as also restricting its entry in the relevant market; Perusing the definition of ‘enterprise’ u/s 2(h) of the Act and the Government of India (Allocation of Business) Rules 1961, which provides that the administration of Atomic Energy Act, 1962, including control of radioactive substances and regulation of their possession, use, disposal and transport is the exclusive responsibility of the DAE, CCI observes that, “…it is amply clear that DAE is exempted from the purview of ‘enterprise’ in terms of the provisions of the Act. Accordingly, conduct of DAE does not invite scrutiny under the provisions of the Act. Furthermore, the Commission notes that the IREL has no role to play in renewal of the off-take agreement, rejection of import licenses, and non-approval of an alternate disposal plan.”; W.r.t. Informant’s allegations regarding stoppage of import license and alternate disposal plan, CCI points out that both these activities are under the exclusive domain of the DAE and the offtake agreement by IREL was not renewed on the direction of DAE since the Informant requested DAE to advise Uranium Corporation for finalizing the agreement in place of IREL, indicating the fact that such off take agreements are entered into only on the direction of DAE, thus, all the allegations are essentially against DAE and IREL has no role to play in renewal of the off-take agreement and non-approval of an alternate disposal plan; In conclusion, the Commission accordingly remarks that, “…since no prima facie case is made out either against DAE or IREL, the matter may be closed u/s 26(2) of the Act forthwith. Consequently, no case for grant of reliefs as sought u/s 33 of the Act arises.”:CCI The order was passed by Ms. Ravneet Kaur (Chairperson), Mr. Anil Agrawal (Member), Ms. Sweta Kakkad (Member) and Mr. Deepak Anurag (Member).

HC: DIRECTS LENDERS’ CONSORTIUM TO RELEASE PLEDGED SHARES, UPGRADE JINDAL THERMAL'S NPA STATUS TO STANDARD Delhi HC allows writ petition filed by Jindal India Thermal Power Ltd. (JITPL/Petitioner) against a consortium of 13 lenders (collectively, Respondents) inter-alia seeking directions to the Respondents to forthwith release the pledge over equity shares of the Petitioner in terms of the Master Resolution Agreement (MRA) entered between the parties; As to the Petitioner's grievance, that despite making full pre-payment of the Resolution Amount of Rs. 2450 crores, the Respondents refused to release its secured assets, HC observes that, however, the banks had agreed to release only 63.59% pledged shares and retain 10% equity shares to be transferred and distributed amongst themselves as a one-time settlement between the parties; Court elaborates on the relevant clauses of the MRA and relies on a catena of judgments to crystallize that the MRA itself stipulates that 10% transfer of the equity shares has to be done validly as per law of the land, hence, the Court cannot be oblivious of the fact that the lenders in the present case being banks, hold public money, which has to be safeguarded by all means, furthermore, HC states that the valid transfer of equity shares in favour of the lenders would include execution of a Share Purchase Agreement; Further, underscoring that the money with the banks is not a private fund, but a public fund, HC highlights that the Petitioner is seeking to enforce specific performance of a private agreement, i.e. the MRA, hence, it ought to have invoked the jurisdiction of civil courts to seek specific performance of the MRA, but ultimately rules that, “Upon working out the said modalities, requisite steps shall be taken by all the parties, including the Petitioner-company and Respondent-Lenders, in regard to valid transfer of the equity shares of the Petitioner-company in favour of the respective Respondent-Lenders in proportion to their shares.”; In conclusion, HC directs that - (i) the Respondent-banks shall hold a Joint Lenders Meeting to work out the modalities for valid transfer of 10% equity shares of the Petitioner to the Respondent-Lenders, (ii) the Respondent-banks shall release the pledge over the balance equity shares of the Petitioner and release the security created by it in favour of Punjab National Bank and, (iii) the Respondent-banks shall also upgrade the status of the Petitioner’s account as “standard" from the earlier NPA status and update the same in the Central Repository of Information on Large Credits:Delhi HC The judgment was delivered by Justice Mini Pushkarna.

What is Infrastructure ? The term infrastructure is covered under various regulations like Income Tax (80 IA), RBI regulations and Department of Economic Affairs publishes harmonized list of Infrastructure. https://lnkd.in/dwcn6xaR What is fundamental difference of Trust Retention Account and Escrow Account Agreement ? The concept of a Trust Retention Account (TRA) is specifically addressed in the RBI guidelines, particularly for infrastructure projects. According to the RBI, a TRA is a mechanism to ensure that the cash flows generated by a project are used to meet the debt service obligations before any other cash outflows are permitted. This is especially crucial in the financing of infrastructure projects where large investments and long gestation periods are involved . In contrast, an escrow account is a more general financial arrangement where funds or assets are held by a third party (escrow agent) on behalf of two other parties that are in the process of completing a transaction. The escrow agent releases the funds or assets only when certain conditions or contractual obligations are met. The primary differences between a Trust Retention Account and an escrow account are: 1. Purpose and Usage: TRA: Specifically used in project finance, especially for infrastructure projects, to manage cash flows and ensure debt servicing. Escrow Account: Used in a variety of transactions, not limited to project finance, to ensure that conditions or obligations are met before the release of funds or assets. 2. Regulation and Requirements: TRA: Governed by specific RBI guidelines and is often a requirement in project financing to manage risk and ensure proper use of funds. Management and Control: TRA: Typically managed by a trustee who oversees the allocation of funds as per the pre-agreed terms. Escrow Account: Managed by an escrow agent who acts as a neutral third party to hold and release funds based on the fulfillment of contractual conditions. These distinctions ensure that TRAs are particularly suited for large-scale, long-term projects with significant financial stakes, whereas escrow accounts provide a broader application across various types of transactions. The Securities Exchange Board of India (#SEBI) has issued a circular aimed at extending cross-margin benefits for offsetting positions with different expiry dates, effective from July 23, 2024. This move underscores SEBI's commitment to safeguarding investor interests and ensuring the efficient regulation of the #securities market. 🔴Understanding Cross Margin Benefits Cross-margining is a mechanism that allows traders to utilize excess margin in one account to meet the margin requirements in another, thereby optimizing the use of available margin across multiple accounts. By facilitating the transfer of excess margin, cross-margining enhances liquidity, reduces margin requirements, and lowers net settlements. Notably, the National Stock Exchange (#NSE) introduced a cross-margining facility in January 2020. 🔴Key Provisions of SEBI's Circular SEBI's circular delineates specific scenarios and corresponding margin requirements for obtaining cross-margin benefits. In Situation I, where correlated indices have different expiry dates, a spread margin of 40 percent will be imposed, while a 30 percent spread margin continues for indices with the same expiry date. Similarly, in Situation II, involving index and constituents with differing expiry dates, a 35 percent spread margin applies, with a 25 percent margin for identical expiry dates. 🔴Implementation and Monitoring Mechanisms To ensure compliance and effectiveness, #SEBI directs exchanges and clearing corporations to establish monitoring mechanisms to track participants' cross-margin activities. Additionally, the circular stipulates that the spread margin benefit will cease at the start of the expiry day of the position expiring first if the expiry dates of both legs of the position differ. Notably, while these changes extend cross-margin benefits, existing requirements and regulations concerning cross-margining remain unchanged and applicable. SEBI's proactive approach to enhancing cross-margin benefits reflects its commitment to fostering a transparent, efficient, and investor-friendly securities market in India. On December 27, 2024, SEBI has issued new guidelines for share transfer involving Investment Advisors (IAs), Research Analysts (RAs), and KYC Registration Agencies (KRAs). According to the guidelines, transfers of shares between close relatives in unlisted companies will not be considered a 'change in control'. However, in privately owned companies, any change of ownership needs the approval of SEBI. Share transfer in partnership firms with two or more than two partners is not considered as a change of control, but in case there are only two partners and one dies, the firm needs to be re-registered with the new partner. #IBC 8 years and evolving !! Every case with some real juice has seen whole lot of litigation. A commercial law designed to resolve the insolvency through a transparent and consistent set of rules, processes & a balanced framework has got reduced to a ‘procedural’ law which in the name of ‘transparency’ has reduced the professionals to ‘compliance clerks’. They get a definite time lines (shorter than what is required most of the times) to complete the strict procedures, fill the forms and file reports. Any delays there are not taken lightly. But all these claims about the quicker resolution go out of the window post the COC has done its job. Invariably the real action or should we say, tug of war, starts when COC has used its #commercialwisdom to shortlist & approve the resolution plan/applicant. Objections, delays, allegations & counter allegations filed with NCLT mark a beginning of a new journey while application of closure of CIRP of the CD is pending. Further more, orders of NCLT’s are so frequently being challenged at NCLAT and are getting stayed. The definition of ‘stay’ apparently changes every time depending on case to case. One can never be sure what actually is stayed and what would continue. Were we expecting the law to stabilize atleast by now. Is there a clash between ‘principles of natural justice’ & ‘enforcement of contract’ ? Is there too much use of ‘discretion’ where there should be none? Are the inconsistent orders and judgements leading to more confusions in the stakeholders? Is NCLAT being too liberal to allow appeals and grant stays…? Or there is a problem at the output from NCLT’s ? How come SC gets so frequently involved in almost every other IBC case ? Was it not supposed to deal with the question of law…? Unless the “law” is not being applied properly at the the lower forums ? Somewhere something seems amiss ? Is it the process, procedures, rules, regulations, the code, the protocols, regulator, judiciary, or the entire IBC eco-system which requires a fix /overhauling. Many questions remain unanswered as certainty /finality in IBC seems a thing of past…😔 Reporting (that too half baked) too leaves a lot to be desired on facts, understanding and authenticty…. A case of NCLAT order suffering from internal inconsistency and pointed out by Supreme Court says something about the situation on ground. Hence I say, IBC is 8 years & (still) evolving..!! Or is refusing to evolve

The Advertising Standards Council of India (ASCI) has issued its Annual Complaints Report for 2023-2024. #ASCI scrutinized 8229 #advertisements (April 2023 to March 2024), with 94% resulting from proactive work. A total of 98% of the ads required modification, with 49% not contested and promptly modified or withdrawn. Additionally, 19% of the ads were in direct violation of the law, including those related to #drugs #foodandbreverage, #consumercare & #offshorebetting ads. The #healthcare sector was the most violative with 1569 ads (accounting for 39% of processed advertisements) , followed by illegal/betting ads with 1336, and #personalcare with 1041 ads. In the healthcare sector, misleading ads were found to exploit consumer trust, with 99% of 1575 ads requiring modification. The personal care sector saw increased scrutiny of D2C brands & #influencer disclosures, with 98% of 1064 ads requiring modification and 67% not contested. The #ed-tech sector witnessed a significant rise in influencer-promoted ads, with 99% of 142 ads requiring modification & 64% not contested. The baby care sector saw 81% of 91 ads from influencer promotions without disclosure, with 99% requiring modification & 76% not contested. The Food and Beverage (F&B) sector received significant attention. ASCI processed 783 ads in this sector, identifying various violations necessitating modifications. A substantial portion of these ads was found on digital platforms, with a significant number of violations related to influencer promotions. Many F&B ads were flagged for non-disclosure of paid partnerships by influencers, which misleads consumers regarding the authenticity of endorsements. Additionally, several F&B ads made unsubstantiated #healthclaims, such as promises of weight loss or improved health benefits without #scientific evidence. There was a 12.75% increase in complaints compared to the previous year. Complaints originated from various sources, including the general public (20%), intra-industry (1.5%), government (0.4%), consumer organizations (0.4%), and ASCI’s suo-motu initiative (77.7%). Most of the ads scrutinized appeared on digital media (85%), followed by print (11%), TV (3%), & other media (1%).Overall compliance was 80%, with print and TV compliance remaining high at 97%, while digital ad compliance was 75%. #Influencer violations accounted for 1702 complaints, with 76% not contested. #Celebrity guideline violations were found in 101 processed ads, with 91% in violation. ASCI reported 1311 betting ads, 1249 ads of drugs and magic remedies, 493 real estate ads, 82 liquor promotion ads, and 65 e-cigarette and vape ads to various ministries for direct violation of laws.
