This legal article underscores the criticality for companies to embrace Environmental, Social, and Governance (ESG) practices, emphasising the importance of transparency, authenticity, and accountability in advancing sustainability goals and mitigating the risks of ESG greenwashing. The narrative navigates through international frameworks and tools, explicitly recommending adherence to the U.N. Principles for Responsible Investment (UK PRI) and the U.K. Stewardship Code to elevate reporting standards in line with global and national benchmarks. The article delves into the legal and compliance landscape, shedding light on obligatory requirements for companies operating in the U.K. and E.U. It elucidates vital legislations like the Companies Act 2006 and the Non-Financial Reporting Directive (NFRD), outlining their role in shaping the regulatory framework that mandates companies to disclose crucial ESG-related information. In conclusion, the article underscores the significance of adhering to legal and compliance obligations and offers strategic recommendations for companies to bolster their ESG practices. These recommendations include the imperative of conducting a materiality assessment, formulating a comprehensive ESG policy, engaging stakeholders effectively, implementing robust monitoring and reporting mechanisms, and fostering a commitment to continuous improvement in ESG performance. Through this legal lens, the article advocates for a holistic and legally sound approach towards ESG integration in corporate practices. Authored by Kamil Daniel A. Insights into the prevailing trend of heightened scrutiny and regulatory changes impacting Centralised Exchanges (CEX) in Europe and North America. Throughout the final quarter of 2023, our focus has centred on updates indicating reduced services, challenging the preparedness of the leading exchange for the imminent Crypto Asset Regulations Market (MiCA, as detailed in our earlier article).

The decline of FTX and Binance, once predominant figures in the centralised exchange realm, underscores the evolving landscape of the cryptocurrency industry. Regulatory obstacles, security considerations, and the ascent of decentralised alternatives have reshaped how traders and investors engage with digital assets. While central exchanges like Binance maintain relevance, the future leans towards decentralisation. Decentralised exchanges and DeFi platforms provide heightened autonomy, security, and accessibility, aligning with the core principles of blockchain technology. As the crypto industry continues evolving, the question arises: Can CEXs adapt and reclaim their former prominence, or will decentralised solutions persist in reshaping the financial landscape?

Since the downturn of FTX, the spotlight has shifted to Binance as the world's largest active exchange group operating globally. However, instead of seizing an opportunity for growth, Binance faces escalating regulatory scrutiny, necessitating the restriction of offerings and a strategic reshaping of its business suite for compliance. This transition from expansion to adaptation is crucial as the crypto industry undergoes another transformative phase.

This comprehensive analysis delves into the intricate dynamics of crypto asset regulation within the European Union (EU) through the lens of the Markets in Cryptoassets (MiCA) Regulation. By meticulously navigating through the regulatory landscape and its synergies with existing EU laws, this article sheds light on the convergence and discernible disparities that shape the present and future of crypto asset markets. The report commences with an overview of the current status of crypto asset regulation. Definitions extracted from the MiCA Regulation provide a solid foundation for understanding the regulatory framework's nuances.

A focal point of the study is the orchestrated equilibrium achieved by MiCA in regulating crypto assets. This balance between stimulating innovation and upholding financial stability underscores the EU's dedication to adaptability. Through various legal orchestration, MiCA strives to create an environment that nurtures growth while safeguarding against potential risks from any financial market mishap.

The heart of the commentary lies in the intricate interplay between MiCA and a diverse array of EU laws. Each legal instrument examined, including the Payment Services Directive (PSD2), Anti-Money Laundering (AML), Counter-Terrorist Financing (CTF) Regulations, Markets in Financial Instruments Directive II (MiFID II), the Digital Services Act (DSA), Digital Markets Act (DMA) and Environment Social Governance (ESG) principles will interact with the MiCA. Thus the executive summary of MiCA's implementation timeline presents a dynamic perspective to adapt to the evolving crypto domain while constantly catching up to evolving technology. In conclusion, this research encapsulates the synergy and dissonance that define MiCA's intricate dance with EU laws, projecting it as a regulatory instrument with the power to shape the trajectory of crypto asset markets within the expansive realm of the European Union.

Edited by Alastair Marke, Blockchain and Climate Institute, Michael Mehling, Massachusetts Institute of Technology, Fabiano de Andrade Correa, Blockchain and Climate Institute.

    Abstract:
Carbon markets involve complex governance challenges, such as ensuring transparency of emissions, facilitating as well as recording transactions, overseeing market activity and preventing abuse. Conventionally, these have been addressed with a combination of regulatory, procedural and technical structures that impose significant burdens on market participants and administrators while remaining vulnerable to system shocks and illicit practices. Distributed Ledger Technology (DLT) has the potential to address these problems. This volume offers the first book-length exploration of how carbon markets can be governed using DLT, offering conceptual and theoretical analysis, practical case studies, and a roadmap for implementation of a DLT-based architecture in major existing and emerging carbon markets. It surveys existing expertise on distributed ledger technology, provides progress updates from industry professionals, and shows how this technology could offer a cost-effective and sustainable solution to double-counting and other governance concerns identified as major challenges in the implementation of carbon markets.

Proud to announce the release of our latest joint legal article to the Carbon & Climate Law Review, for which I took part as an author with Alastair Marke FRSA FRGS and Sarisha Ramanand on behalf of Blockchain & Climate Institute. With COP26 having been deferred, the opportunity for climate law publications could not attain at a better point.

    Abstract:
The Paris Agreement of COP21 distinctly recognises the issue of climate change loss and damage with Article 8 in the main text and Paragraph 51 in its decision text. The Parties at COP22 in Marrakesh 2016 approved a strategic workstream for the Warsaw International Mechanism for Loss and Damage’s Executive Committee to guide the implementation of the Mechanism’s function of enhancing action and support (including finance, technology and capacity-building) to address loss and damage, with the next progress review in 2019. International negotiations on loss and damage did not see considerable progress at COP23 in Bonn. Financial interests still took priority at COP24 to halt accounting mechanisms. COP25 also failed with a lack of consensus amongst post-2020 tasks such as art 6.With reference to some evolving legal principles in other related fields of international law and civil environment cases in Germany, United States, India and China, this paper will examine possible options to prove causal links between the economic activities of developed countries and loss and damage associated with the impact of climate change for developing countries against the backdrop of the Sendai Framework. An alternative standard of proof for climate change loss and damage-related litigations would culminate into a quasi-loss-and-damage compensatory response for countries more vulnerable to the impact of climate change. It could support the implementation and amplify the effectiveness of the Sendai Framework for Disaster Risk Reduction.

With technological and scientific advancement, reporting should aim towards quantified emissions standards which go beyond languages and textual reports. Without reporting, there is no accurate way to measure progress towards objectives. One criticized aspect of the current preventive mechanisms involves the lack of scientific and technological data. Only 15% of emissions are currently covered by emissions taxes and pricing. Presently, for the climate change regime we must rely on the Paris Agreement (Paris), the latest attempt for universal compliance by gathering currently 196 parties. We are still not where we aim to be. Article 10 of the Paris Agreement points to an important need for new technology to be developed in response to climate change issues.

Blockchain is a newly originated online technology to be highly useful in various regimes, from banking, to public health, carbon credits, etc. Blockchain consists of a network of databases that are crypto-encrypted. The network can be updated directly between parties without the need of a central intermediary, (i.e. a Bank, Government, Treaty secretariat).

In case of absolute noncompliance with article 13 of the Paris Agreement, the use of judicial recourses while not ideal, as bypassing prevention per se, should be available and count the Nationally Determined Contribution (NDC) submission as unilateral acts declared by states under international law.
