On November 15, the EC organized a one-day seminar on preparing to apply the European sustainability reporting standards (ESRS). Here’s an extract of some of my key takeaways from session 1. Sean Berrigan, DG FISMA EC, opened by reminding us that ESRS are a necessary part of the EU Green Deal, expected to reinforce EU’s resilience and competitiveness, as well as reduce the risk for financial instability. “The new rules have far-reaching consequences.” Increased access to information will shape company strategy, and drive transformation and governance. But new systems, skills and processes are now needed, which also brings costs and uncertainty. So, the single most important message is to prepare in a proportionate and pragmatic way, applying common sense, with a learning mind-set. Don’t report more information than required. Make decisions on what is important and use the phase-in measure provisions. “Reporting will improve over time, probably rather quickly.” Nathalie Dogniez, Director of EUROSIF, voiced investors’ desperate need of easy access to granular and independently verified ESG data, and transparency on methodology and preparation, to make informed investment decisions - particularly from a risk point of view - and evaluate future revenue potential. Patrick de Cambourg, Chair of EFRAG SRB, also stressed the need to create a modern data environment, and that digitizing will play a key role in reducing burden. In a modern world, information has to be digitized - if not, the vacuum will be filled by private providers. But it’s important not to overkill – report only what is material. Apply common sense, it’s not a tick-box exercise, materiality is pivotable. “Judgement is key – no thresholds fit all.” It’s a novel phase. In time we will have merging practices. Tim Mohin Partner and director at BCG, reminded us that “sunshine is the best disinfectant”, and that information triggers change. “Prepare to comply but also to use the information in strategy – it’s a management strategy exercise, not a tick-box exercise”. Benedetta Testino, Partner at BCG, explained that some companies aim for minimum compliance in a cautious approach. The most advanced leverage CSRD as a platform to showcase achievements to the market. Niels Strange Peulicke-Andersen, Head of ESG Accounting at Orsted, stressed that the first year was about filling the gaps, especially for qualitative datapoints since they already had the metrics more or less under control. Orsted started one year in advance, which gave them time to build a new structure and understand what it was about, without the need for auditing. Now they are “in a good place with the reporting, and the focus has moved to how this will this change the company”. It has created a new platform to work with sustainability in a structured way, aligning the process across all material topics. 🌐 EFRAG & CDP Announce Extensive Interoperability Between CDP Questionnaire and the European Sustainability Reporting Standards EFRAG and CDP, announced today at #COP29 extensive commonality and interoperability between CDP and the ESRS. This marks a significant step towards both organisations’ shared goals of creating efficiency in the environmental data ecosystem: ✅ Organisations confirm high degree of commonality and interoperability between CDP's questionnaire and the ESRS climate standard, with comprehensive mapping to be published in early 2025. ✅ CDP and EFRAG to explore strengthening ESRS alignment in 2025, alongside delivering insights on ESRS-aligned response data to the market. ✅ CDP-EFRAG partnership aims to reduce reporting burden for companies and supporting organisations worldwide in preparing for compliance with the CSRD. EFRAG has published an early draft Implementation Guidance for Transition Plan for Climate Change Mitigation, organized in chapters: 🌿 Explanation of the European framework for transition plan disclosures, and introduction of disclosure E1-1 on Transition Plan for Climate Change Mitigation and the wider context of EU requirements. 🌿 Details on what and how to disclose with regards to each data point required in ESRS E1-1. 🌿 Details on how other sources may be considered when preparing ESRS disclosures and links to other reporting frameworks on transition plan for climate change mitigation. 🌿 Responses to FAQs. The ESRS E1-1 transition plan contains different elements related to strategy, policies, targets, action plans and resources. This differs from a simple, generic climate plan, as its specific intention is to provide users of information with an understanding of the company’s past, current and future efforts to ensure that its strategy and business model are compatible with the objective of limiting global warming to 1.5˚C. It will enable users of sustainability statements to assess the ambition and credibility of the transition plan. E1-1 disclosure requires the company to explain its decarbonisation levers and key planned actions and their contribution to filling the gap between the baseline and the target, particularly on the current 5-year target period. Decarbonisation levers are ways of aggregating climate change mitigation actions into streams of actions that help the company communicate the key strategic options through which it will seek to decarbonise its business. For example, a decarbonisation lever identified as ‘electrification’ may include a number of actions taken by the company ➡ replacing natural gas-powered boilers with electric heating, changing the fleet to electric, implementing heat pumps, and exchanging gas to electric furnaces. The International Auditing and Assurance Standards Board (IAASB) has now officially approved its International Standard on Sustainability Assurance (ISSA) 5000. The approval of ISSA 5000 is a significant development in the IAASB’s efforts to support the growing need for high-quality sustainability assurance and to reduce the risk of fragmentation. It provides much needed consistency for accountants and assurance practitioners as they navigate the complex world of sustainability disclosures. The standard emphasizes the need for assurance providers to exercise heightened professional skepticism, particularly given the evolving nature of sustainability reporting and the unique challenges of verifying non-financial data. It also enhances transparency in assurance engagements, requiring clear reporting of the scope, methodology, and limitations of the assurance work conducted. The standard applies to all forms of sustainability reporting with varying frameworks used globally, including the International Sustainability Standards Board’s (ISSB) IFRS S1 and IFRS S2 and the Global Reporting Initiative’s standards, and regulatory requirements. The EU is developing its own assurance standard, aligned with ESRS. The CSRD requires the adoption of limited assurance standards by the European Commission by 1 October 2026 at the latest. ISSA 5000 is likely to be a valuable input in that process. Meanwhile, the Committee of European Auditing Oversight Bodies (CEAOB) has issues guidelines to support limited assurance on sustainability reporting compliant with ESRS, the reporting framework mandatory under CSRD. On October 24, ESMA issued a Public Statement including European common enforcement priorities for ESRS reporting. These are key areas of attention when examining the application of relevant ESRS reporting requirements, and taking enforcement actions whenever material misstatements are identified. Two enforcement priorities ⬇ ✅ Materiality considerations in reporting under ESRS - A ✅ Scope and structure of the sustainability statement - B ⭕ Disclosures on the DMA process (A) Provide information on the extent of the different steps undertaken to reach materiality conclusions – including sufficient information on the activities, business relationships, geographies and stakeholders considered. ESMA highlights these specific datapoints within the Disclosure Requirement (DR) IRO-1: 2.53.g - the input parameters it uses (for example, data sources, the scope of operations covered and the detail used in assumptions) 2.53.b/c - the need to disaggregate the disclosures on the processes followed for Impacts from those for Risks and Opportunities ⭕ Key affected stakeholders (A) IRO-1 disclosures should clearly reflect how the impact materiality process is informed by the outcome of any sustainability due diligence processes implemented by the issuer. ESMA notes that FAQ 16 of IG1 clarifies that the objective of such engagement is to obtain the views of the key affected ❗ stakeholders. ESMA expects full transparency on how the issuer identifies and prioritise the stakeholders with which they engage. ESMA also notes that FAQ 10 of IG1 states that, where possible, the materiality assessment relies on quantitative information as objective evidence of the materiality of an impact, risk or opportunity. ⭕ Datapoints in ESRS 2 are mandatory, including IRO-1 in topical standards - whether or not the related topics are eventually found to be material as a result of the materiality assessment process. (A) ⭕ Follow the structure of the ESRS (B) ESMA encourages issuers to apply the detailed structure provided in Appendix F as an illustration. Following the structure of the ESRS in the preparation of the sustainability statements would make digital tagging easier and reduce the burden as the digital taxonomy closely follows the structure of the ESRS disclosures. ℹ A corrigendum of IG3 should be published soon by EFRAG. Following questions addressed to the ESRS Q&A Platform, EFRAG discussed corrections to IG3 (Implementation Guidance 3 – the Excel datapoints list) during a meeting on October 16. Here are examples of questions discussed, and draft notes to answers: ⭕ Why is this datapoint marked as voluntary (row 44 in tab ESRS 2 MDR) MDR-T_15 (ESRS 2 MDR-T 81 a): Description of reasons why there are no plans to set measurable outcome-oriented targets It is not optional according to ESRS 2, paragraph 72: If the undertaking cannot disclose the information on targets required under the relevant topical ESRS, because it has not set targets with reference to the specific sustainability matter concerned, it shall disclose this to be the case, and provide reasons for not having adopted targets. The undertaking may disclose a timeframe in which it aims to adopt them. 👉 Draft answer: Indeed, it is wrongly classified in IG3, needs to be fixed. ⭕ Could you explain the requirement of S1-8_08 (AR 70) (row 132 in tab ESRS S1)? 👉 Draft answer: The IG3 title should be changed to "Collective bargaining coverage and social dialogue disaggregated by country and/or region". ⭕ Could you indicate whether DPs E1-4_03 to E1-4_17 (rows 61-75 in tab ESRS E1) are conditional or alternative? ESRS E1. 34. (a) GHG emission reduction targets shall be disclosed in absolute value (either in tonnes of CO2eq or as a percentage of the emissions of a base year) and, where relevant, in intensity value 👉 Draft answer: It is true the percentage and absolute value can be disclosed either/or, and the column D should be considered as "Alternative" as well. ⭕ Could you please clarify E1-6_04 (AR 46 d) (row 110 in tab ESRS E1): Gross Scopes 1, 2, 3 and Total GHG emissions - Scope 3 GHG emissions (GHG Protocol) [table]? 👉 Draft answer: The submitter appropriately pointed out that ESRS E1 AR 46 (d) is not a separate datapoint. … Therefore, it is proposed to just remove this reference from IG3. Le guide ESRS de l'ANC est désormais disponible pour l'ensemble des normes ESRS set 1. Ce guide sur l’application des douze « European Sustainability Reporting Standards » (‘ESRS’) tout secteur vulgarise les exigences de publication pour les entreprises françaises soumises à la « Corporate Sustainability Reporting Directive » (‘CSRD’). Son objectif est ainsi de synthétiser certains aspects des ESRS en français pour faciliter leur compréhension et mise en œuvre. Il a été élaboré par l’AUTORITE DES NORMES COMPTABLES (‘ANC’), et préparé en concertation avec des organisations représentantes des entreprises, des auditeurs et des experts-comptables. Le nom de ce guide est une source d'inspiration et va au-delà du cadre de la conformité : "Déployer les ESRS : Un outil de pilotage au service de la transition". Les auteurs précisent que "les ESRS constituent avant tout un outil de pilotage de la trajectoire des entreprises vers des stratégies et modèles d’affaires durables, avant d’être un instrument de transparence". En effet, bien préparer son premier rapport ESRS - et faire cet état des lieux granulaire de la durabilité de l'entreprise que l’exercice impose - n'est pas qu'une question de conformité. C'est avant tout préparer l'avenir et renforcer sa compétitivité en prenant en compte les attentes des parties prenantes et les transformations en cours. Actuellement conçue pour les entreprises déjà engagées dans l’établissement d’un reporting de durabilité, cette version du guide (OCT24) sera adaptée ultérieurement afin d’accompagner de manière plus pédagogique les nouvelles entreprises entrantes. Le guide a été transmis au secrétariat de l’EFRAG, mais n’ayant pas de valeur juridique, il n’a pas été formellement validé. "Demand for fresh water will outstrip supply by 40% by the end of the decade”. “More than half the world’s food production will be at risk of failure within the next 25 years as a rapidly accelerating water crisis grips the planet”. “Without action, by 2050 water problems will shave about 8% off global GDP…. Over half of the world’s food production comes from areas experiencing unstable trends in water availability.” “All of human life depends on water, but it is not recognised for the indispensable resource it is.” Water is “not as an endlessly renewable resource, but a global common good”. Yet, “there are no global governance structures for water”, and “about 80% of the wastewater used by industries around the world is not recycled”. Extracts from an article in The Guardian: https://lnkd.in/dT97nec3 An assessment of 100 large companies in France showed that companies are not yet prepared for environmental disclosures beyond decarbonization objectives: ➡ only 31% publish water consumption reduction targets, ➡ less than 10% have defined pollution objectives, ➡ only 13% declare the number of production sites located in or near sensitive areas in terms of biodiversity. A main objective of ESRS E3 Water & Marine Resources is to shed light on whether, how and to what extent a company contributes to Europe’s ambitions for fresh air, clean water, healthy soil and biodiversity. Indeed, E3 is closely connected to the other environmental topical standards such as climate change (saline intrusion, sea level rise, drought, high water stress, heavy precipitation, flood…), pollution (emissions to water, microplastics), biodiversity (freshwater aquatic ecosystems) and circular economy (recycling of wastewater). And a company’s impacts on water and marine resources affect people and communities, covered in ESRS S3. Your company may be more connected to negative impacts than what meets the eye at a first glance, when taking into account the entire value chain (see ESRS 1 AR 12-13 for illustrations of impact and financial materiality).
