We’re all after that sweet spot where every tool that connects to our warehouse has access to a consistent data model. When people ask me how Web3 is re-defining ownership, I often do not go straight to topics like real-world asset tokenization - I leave that to my colleague Dr. Matthias Reiser 😉. I go for something with which many have ample experience: gaming.   NFT games are at the forefront of a true transformation in gaming and ownership.   Creating and playing an NFT game in a digital economy will bridge virtual and real worlds by adding a layer of ‘real-life’ NFTs, thus stimulating and rewarding player engagement.   What’s more, the decentralized character of Web3 games, powered by blockchain technology and NFTs, ensures that in-game items and characters are not controlled by a central authority but distributed across the blockchain.   With every transaction and ownership transfer being recorded on the blockchain, manipulation or fraud within the ecosystem will become negligible.  Talking about ecosystems, NFTs provide interoperability to Web3 games, allowing players to use their digital assets across different gaming platforms. And so the fusion of NFTs and gaming will allow players to engage with blockchain-powered technology, thus becoming architects of a decentralized gaming ecosystem while increasing their ability to earn.   Yet no matter what the application, it’s important to note that data for NFT images are not stored on the blockchain; rather, they are often web links that can very easily be deleted. Founders should be able to sell secondary whenever they’d like to do so. If you make something - and that thing is valuable - you should be able to sell it. Actually selling that secondary can be tricky. Let's go through the actual steps (or read the whole essay https://lnkd.in/eajr238N): 1. Get the term sheet. 2. Negotiate “normal” major terms: dollars in, price, board, etc. 3. Don’t forget about re-vesting. Founders often do. 4. Sign the term sheet. Go out and start figuring out allocations for the remaining dollars. 5. If you’re lucky enough to have more demand than you do space, you have the opportunity to sell some secondary. Figure out how much excess demand you have. 6. Talk to your lawyer and your accountant about what you want to do. Ask them to explain the pros and cons of selling secondary as common shares vs. preferred shares (which is a bit out of scope for this essay). 7. Decide how much secondary you want - ideally this is “reasonable,” which is a moving target. One good way to frame “reasonable” is to give a clear reason as to why you want to sell. This is particularly important in early rounds. Good reasons include: “Need to pay off student debt” and “Just had our first kid after years at below market salary.” Less good reasons include “Need a new Porsche” and “LinkedIn ghostwriter prices went up.” 8. Go to your new lead investor and say “Hey! Great news! We have 2x demand for available shares. It would mean quite a lot to me and my cofounder if we could take (insert reasonable amount here) off the table because (insert reasonable reason) here. Obviously as our lead, you get first access. Sound good?” 9. Work with the buyer to figure out if you are selling common shares or preferred shares. (a) If you are selling common shares, and the buyer is willing to buy these at the same price as preferred, great! Just make sure that you aren’t creating any challenges around voting by giving those shares to an outside party. Also, talk to your lawyer and accountant. (b) If you are selling preferred shares, go back to your lawyer and accountant to make sure you’re not creating any issues for yourself. You’ll also need to confirm with your existing investors that they are ok with you doing this because it will change the preference stack - which impacts them. 10. Triple check your numbers. 11. Complete your transaction and close the round.

I'm a big fan of podcasts – they keep me company while going to the office, doing housework, or jogging. There is a new saas.wtf article! Topic of the week: Growth Benchmarks 📈 I've long wanted to dig deeper into revenue growth of bootstrapped vs. VC-backed companies. Mainly to check whether external capital really brings the expected growth boost you would expect. Unfortunately, it's quite difficult to find reliable data. The only analysis I could find so far comes from SaaS Capital – and it only covers the boom times. Now ChartMogul just released it's latest SaaS Growth Report, which for the first time distinguishes between bootstrappers and VC-financed startups. This prompted me to take a closer look and compare the two sources. How incumbents die or the circle of life... Software companies (both fast growing ones and legacy incumbents) have little in the way of hard assets (Spot Ship has a couple of laptops and a few bottles of champagne left over from the Scots in Shipping party) Therefore under Greenwald's framework below substantially all their value sits in franchise value or value of growth Franchise value only exists where a company has "competitive advantages". Very crudely, that usually means customer stickiness + economies of scale over fixed costs These can also be described as "barriers to entry" This creates somewhat of a Catch22. The only businesses worth building have barriers to entry (which would have to be overcome if one wanted to enter) If the theory holds, it should be close to impossible for startups to succeed in maritime (or any other sector). But that's not what we are seeing. The failure of the logic is that it assumes equal productivity for a unit of fixed cost. In the case of some very comfortable incumbents, this just isn't true. The principle fixed cost that a software company wants to have more of than competitors is software engineering spend. But really what should matter is engineering output. To compare us to a (somewhat) theoretical incumbent currently spending 10X what we are on engineering (£5m vs. our £500k): Incumbent: Long tenured chilled-out engineers in high cost geographies earning £150k p.a. Working 30 hour weeks Startup: Psycho-hungry engineers in low cost geographies working 90 hour weeks for £30k (Let's assume for simplicity that the engineers have equal output per hour, even though that is likely wrong. Usually startups have more skilled engineers than sleepy incumbents) Each dollar spent goes 3 x 5 = 15X times as far in the startup. Therefore the startup effectively has 1.5X the scale on one tenth of the spend! The only hope for the incumbent is the startup runs out of money Add into the mix a founder who can raise funds for as long as needed… RIP incumbent NB. It’s fair to say Spot Ship’s leanness is a form of leverage no different to operational or financial leverage. This has been commented on in at least three separate IMs written by VCs on us. I am convinced that fairly soon you'll only be able to make contact with valuable people through Tela (or some similar service). They're busy, they're working, they don't want to be bothered unless it actually matters. So: A message from a friend on a normal messaging app is fine. A warm intro via a colleague is fine. But a random stranger is _usually_ an unproductive loss of time, because you'll have to spend effort to figure out if the person is genuine, and not a scammer, and not crazy, etc. (and AI is going to make this infinitely worse.) A Women's Bundesliga match reaches as many ad impressions as a 2nd Bundesliga men's game. Wait, what? 🎯 Season Finale On Monday, the Google Pixel Women's Bundesliga will conclude its season with Matchday 22. Two games will be broadcast not only live on Magenta Sport and Dazn but also on free TV: TSG Hoffenheim vs. FC Bayern München (ARD) VfL Wolfsburg vs. SGS Essen (Sport 1) 📺 Reach I took a look at the projected reach of both games in our GIPEDO Campaign Manager. For ad impressions, these numbers are in the upper 7-digit range. A look back: In recent months, various brands have booked perimeter advertising through GIPEDO in the Women's Bundesliga. Here are the reach numbers for selected brand campaigns of the top 3 matches on our platform that were broadcast live on Sport1 (free) and Magenta Sport/Dazn (paid): SV Werder Bremen vs. Eintracht Frankfurt: 7.86 million ad impressions SGS Essen vs. VfL Wolfsburg: 7.74 million ad impressions FC Nürnberg vs. Bayer 04 Leverkusen: 7.19 million ad impressions ➡ In all three games, the CPM was under 1 EUR! 💡 Perimeter advertising in Women's Bundesliga free TV matches achieves similar performance KPI’s as men's Bundesliga games at lower investments. In addition to the reach in live TV, exciting game scenes also increase the chance of appearing in highlight clips. This creates additional reach on TV as well as on YouTube, Instagram, and TikTok. The clubs themselves significantly increase reach through their social channels. For the free TV games on the upcoming Pentecost Monday, this means an advertising potential of millions of ad impressions. I'm particularly curious to see what reach the top game Hoffenheim vs. Bayern on ARD will generate. 💰 Undervalued Advertising Platform Women's football is not only attractive in terms of gameplay. Advertisers can build high reach cost-effectively in a short amount of time. Philipp Westermeyer and Roland Eisenbrand, isn’t this exactly the type of left-field advertising platform in sports you mentioned in your State of the German Internet keynote at #OMR24? An exciting keynote where the advertising power of sports was highlighted. Women's football fits right in: high reach at low costs among a young and affluent target group.
