Was Block's $39 billion acquisition of Afterpay Australia's greatest M&A exit of all time? Done at a 47x revenue multiple, a huge premium to other BNPL players due to the expectation that BNPL is somewhat of a “winner takes all” game. If they sold with today's multiples they would have received under $10 billion. There is plenty of room to grow, BNPL, as an industry, has only a 1-2% penetration of the $10 trillion online sales market. However, there were, and still are, significant risks surrounding regulation, credit quality, competition, and interest rate fluctuations. Both the competition risk & interest rate risk are already playing out. 🏆 Competition There was always some fear that banks or another provider with a stronger distribution channel would just eat up market share. This fear was realised when Paypal released their own BNPL product in the middle of 2021. Despite hitting the market 7 years after Afterpay, they now have ~70% of the U.S. BNPL market. 📈 Interest Rates Afterpay primarily runs off the 4% merchant fee they charge per transaction. High rates impact Afterpay more than banks, as Afterpay doesn’t pass on the increase to customers. The cash flows erode as rates increase. Good to see Afterpay / Block yesterday confirm my scoop, only four months after we published it at Capital Brief Cash App never made sense for the Australian market and staff knew it was a dead duck long ago. The huge redundancy round earlier this year was the final nail in the coffin.
